1.SubjectMatteroftheContract

PartyAshallsellanddelivertoPartyB,andPartyBshallpurchaseandacceptfromPartyA,thefollowinggoodsdescribedinScheduleAhereto(hereinafterreferredtoas"theGoods")inaccordancewiththetermsandconditionssetforthinthisContract.

2.QuantitiesandSpecifications

ThequantitiesandspecificationsoftheGoodsshallbeassetforthinScheduleAattachedhereto.

3.DeliveryandShipment

3.1TheGoodsshallbedeliveredtoPartyBat[DeliveryAddress]orsuchotherlocationasmaybemutuallyagreeduponbytheparties.

3.2Thedeliveryperiodshallbe[DeliveryPeriod],startingfromthedateofthisContract.

3.3TheGoodsshallbetransportedby[TransportationMethod],andthetransportationexpensesshallbeborneby[PartyB/PartyA],asagreeduponbytheparties.

4.PriceandPaymentTerms

5.QualityandWarranties

6.LiabilityandIndemnification

6.1PartyAshallbeliableforanylossordamagecausedbythedefectiveornon-compliantGoods.

6.2PartyBshallindemnifyPartyAagainstanyclaimsorliabilitiesarisingoutoforinconnectionwiththeperformanceofthisContract,exceptforthosearisingfromthenegligenceorwillfulmisconductofPartyA.

7.ForceMajeure

IntheeventofanydelayorfailureintheperformanceofthisContractduetocircumstancesbeyondthereasonablecontrolofeitherparty,suchasnaturaldisasters,war,strikes,orgovernmentregulations,theaffectedpartyshallhavetherighttoterminatethisContractwithoutliability.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallendeavortoresolvethedisputethroughamicablenegotiations.Ifthedisputecannotberesolvedamicably,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
