ThisContract(hereinafterreferredtoas"theContract")isherebyenteredintoandexecutedbyandbetweenPartyA(hereinafterreferredtoas"theEmployer")andPartyB(hereinafterreferredtoas"theContractor")onthedateofthisContract,whichisagreeduponbybothpartiesafterfriendlynegotiation.
1.DescriptionoftheWork
1.1ThescopeoftheworktobecarriedoutbytheContractorisdetailedintheattachedscopeofwork(hereinafterreferredtoas"theScopeofWork").
1.2TheEmployershallprovideallnecessaryinformationanddocumentstotheContractorfortheexecutionofthework,andtheContractorshallcomplywiththeEmployer'srequirementsinallaspects.
2.ContractPriceandPaymentTerms
2.1Thecontractpricefortheworkshallbeagreeduponbybothpartiesanddetailedintheattachedpricelist(hereinafterreferredtoas"thePriceList").
2.2Thepaymenttermsshallbeasfollows:
(1)Uponthecompletionoftheworkandpriortothefinalacceptance,theContractorshallsubmittheinvoiceforpaymenttotheEmployer,andtheEmployershallmakethepaymentwithin30daysafterthereceiptoftheinvoice.
(2)Incaseofanydisputeoverthepayment,thepartiesshallresolvethedisputethroughfriendlynegotiation.
3.WorkSchedule
3.1TheContractorshallcompletetheworkwithinthetimeframespecifiedintheattachedworkschedule(hereinafterreferredtoas"theWorkSchedule").
3.2TheContractorshallpromptlyinformtheEmployerofanydelaysintheworkscheduleduetounforeseenreasons,andthepartiesshallnegotiateandagreeontheextensionofthedeadline.
4.QualityAssurance
4.1TheContractorshallensurethatthequalityoftheworkmeetstherequirementsoftheEmployerandtherelevantstandards.
4.2TheEmployershallhavetherighttoinspectandtesttheworkduringtheprogressoftheworkandafterthecompletionofthework.
5.TerminationoftheContract
5.1EitherpartymayterminatetheContractincaseofanyofthefollowingsituations:
(1)TheContractorfailstocomplywiththeContractprovisionsandtheEmployerrequestsfortermination.
(2)TheEmployerfailstomakethepaymentasrequiredandtheContractorrequestsfortermination.
5.2UpontheterminationoftheContract,thepartiesshallnegotiateandagreeonthehandlingoftheworkandthesettlementofthedisputes.
6.DisputeResolution
6.1IncaseofanydisputesarisingfromtheexecutionoftheContract,thepartiesshallfirstresolvethedisputesthroughfriendlynegotiation.
6.2Ifthedisputescannotberesolvedthroughnegotiation,thepartiesmaysubmitthedisputestotherelevantarbitrationagencyforarbitration.
7.MiscellaneousProvisions
7.1ThisContractconstitutestheentireagreementbetweenthepartiesandshallreplaceallpreviousagreements,oralorwritten,betweentheparties.
7.2AnyamendmentormodificationtothisContractshallbemadeinwritingandsignedbybothparties.

1.2TheEmployershallprovideallnecessaryinformationanddocumentstotheContractorfortheexecutionofthework,andtheContractorshallcomplywiththeEmployer'srequirementsinallaspects.
1.3TheThirdPartyshallprovidespecializedservicesandresourcesasagreeduponintheattachedThirdPartyServicesAgreement(hereinafterreferredtoas"theThirdPartyAgreement").
2.ContractPriceandPaymentTerms
2.1Thecontractpricefortheworkshallbeagreeduponbybothpartiesanddetailedintheattachedpricelist(hereinafterreferredtoas"thePriceList").
2.2Thepaymenttermsshallbeasfollows:
(1)Uponthecompletionoftheworkandpriortothefinalacceptance,theContractorshallsubmittheinvoiceforpaymenttotheEmployer,andtheEmployershallmakethepaymentwithin30daysafterthereceiptoftheinvoice.
(2)TheThirdPartyshallbeentitledtoreceivepaymentdirectlyfromtheEmployerfortheservicesprovidedundertheThirdPartyAgreement,asdetailedinsaidagreement.
3.WorkSchedule
3.1TheContractorshallcompletetheworkwithinthetimeframespecifiedintheattachedworkschedule(hereinafterreferredtoas"theWorkSchedule").
3.2TheContractorandtheThirdPartyshallworkincoordinationtoensurethetimelycompletionofthework.
3.3TheEmployerreservestherighttorequestaprogressreportfromtheContractorandtheThirdPartyatanytime.
4.QualityAssurance
4.1TheContractorshallensurethatthequalityoftheworkmeetstherequirementsoftheEmployerandtherelevantstandards.
4.2TheThirdPartyshallprovidequalityassuranceservicesinaccordancewiththeThirdPartyAgreement.
4.3TheEmployershallhavetherighttoinspectandtesttheworkduringtheprogressoftheworkandafterthecompletionofthework.
5.ThirdParty'sResponsibilities,Rights,andObligations
5.1TheThirdPartyshallprovidespecializedservicesandresourcesasagreeduponintheThirdPartyAgreement.
5.2TheThirdPartyshallbeliableforanydamagesorlossescausedbyitsfailuretoperformitsobligationsundertheThirdPartyAgreement.
5.3TheThirdPartyshallnotdiscloseanyconfidentialinformationoftheEmployerortheContractorwithoutpriorwrittenconsentfromtheEmployerortheContractor.
6.Employer'sRightsandInterests
6.1TheEmployershallhavetherighttooverseetheworkperformedbytheContractorandtheThirdPartytoensurecompliancewiththeContract.
6.2TheEmployershallhavetherighttorequestmodificationsorcorrectionstotheworkifitdoesnotmeettheagreed-uponstandards.
6.3TheEmployershallhavetherighttoterminatetheContractincaseofanymaterialbreachbytheContractorortheThirdParty.
7.Contractor'sandThirdParty'sLimitationsandRemediesforBreach
7.1IncaseofanybreachoftheContractbytheContractorortheThirdParty,theEmployershallhavetherighttoseekremedies,includingbutnotlimitedto,terminationoftheContract,liquidateddamages,oranyotherlegalremediesavailableunderapplicablelaws.
7.2TheContractorortheThirdPartyshallberesponsibleforanycostsorexpensesincurredbytheEmployerasaresultoftheirbreachoftheContract.
8.MiscellaneousProvisions
8.1ThisContractconstitutestheentireagreementbetweenthepartiesandshallreplaceallpreviousagreements,oralorwritten,betweentheparties.
8.2AnyamendmentormodificationtothisContractshallbemadeinwritingandsignedbyallparties.

3.ThirdParty'sResponsibilities,Rights,andObligations

4.Employer'sRightsandObligations

4.2TheEmployershallhavetherighttorequestchangestotheScopeofWorkortheThirdPartyAgreement,providedthatsuchchangesareagreeduponbytheContractorandtheThirdParty.
4.3TheEmployershallberesponsibleforprovidingthenecessaryaccessandresourcesrequiredfortheContractorandtheThirdPartytoperformtheirduties.
5.Contractor'sandThirdParty'sRightsandInterests
5.1TheContractorshallhavetherighttoreceivetimelypaymentfortheservicesrendered,inaccordancewiththeagreed-uponpaymentschedule.
5.2TheContractorshallhavetherighttonegotiatewiththeEmployerforanynecessarychangestotheContractthatmayaffecttheContractor'sabilitytoperformthework.
5.3TheThirdPartyshallhavetherighttonegotiatewiththeEmployerforanychangestotheThirdPartyAgreementthatmayaffecttheprovisionoftechnicalsupportservices.
6.Employer'sLimitationsandRemediesforBreach
6.1IncaseofanybreachoftheContractbytheContractorortheThirdParty,theEmployershallhavetherighttoseekremedies,includingbutnotlimitedto,terminationoftheContract,liquidateddamages,oranyotherlegalremediesavailableunderapplicablelaws.
6.2TheEmployershallbeentitledtowithholdpaymentforanyservicesthatdonotmeettheagreed-uponstandards.
7.MiscellaneousProvisions
7.1ThisContractconstitutestheentireagreementbetweenthepartiesandshallreplaceallpreviousagreements,oralorwritten,betweentheparties.
