1.SubjectMatteroftheContract

ThesubjectmatterofthisContractisthecooperationbetweenPartyAandPartyBforthepurposeofprovidingstudyabroadprogramstostudentsfromPartyB'sjurisdiction.

2.TermoftheContract

ThetermofthisContractshallcommenceonthedateofitsexecutionandshallcontinueforaperiodof[numberofyears]fromtheeffectivedateofthisContract,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.ScopeofCooperation

b.Assistanceintheapplicationprocessforadmissiontosuchprograms;

c.Provisionofnecessaryinformationandguidancetostudentsregardingthestudyabroadprograms;

d.Organizationofpre-departureorientationprogramsandculturaladaptationprograms;

e.Provisionofadministrativeandlogisticalsupportforstudentsduringtheirstudyabroad;

f.Coordinationofpost-studyemploymentopportunitiesforstudents.

4.FeesandPaymentTerms

4.1.PartyBshallpayPartyAthefollowingfeesfortheservicesprovidedunderthisContract:

6.IntellectualPropertyRights

7.LiabilityandIndemnification

7.1.PartyAshallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingfromtheservicesprovidedunderthisContract,excepttotheextentcausedbyitsownnegligenceorwillfulmisconduct.

7.2.PartyBagreestoindemnify,defend,andholdharmlessPartyAfromandagainstanyandallclaims,actions,demands,liabilities,losses,costs,andexpensesarisingoutoforinconnectionwithPartyB'suseoftheservicesprovidedunderthisContract.

8.GoverningLawandDisputeResolution

7.RightsandObligationsofPartyB

a.Selectandrecommendsuitablestudentsforthestudyabroadprograms;

b.ObtaininformationaboutthestudyabroadprogramsfromPartyA;

7.2.PartyBshallbeobligatedto:

a.PaythefeesfortheservicesprovidedunderthisContractinatimelymanner;

8.RightsandObligationsofThirdParty

8.1.ThirdPartyshallhavetherightto:
