7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,labordisputes,governmentactions,oranyothersimilarcause.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].

AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtof[GoverningLaw]forarbitration.

9.LimitationsofLiability

9.1.PartyAshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutofthesale,distribution,oruseoftheGoods.

9.2.PartyBandPartyCshallbejointlyandseverallyliableforanybreachofthisContractbyeitherofthem.

10.GoverningLawandDisputeResolution

10.1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].
