mentsdueunderthisAgreement.第十三条：其他条款13.1信息反馈与沟通13.2合同的翻译与解释ThisAgreementmaybetranslatedintoanylanguageasagreedtheparties,buttheEnglishversionshallprevailintheeventofanydiscrepancybetweenthetranslatedversions.第十四条：附则14.1合同的附件AllexhibitsandschedulesreferredtointhisAgreementarepartofthisAgreementandareincorporatedhereinreference.14.2合同的修订历史ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.AlistofallamendmentsandmodificationstothisAgreementshallbemaintainedandattachedheretoasExhibitF.第二部分：第三方介入后的修正15.1第三方介入的概念ForthepurposesofthisAgreement,"ThirdParty"meansanyindividual,entity,ororganizationthatisnottheManufacturerortheAgentandthatisinvolvedintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,subcontractors,andotheragents.15.2第三方介入的义务和责任B.TheManufacturerandtheAgentshallindemnifyandholdharmlesseachotheragainstanyclaims,actions,damages,orliabilitiesarisingoutoforinconnectionwiththeactsoromissionsofanyThirdParty.16.1第三方介入的额外条款IntheeventthataThirdPartyisinvolvedintheperformanceofthisAgreement,thepartiesagreetoaddthefollowingadditional条款:A.ThepartiesshallprovidetheThirdPartywithacopyofthisAgreement,orrelevantpartsthereof,andensurethattheThirdPartyisawareofandboundthetermsandconditionsofthisAgreement.B.ThepartiesshallprovidetheThirdPartywithanynecessarytraining,instructions,orguidancetoensurethattheThirdPartyunderstandsitsobligationsandresponsibilitiesunderthisAgreement.16.2第三方介入的说明ThepartiesacknowledgeandagreethattheinvolvementofaThirdPartyintheperformanceofthisAgreementdoesnotrelievethepartiesoftheirrespectiveobligationsandresponsibilitiesunderthisAgreement.ThepartiesremainfullyresponsiblefortheactsandomissionsoftheThirdParty.17.1第三方责任限额TheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentprovidedinthisAgreementoranyotheragreemententeredintobetweenthepartiesandtheThirdParty.ThepartiesagreetonegotiateingoodfaithtodeterminetheappropriateliabilitylimitsforThirdPartiesinvolvedintheperformanceofthisAgreement.17.2第三方责任限额的确定ThepartiesagreethattheliabilitylimitsforThirdPartiesshallbesetforthinaseparateagreemententeredintobetweenthepartiesandtheThirdParty.ThisseparateagreementshallspecifythescopeoftheThirdParty'sliability,thetypesofclaimscovered,andthemaximumamountofliability.18.1第三方介入的合同修改IntheeventthataThirdPartyisinvolvedintheperformanceofthisAgreement,thepartiesagreetomodifythisAgreementorenterintoaseparateagreementwiththeThirdPartytoensurethattherightsandobligationsofallpartiesareclearlydefinedandenforceable.18.2第三方介入的合同备案ThepartiesagreetokeepacopyofanyagreementsenteredintowithThirdPartiesinvolvedintheperformanceofthisAgreementandtoprovideeachotherwithacopyofsuchagreementsuponrequest.19.1第三方介入的争议解决IntheeventofadisputearisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,thepartiesagreetoresolvesuchdisputeinaccordancewiththedisputeresolutionmechanismsetforthinthisAgreement.19.2第三方介入的诉讼管辖ThepartiesagreethatanylegalproceedingsarisingoutoforinconnectionwiththeactsoromissionsofaThirdPartyshallbebroughtinthecourtsof[Country]or[Territory],asspecifiedinthisAgreement.20.1第三方介入的权益保护ThepartiesagreetotakeallnecessarystepstoprotecttherightsandinterestsoftheotherpartyandtoensurethattheactsoromissionsofanyThirdPartydonotresultinanylossordamagetotheotherparty.20.2第三方介入的信息披露ThepartiesagreetodisclosetoeachotherallinformationrelevanttotheactsoromissionsofanyThirdPartyandtocooperatewitheachotherintheinvestigationandresolutionofanydisputesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty.21.1第三方介入的培训和指导ThepartiesagreetoprovidetrainingandguidancetoanyThirdPartyinvolvedintheperformanceofthisAgreementtoensuretha
