ThisServiceAgreement(hereinafterreferredtoas“theAgreement”)isenteredintoon[Date],between[PartyA](hereinafterreferredtoas“theServiceProvider”)and[PartyB](hereinafterreferredtoas“theClient”)(collectively,the“Parties”)inaccordancewiththefollowingtermsandconditions:
1.Recitals
1.1TheServiceProviderisengagedinthebusinessofproviding[specifythetypeofservice]services(hereinafterreferredtoas“theServices”)toclients.
1.2TheClientdesirestoengagetheServiceProvidertoprovidetheServicesasspecifiedherein.
1.3ThePartiesherebyagreetoenterintothisAgreementtoregulatetherightsandobligationsofbothpartiesinrelationtotheprovisionoftheServices.
2.DefinitionsandInterpretations
2.1InthisAgreement,unlessthecontextotherwiserequires:
(a)“Services”meanstheservicestobeprovidedbytheServiceProvidertotheClientasspecifiedinSchedule1attachedhereto.
(b)“Schedule”meanstheschedulesattachedhereto.
(c)“hereinafter”meanshereinaftermentioned.
(d)“hereof”meansofthisAgreement.
3.ScopeofServices
3.1TheServiceProvidershallprovidetheServicestotheClientinaccordancewiththespecifications,descriptions,andtermssetforthinSchedule1attachedhereto.
3.2TheServiceProvidershalluseitsbesteffortstoensurethattheServicesareprovidedinaprofessional,timely,andefficientmanner.
4.TermandTermination
4.1ThisAgreementshallcommenceonthedateofexecution(hereinafterreferredtoasthe“EffectiveDate”)andshallremainineffectforaperiodof[specifythedurationoftheAgreement].
4.2EitherPartymayterminatethisAgreementupon[specifythecircumstancesunderwhichterminationisallowed]bygiving[specifythenoticeperiod]writtennoticetotheotherParty.
4.3UponterminationofthisAgreement,thePartiesshallpromptlysettlealloutstandingobligationsanddisputesarisingtherefrom.
5.FeesandPayment
5.1TheClientshallpaytheServiceProviderthefeesfortheServicesassetforthinSchedule2attachedhereto.
5.2TheClientshallmakepaymenttotheServiceProviderwithin[specifythepaymentperiod]aftertheinvoiceisissued.
5.3Intheeventoflatepayment,theClientshallpayinterestonthelatepaymentattherateof[specifytheinterestrate]perannum.
6.Confidentiality
6.1ThePartiesagreetokeepconfidentialallinformationdisclosedbyeitherPartytotheotherPartyinconnectionwiththisAgreement,exceptforinformationthatis:
(a)publiclyavailable;
(b)alreadyinthepossessionofthereceivingPartypriortothedateofthisAgreement;
(c)lawfullyobtainedfromathirdparty;
(d)disclosedtothereceivingPartybyathirdpartywithoutanyobligationofconfidentiality.
7.IntellectualPropertyRights
7.1TheServiceProviderretainsallintellectualpropertyrightsinandtotheServicesprovidedhereunder.
7.2TheClientshallnotuse,copy,modify,ordistributeanyintellectualpropertyrightsbelongingtotheServiceProviderwithoutthepriorwrittenconsentoftheServiceProvider.
8.LimitationofLiability
8.1TheServiceProvidershallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeprovisionoftheServices,exceptwheresuchdamagesarecausedbytheServiceProvider’sgrossnegligenceorwillfulmisconduct.
9.GoverningLawandDisputeResolution
9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythegoverningjurisdiction].
9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[specifythenegotiationperiod],thedisputeshallbesubmittedto[specifytheapplicablecourtorarbitrationtribunal]forresolution.
10.GeneralProvisions
10.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.
10.2AnyamendmentormodificationtothisAgreementshallbebindingonlyifitisinwritingandexecutedbybothParties.
10.3ThisAgreementmaybeexecutedintwoormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
10.4TheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationofthisAgreement.
10.5ThefailureofeitherPartytoexerciseanyrightorremedyunderthisAgreementshallnotbedeemedawaiverofthatrightorremedy.
10.6IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

3.3TheClientshallhavetherighttorequiretheServiceProviderandtheThirdPartytocoordinateandcollaborateeffectivelytoensurethesuccessfuldeliveryoftheServices.
4.RightsandObligationsoftheClient
4.1TheClientshallhavetherighttoreceivetheServicesasspecifiedinthisAgreement.
4.2TheClientshallhavetherighttomonitortheprogressandqualityoftheServicesprovidedbytheServiceProviderandtheThirdParty.
4.3TheClientshallhavetherighttoterminatethisAgreementintheeventofanymaterialbreachbytheServiceProviderortheThirdParty.
4.4TheClientshallhavetherighttorequestmodificationstotheServices,subjecttotheagreementoftheServiceProviderandtheThirdParty.
5.RightsandObligationsoftheServiceProvider
5.1TheServiceProvidershallprovidetheServicesinaccordancewiththespecifications,descriptions,andtermssetforthinthisAgreementandSchedule1attachedhereto.
5.2TheServiceProvidershallensurethattheThirdPartyperformsitsobligationsunderthisAgreementeffectively.
5.3TheServiceProvidershallprovideregularprogressreportstotheClientregardingtheprovisionoftheServices.
5.4TheServiceProvidershallbeliableforanyfailureordelayintheprovisionoftheServicescausedbytheThirdParty.
6.RightsandObligationsoftheThirdParty
6.1TheThirdPartyshallsupporttheServiceProviderintheprovisionoftheServices,asagreeduponbytheParties.
6.2TheThirdPartyshallcomplywiththespecifications,descriptions,andtermssetforthinthisAgreementandSchedule1attachedhereto.
6.3TheThirdPartyshallbeliableforanyfailureordelayintheprovisionoftheServicescausedbyitsactionsoromissions.
6.4TheThirdPartyshallhavetherighttoreceivecompensationforitssupportservices,asagreeduponbytheParties.
7.FeesandPayment
7.1TheClientshallpaytheServiceProviderthefeesfortheServicesassetforthinSchedule2attachedhereto.
7.2TheClientshallmakepaymenttotheServiceProviderwithin[specifythepaymentperiod]aftertheinvoiceisissued.
7.3TheThirdPartyshallreceivecompensationforitssupportservices,asagreeduponbytheParties.
8.违约及限制条款
8.1IntheeventofamaterialbreachofthisAgreementbytheServiceProviderortheThirdParty,theClientshallhavetherighttoterminatethisAgreementandclaimdamages.
8.2TheServiceProviderandtheThirdPartyshallnotengageinanyactivitiesthatmayharmtheinterestsoftheClient.
8.3TheServiceProviderandtheThirdPartyshallnotdiscloseanyconfidentialinformationoftheClienttoanythirdpartywithoutthepriorwrittenconsentoftheClient.
9.GoverningLawandDisputeResolution
9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythegoverningjurisdiction].
9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[specifythenegotiationperiod],thedisputeshallbesubmittedto[specifytheapplicablecourtorarbitrationtribunal]forresolution.
10.GeneralProvisions
10.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.
10.2AnyamendmentormodificationtothisAgreementshallbebindingonlyifitisinwritingandexecutedbyallParties.
10.3ThisAgreementmaybeexecutedintwoormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
10.4TheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationofthisAgreement.
10.5ThefailureofeitherPartytoexerciseanyrightorremedyunderthisAgreementshallnotbedeemedawaiverofthatrightorremedy.
10.6IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

4.2TheServiceProvidershallhavetherighttosuperviseandmanagetheThirdParty’scontributiontotheServices.

5.RightsandObligationsoftheThirdParty
5.1TheThirdPartyshallhavetherighttoreceivecompensationforitsservicesprovidedunderthisAgreement.
5.2TheThirdPartyshallhavetherighttoaccessthenecessaryinformationandresourcestoperformitsobligationseffectively.
5.3TheThirdPartyshallhavetherighttoseekclarificationoradditionalinstructionsfromtheServiceProviderregardingthescopeandnatureofitswork.
6.RightsandObligationsofthePrincipal
6.1ThePrincipalshallhavetherighttoreceivetheServicesasspecifiedinthisAgreement.
6.2ThePrincipalshallhavetherighttomonitortheperformanceoftheServiceProviderandtheThirdParty.
6.3ThePrincipalshallhavetherighttoterminatethisAgreementintheeventofamaterialbreachbyeithertheServiceProviderortheThirdParty.
7.FeesandPayment
7.1ThePrincipalshallpaytheServiceProviderthefeesfortheServicesassetforthinSchedule2attachedhereto.
7.2ThePrincipalshallmakepaymenttotheServiceProviderwithin[specifythepaymentperiod]aftertheinvoiceisissued.
7.3ThePrincipalshallpaytheThirdPartyitscompensationasagreeduponinSchedule3attachedhereto.
8.违约及限制条款
