8.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifsuchnegotiationfails,thedisputesshallbesubmittedto[DisputeResolutionInstitution]forarbitration.
9.ForceMajeure
9.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,andgovernmentregulations.
10.GoverningLawandJurisdiction

8.3ThePrincipalhastherighttoterminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty.
9.Seller'sRightsandObligations
9.1TheSellerhastherighttorequestthePrincipaltoprovideanynecessaryinformationordocumentsrequiredforthedeliveryandpaymentprocess.
9.2TheSellerhastherighttoterminatetheContractintheeventofamaterialbreachbythePrincipalortheThirdParty.
10.ThirdParty'sRightsandObligations
10.1TheThirdPartyhastherighttoreceiveacommissionforfacilitatingthetransactionbetweenthePrincipalandtheSeller.
10.2TheThirdPartyhastheobligationtoactingoodfaithandactinthebestinterestofthePrincipal.
11.Seller'sandThirdParty'sLiabilityandDisputeResolution

13.Seller'sandThirdParty's违约及限制条款
13.1TheSellerortheThirdPartyshallbeliableforanydirectorindirectdamagescausedbytheirbreachofthisContract.
13.2TheSellerortheThirdPartyshallnotbeliableforanylossordamageresultingfromunforeseeablecircumstancesbeyondtheirreasonablecontrol.
13.3TheSellerortheThirdPartyshallnotengageinanyactivitythatmayprejudicethePrincipal'sinterestsortheintegrityoftheContract.
14.ConclusionofThirdParty'sInvolvement
14.1TheinvolvementoftheThirdPartyinthisContractservestofacilitatethetransactionbetweenthePrincipalandtheSeller,ensuringsmoothcommunicationandcoordinationthroughouttheprocess.
14.2TheThirdParty'sroleistoprovideadditionalsecurityandassurancetothePrincipal,ensuringthattheirinterestsareprotected.
