蔬菜制品特种垃圾管理办法合同编号：__________vegetableproductsspecialwastemanagementagreementBETWEEN:[ContractorName]Address:[ContractorAddress]City:[ContractorCity]Province:[ContractorProvince]PostalCode:[ContractorPostalCode]AND:[CustomerName]Address:[CustomerAddress]City:[CustomerCity]Province:[CustomerProvince]PostalCode:[CustomerPostalCode]Witnesseth:WHEREAS,theContractorisengagedinthebusinessofprocessingvegetableproducts;WHEREAS,theCustomergeneratesvegetableproductsspecialwasteinitsoperations;WHEREAS,theContractoriswillingtomanagethespecialwastefortheCustomerinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1"SpecialWaste"meansvegetableproductsthatarenolongersuitableforconsumptionoruseandaregeneratedtheCustomerinitsoperations.1.2"Management"meansthecollection,transportation,treatment,recyclinganddisposaloftheSpecialWasteinaccordancewithapplicablelawsandregulations.1.3"Term"meanstheperiodfromtheEffectiveDatetotheexpirationoftheagreement,asdefinedinArticle9.1.4"EffectiveDate"meansthedatethisagreementisexecutedbothparties.ARTICLE2:SCOPEOFSERVICES2.1TheContractoragreestomanagetheSpecialWastegeneratedtheCustomerduringtheTermofthisagreementinaccordancewiththetermsandconditionssetforthherein.2.2TheContractorshallprovidethefollowingservicesinrelationtotheManagementoftheSpecialWaste:(a)Collection:TheContractorshallcollecttheSpecialWastefromtheCustomer'sdesignatedcollectionpointsatthefrequencyandinthemanneragreedupontheparties.(b)Transportation:TheContractorshalltransporttheSpecialWastetothetreatment,recyclinganddisposalfacilitiesinaccordancewithapplicablelawsandregulations.(c)Treatment,RecyclingandDisposal:TheContractorshallensurethattheSpecialWasteisprocessed,recycledanddisposedofinaccordancewithapplicablelawsandregulations.ARTICLE3:REQUIREMENTSANDSPECIFICATIONS3.2TheContractorshallusereasonableeffortstominimizethevolumeofSpecialWastegeneratedtheCustomerandtopromoterecyclingandresourcerecovery.3.3TheContractorshallprovidetheCustomerwithregularreportsontheManagementoftheSpecialWaste,includingthevolumeofwastecollected,themethodsoftreatment,recyclinganddisposalused,andthefacilitiesutilized.ARTICLE4:PRICINGANDPAYMENT4.1TheContractorshallprovidetheCustomerwithascheduleofpricingfortheservicesprovidedunderthisagreement,whichshallbeeffectiveforthedurationoftheagreement.4.2TheCustomershallpaytheContractorfortheservicesprovidedunderthisagreementinaccordancewiththescheduleofpricingandthetermsofpaymentsetforthherein.4.3TheContractorshallissueinvoicestotheCustomerfortheservicesprovided,andtheCustomershallpaytheContractorwithinthetimeframespecifiedintheinvoice.ARTICLE5:CONFIDENTIALITY5.1TheContractorandtheCustomershallmaintaintheconfidentialityofallinformationexchangedbetweenthemunderthisagreement,excepttotheextentthatsuchinformationisrequiredtobedisclosedapplicablelawsandregulations.5.2TheContractorandtheCustomershallnotuseanyoftheconfidentialinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisagreement.ARTICLE6:INDEMNIFICATION6.1TheContractorshallindemnifyandholdharmlesstheCustomeragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeContractor'sperformanceunderthisagreement,excepttotheextentthatsuchclaims,losses,damages,liabilities,costsandexpensesarecausedthenegligenceorwillfulmisconductoftheCustomer.6.2TheCustomershallindemnifyandholdharmlesstheContractoragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeCustomer'sperformanceunderthisagreement,excepttotheextentthatsuchclaims,losses,damages,liabilities一、附件列表：1.蔬菜制品特种垃圾处理服务说明2.服务收费标准3.运输和处理设施信息4.环保法规摘要5.保密协议6.事故报告模板7.服务记录日志二、违约行为及认定：1.未能按照约定时间收集或处理SpecialWaste。2.未能达到约定的SpecialWaste处理效率或回收率。3.泄露或未妥善处理保密信息。4.未遵守相关环保法规导致处罚或责任。5.未按时支付服务费用。6.违反合同中任何其他条款或条件。三、法律名词及解释：1.SpecialWaste指不再适合消费或使用的蔬菜制品废物。2.Management指收集、运输、处理、回收和处置SpecialWaste的活动。3.EffectiveDate本协议生效的日期。4.Term本协议的有效期。5.Confidentiality保密义务。6.Indemnification赔偿责任。四、执行中遇到的问题及解决办法：1.SpecialWa
