2.TermandTermination

3.CompensationandPayment

3.2ThePrincipalshallmakepaymentstotheAgentwithin[PaymentPeriod]aftertheendofeach[PaymentPeriod]forcommissionsearnedduringsuchperiod.

3.3AllcommissionsshallbepaidinU.S.dollarsandshallbesubjecttoapplicabletaxesanddeductions.

4.ExclusiveRightsandObligations

5.Confidentiality

5.1ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedbyeitherpartyduringthetermofthisAgreement.

5.2Confidentialinformationshallinclude,butnotbelimitedto,tradesecrets,customerlists,andfinancialinformation.

6.GoverningLawandDisputeResolution
