简单沙石供货协议书合同编号：__________simpleSandSupplyAgreementThisAgreementismadeandenteredintoasoftheEffectiveDateandbetweenthefollowingparties:[SupplierInformation]Hereinafterreferredtoasthe"Supplier";and[CustomerInformation]Hereinafterreferredtoasthe"Customer".RECITALSWHEREAS,theSupplierisengagedinthebusinessofsupplyingsandandrelatedmaterials;WHEREAS,theCustomerrequiresthesupplyofsandfortheirconstructionprojects;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:SupplyofSand1.1TheSupplieragreestosupplytheCustomerwiththerequiredquantityofsandasspecifiedintheattachedScheduleA(the"Sand")attheDeliveryLocationduringtheSupplyPeriod.1.2TheSuppliershallusereasonableeffortstoensurethattheSandmeetsthequalitystandardssetforthinScheduleB(the"QualityStandards").1.3TheSuppliershalldelivertheSandtotheDeliveryLocationonthedatesandinthequantitiesspecifiedintheattachedScheduleA.Article2:DeliveryandAcceptance2.1TheSuppliershalldelivertheSandtotheDeliveryLocationonthedatesandinthequantitiesspecifiedintheattachedScheduleA.2.2TheCustomershallaccepttheSandupondeliveryandshallpromptlynotifytheSupplierinwritingofanydefectsornonconformitieswiththeQualityStandards.2.3TheSuppliershall,atitsownexpense,correctanydefectsornonconformitieswiththeQualityStandardswithinareasonabletimeafterreceivingwrittennoticefromtheCustomer.Article3:PaymentTerms3.1TheCustomershallpaytheSupplierfortheSanddeliveredandacceptedinaccordancewiththetermsofScheduleC(the"PaymentTerms").3.2TheCustomershallmakepaymenttotheSupplierwithin[numberofdays]afterthedateoftheinvoiceissuedtheSupplier.3.3TheSuppliershallprovidetheCustomerwithadetailedinvoiceforeachdeliveryofSand.Article4:TermandTermination4.2EitherpartymayterminatethisAgreementwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticefromtheterminatingparty.4.3ThisAgreementmaybeterminatedeitherpartyuponwrittennoticeintheeventoftheoccurrenceofaForceMajeureEvent(asdefinedinArticle5)thatcontinuesforaperiodof[numberofdays]ormore.Article5:ForceMajeure5.1ForthepurposesofthisAgreement,a"ForceMajeureEvent"meansanactofGod,labordispute,riot,rebellion,war,accident,fire,flood,storm,orothercausesbeyondthereasonablecontrolofaparty.5.2ThepartyaffectedaForceMajeureEventshallpromptlynotifytheotherpartyinwritingoftheoccurrenceofsucheventandshallusereasonableeffortstomitigatetheeffectsoftheevent.5.3ThepartyaffectedaForceMajeureEventshallberelievedfromliabilityfortheperformanceofitsobligationsunderthisAgreementduringthedurationoftheevent,providedthattheaffectedpartyusesreasonableeffortstoresumeperformanceassoonaspossibleaftertheeventhasceased.Article6:Confidentiality6.1Thepartiesheretoagreetomaintaininstrictconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformation(the"ConfidentialInformation")exchangedbetweentheminconnectionwiththenegotiationandperformanceofthisAgreement,exceptasmayberequiredlaworregulation.6.2TheobligationsofconfidentialitysetforthinthisArticle6shallsurvivetheexpirationorterminationofthisAgreement.Article7:GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionof[jurisdiction].7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.Article8:EntireAgreement8.1ThisAgreement(includingtheattachedSchedulesA,B,andC)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhere一、附件列表：A:沙石供应详细清单B:沙石质量标准C:支付条款详细说明二、违约行为及认定：1.供应商未能按照约定的时间和数量供应沙石。2.供应商供应的沙石不符合约定的质量标准。3.客户未能在约定时间内支付供应商供应的沙石款项。4.任何一方未能履行本协议项下的其他义务。三、法律名词及解释：1.供应商：指根据本协议向客户供应沙石的法人或其他组织。2.客户：指根据本协议购买沙石的法人或其他组织。3.交付地点：指供应商将沙石交付给客户的具体地点。4.供应期间：指本协议约定的供应商供应沙石的时间段。5.质量标准：指供应商供应的沙石应满足的具体质量要求。四、执行中遇
