ConfidentialityAgreement

ThisConfidentialityAgreement("Agreement")isenteredintoasof[Date],andbetween[YourName],withaprincipalplaceofbusinessat[YourAddress]("Discloser"),and[Recipient'sName],withaprincipalplaceofbusinessat[Recipient'sAddress]("Recipient").

Recitals:

A.TheDiscloseristheownerofcertainconfidentialandproprietaryinformation,including,butnotlimitedto,tradesecrets,knowhow,technicaldata,andbusinessinformation("ConfidentialInformation").

B.TheRecipientdesirestoevaluatetheConfidentialInformationforthepurposeof[PurposeofDisclosure],andtheDiscloseriswillingtodisclosetheConfidentialInformationtotheRecipientsubjecttothetermsandconditionsofthisAgreement.

C.ThepartiesdesiretoestablishthetermsandconditionsunderwhichtheConfidentialInformationmaybedisclosedandusedtheRecipient.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:

1.ConfidentialInformation

1.1TheRecipientacknowledgesthattheDiscloserhasdisclosedormaydiscloseConfidentialInformationtotheRecipient.

1.2TheRecipientagreestoholdtheConfidentialInformationinstrictconfidenceandtousetheConfidentialInformationsolelyforthepurposeof[PurposeofDisclosure]andnotforanyotherpurposewhatsoever.

1.3TheRecipientagreesnottodisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDiscloser.

1.4TheRecipientagreestotakeallreasonablestepstoprotecttheConfidentialInformationfromunauthorizeddisclosure,use,ordissemination.

2.Exclusions

2.1TheobligationsofconfidentialityandnonusesetforthinthisAgreementshallnotapplytoanyinformationthat:

b.isrightfullyreceivedtheRecipientfromathirdpartywithoutadutyofconfidentiality;

c.isindependentlydevelopedtheRecipientwithoutreferencetotheConfidentialInformation;

d.isdisclosedtheDisclosertoathirdpartywithoutadutyofconfidentialityontheRecipient.

3.TermandTermination

3.2EitherpartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherparty.

3.3UponterminationofthisAgreement,theRecipientshallpromptlyreturnordestroyallConfidentialInformationinitspossession,custody,orcontrol.

4.GoverningLaw

ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction],withoutregardtoitsconflictoflawprinciples.

5.Miscellaneous

5.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

5.2AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbothparties.

5.3ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisConfide
