PartyAshallpayoffsalarytoPartyBincurrencyonthe8thofeverymonth.Thepayperiodisfromthebeginningtotheendoflastmonth.PartyBworksbeforepaid.PartyB’snormalbasicsalaryis andannualbonusis whichcanbeadjustedasperthecompany’soperationandPartyB’sPartyAwilldeductPartyB’ssocialinsurancepremiumandindividualincometaxfromhisorhersalary.PartyB’slaborremunerationwillbeadjustedasperPartyB’scompetenceandjobrequirementsonthebasisofconsensusincasePartyAadjustPartyB’sjob.SocialWelfare&AccordingtotheState’srelatedrules,PartyAwillpayShanghaisocialinsuranceinurbanarea(i.e.pensioninsurance,unemploymentinsurance,medicalinsuranceandhousingfund)forPartyBwhosehouseholdregistrationisnon-ruralfamily.AndPartyAwilldeductPartyB’spartfromhisorhersalary;incasePartyB’shouseholdregistrationisruralfamily,PartyAwillpayShanghaisocialinsuranceinsmalltownsandcounties(unemploymentinsurance,maternityinsuranceandemploymentinjuryinsurance)forPartyB;incasePartyBisanout-of-townemployee,PartyAwillcovercomprehensiveinsuranceforPartyB.Whenthelaborcontractisterminatedbybothparties,PartyAwillhandletherelatedproceduresforPartyB’ssocialinsuranceaccordingtotherelatedregulations.PartyBwillbetreatedasstipulatedbytheStateandShanghaiincaseheorsheisinjuredduringthework.IncasePartyBtravelsonbusiness,PartyAwillreimbursetravellingexpensesandgivesubsidytoPartyBinaccordancewiththecompanyrules.LaborWithinthecontractterm,PartyBshallabidebytheState’slawsandregulationsaswellastherulesformulatedbyPartyAaccordingtothelaws;followlaborsecurityandhygienesystems,productionprocesses,operatinginstructionsandjobspecifications;takegoodcareofPartyA’sproperty;andsafeguardthebenefitsandreputationofthecompany.IncasePartyBviolatesanyofthelabordisciplines,PartyAmaypunishPartyBorevenreleasethecontractaccordingtotherulesandregulationsofthecompany.Moreover,PartyBwillbeheldliableforPartyA’seconomiclossesonacase-by-casebasis,intheeventthatPartyB’sbehaviordamagesPartyA’sinterests.Incaseoftheconsiderableamountoflosses,PartyAwillretaintherighttopursuelegalactionsagainstPartyB.Duringthecontractperformance,PartyAmayformulateneworreviserulesandregulationsbasedontheState’srelatedregulations.Therulesandregulations,operatingprovisions,noticesandproclamationsarebindingonPartyB.Article17 IncaseanyarticlehereinconflictswiththenewregulationsandrulesissuedbytheStateandPartyA,PartyBagreestoobeythelatter.ArticleArticle
LaborContractPerformance&PartyAshallfurnishPartyBwithproperworkingplace,laborconditionsposition,andshallalsopaytheremunerationtoPartyBontime,conformingtoprovisionsherein.PartyBshallfulfillhisresponsibilitieshereininduediligence.Thecontractmayberevisedinwrittenform,afterbothparties’agreementthroughnegotiation.LaborContractCancellation,Termination&Article20Thecontractmaybecanceledbasedonbothparties’mutualnegotiation.Eitherpartyintendingtocancelthecontractshallinformtheotherpartyinwrittenform30daysinadvance(Probationperiod:3daysinadvance).Article21PartyAmaycancelthecontractincaseanyofthefollowingPartyBseverelyviolatesthelabordisciplinesandPartyB’sgrossnegligenceorjobberycausesgreatlossesforPartyPartyBholdsanotherjobwithoutthepermitofPartyA,whichseriouslyaffectsthecompletionofPartyA’sworktask,orPartyBrefusestocorrecttheerrorafterPartyA’swarning;ThecontractturnsinvalidduetoPartyBisheldcriminallyresponsibleorreeducatedthroughlabor;PartyBacceptsbribesbytakingadvantageofdutyorcausesthelossofthecompanybyvirtueofdivulgingthecommercialsecrets.Article22PartyBmaynotifyPartyAofterminatingthecontractatanytime,incaseanyofthefollowingoccurs:WithinthePartyAforcesPartyBtoworkbyviolence,threatorillegallimitationsofPartyB’sfreedom.PartyAfailstopayPartyB’ssalaryorprovideworkconditionsasstipulatedArticle23 PartyAmaycancelthecontractupon30days’priorwrittennoticetoPartyB(Probation:3daysinadvance),incaseanyofthefollowingoccurs:PartyB,duetosicknessorinjuryinflictedoffthejob,cannotresumehisorherworkordotheotherjobreassignedbyPartyAafterspecifiedperiodofmedicaltreatment;PartyBisunqualified,evenafteratrainingorjobTheobjectiveconditionsonwhichthecontractisbasedhavemateriallychangedtotheextentthatitisimpossibletoperformthecontractwhilebothpartiescannotreachanagreementtoamendthecontracttoreflectthechangedconditions;orPartyAdownsizesaccordingtorelatedlawsandArticle24PartyAisnotallowedtocancelthelaborcontractasperArticle24incaseanyofthefollowingoccurs:PartyBisconfirmedpartlyortotallyincapacitatedduetoanindustrialinjuryoranoccupationaldiseasewhenworkingforPartyA;PartyBisinaperiodofmedicaltreatmentforsicknessorworkThefemaleemployeeisinpregnancy,maternityorlactation;Othersituationsstipulatedinlawsandadministrativeprovisions.Article25 Thecontractwillterminateincaseanyofthefollowingoccurs:ThelaborcontractPartyBisdead,pronounceddeadorpronouncedmissingbythepeople'sPartyAisdeclaredbankruptcyPartyA’sbusinesslicenseisrevoked;PartyAiscompelledtoclosedownordissolve;orPartyAdecidestodissolveinadvance;orOthersituationsstipulatedinlawsandadministrativeCompensationfortheBreachorCancellationoftheArticle26IncasePartyBfailstonotifyPartyAofcancellingthecontractinwrittenform30daysinadvanceaspertheLaborContractLaw,heorsheshallcompensatePartyAfortheadvancedtimebasedonPartyB’sdailywage.Article27IncasePartyB’sbehaviorcausesthelossesofPartyA,thecompensationamountiscalculatedbasedontheactuallossescausedbyPartyB.Thecompensationincludes:ThedirecteconomiclossescausedbyPartyB’sdamagesof PartyA’sThedirecteconomiclossesresultingfromPartyB’snegligence;TheeconomiclossesduetoPartyB’srejectionofthereasonableworkassignedbyPartyA.Article28AsrequiredbyPartyB,PartyAmayhandletheproceduresfortheintroductionofPartyBasaprofessionalormanagerfromotherprovincescities.Aftertheprocedureisfulfilled,PartyBshallservethecompanyfor_years.Duringtheperiodofservice,PartyBisnotallowedtoresignorterminatethecontract.IncasePartyBleavesthecompanywithoutthepermissionfromPartyAorPartyBisdismissedforviolatingdisciplines,PartyBshallcompensatePartyAatRMB_basedontherestservicetimeandacertainproportion.Article29
