Item2Bothsideshavereachedagreementonthepriceofthehousetobesoldat（RENMINBI）500000Yuan.（capitalization）：FIVEHUNDREDTHOUSAND.

ThepaymentmethodandpaymenttermsofPartyBshallbeclearlystatedbybothpartiesinthepaymentagreement(Appendix3)。AfterPartyBpaysforthehouse，PartyAshalldrawoutareceiptconformingtothetaxationregulations。

Item3WhenPartAtransfertherealestate，thetenureoflandwillbedealwiththeitemNO：1shownasbelow.

(I）PartAobtaintheuseperiodoftherightofuseofthestatelandfromYearMonthDaytoYearMonthDay,thereinto,PartBinaccordancetothiscontractgaintherealestate，obtaintheuseperiodoftherightofuseofthestate—ownedlandfromYearMonthDaytoYearMonthDay,asLegallyusethedateofexpiryoftherightofuseofthestate—ownedland.

Item4BothsideshavereachedagreementthatPartAshouldvacatebeforetheday2007Year04Month30DaythishouseandinformPartBtocheckandaccept。PartBshouldcheckthedecoration、equipmentinthehousefromthedayPartBreceivetheinformationin5days。Afterchecking，PartyAshalltransferthekeysofthehousetoPartyB,whichindicatesthetransferenceofthehouse。

Item5PartyApromisesthatifthereisanydamageordemolitiontothehousedecorationsorauxiliaryfacilitiesduringtheperiodfromtheagreement—signingdatetothehouseacceptancedate,itshallpayPartyBthepenaltyofRMBYuan，whichisequivalenttothevalueofthedamagedordemolishedfacilities。

Item6PartyAandPartyBagreetoapplyforthehousetransferenceattherealestateexchangebeforeApril30th，2007。

Item7TherightofthelandwithinthescopeofthehouseandtheprincipalandinterestofthemaintenancefoundationforthepublicplaceshouldbeconsideredasbeingtransferredtoPartBatthesametimewhenthehouseistransferredtoPartB。

Item9IfPartBdoesn'tpaythepaymentinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems(I）。
