1.Parties

3.PriceandPaymentTerms

3.1.Thetotalpurchasepriceforthegoods/servicesis[Price],subjecttothetermsofpaymentsetforthinthiscontract.

3.2.Paymentshallbemadebythebuyertothesellerwithin[Number]daysafterthebuyerreceivestheinvoicefromtheseller.

4.Delivery

5.RiskofLoss

5.1.Riskoflossordamagetothegoods/servicesshallpassfromthesellertothebuyerupondeliveryofthegoods/servicestothecarrierattheportoforigin.

6.Warranties

6.1.Thesellerwarrantsthatthegoods/servicesconformtothespecificationssetforthinExhibitAattachedheretoandarefreefromanyliensandencumbrances.

6.2.Thesellerfurtherwarrantsthatithasgoodtitletothegoods/servicesandthatthesaleofthegoods/servicestothebuyerisnotprohibitedbyanylaw,rule,orregulation.

7.Disputes

7.1.Anydisputesarisingoutoforinconnectionwiththiscontractshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.2.Thedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.GoverningLaw

8.1.Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

9.EntireAgreement

9.1.Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten,betweentheparties.
