Article1:ScopeofWork

1.2PartyAshallprovidehigh-qualityrawmaterials,componentsandaccessoriesfortheproductionoftheproducts.

1.3PartyAshallstrictlycomplywiththedeliverytimeagreedbybothparties.

Article2:QualityControl

2.1PartyAshallconductqualitycontroloftheproductsinaccordancewiththerelevantqualitystandardsandtechnicalspecificationsrequiredbyPartyB.

2.2PartyAshallprovideinspectionreportsandrelevanttechnicaldocumentsfortheproductsuponrequest.

2.3PartyBhastherighttoinspectandtesttheproductsatanytimeduringtheproductionprocesstoensurecompliancewiththeagreedqualityrequirements.

Article3:DeliveryandShipping

3.1PartyAshalldelivertheproductstoPartyB'sdesignatedlocationorportofdestinationwithintheagreedtimeframe.

3.2PartyAshallberesponsibleforthetransportationcostsandinsuranceoftheproducts,unlessotherwiseagreedbybothparties.

3.3PartyAshallprovidePartyBwithshippingdocuments,suchasbillsofladingandcommercialinvoices,withinareasonabletimeaftertheproductsareshipped.

Article4:PaymentTerms

6.2Ifthepartiesareunabletoresolvethedisputesthroughnegotiation,eitherpartymaysubmitthedisputetotheapplicablecourtsorarbitrationinstitutionsforresolution.
