**PatentContractTemplate**

Thiscontract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertPartyAName]("Licensor"),a[InsertEntityType]withaprincipaladdressat[InsertLicensor'sAddress],and[InsertPartyBName]("Licensee"),a[InsertEntityType]withaprincipaladdressat[InsertLicensee'sAddress].

1.GrantofLicense

LicensorherebygrantstoLicenseeanon-exclusive,worldwide,androyalty-freelicensetouse,practice,andexploittheLicensedPatentsandLicensedTechnology(asdefinedbelow)forthepurposeofmanufacturing,using,offeringtosell,andsellingLicensedProducts(asdefinedbelow)duringtheTermoftheContract.

1.1LicensedPatents

The"LicensedPatents"meanallpatentsandapplicationsthereforownedorcontrolledbyLicensorasoftheEffectiveDateorthatarehereafteracquiredorcontrolledbyLicensor,includingbutnotlimitedto[ListallLicensedPatents].

1.2LicensedTechnology

The"LicensedTechnology"meansalltechnology,know-how,tradesecrets,andotherintellectualpropertyrightsrelatedtotheLicensedPatentsthatareownedorcontrolledbyLicensorasoftheEffectiveDateorthatarehereafteracquiredorcontrolledbyLicensor.

1.3LicensedProducts

The"LicensedProducts"meanallproductsthatarecoveredbytheLicensedPatentsorLicensedTechnologyandthataremanufactured,used,offeredtosell,orsoldbyLicenseeduringtheTermoftheContract.

2.LicenseFees

InconsiderationforthegrantofthelicenseunderSection1,LicenseeshallpaytoLicensorthefollowinglicensefees(the"LicenseFees"):

2.1UpfrontPayment

Within[InsertNumber]daysaftertheEffectiveDate,LicenseeshallpaytoLicensoranupfrontpaymentintheamountof[InsertAmount].

2.2Royalties

LicenseeshallpaytoLicensoraroyaltyfeeequalto[InsertPercentage]ofNetSales(asdefinedbelow)duringtheTermoftheContract.

3.TermandTermination

3.1Term

ThetermofthisContract(the"Term")shallcommenceontheEffectiveDateandshallcontinuefor[InsertNumber]years,unlessearlierterminatedinaccordancewiththisSection3.

3.2Termination

EitherpartymayterminatethisContractatanytimeforcauseuponwrittennoticetotheotherparty.Fortheavoidanceofdoubt,LicensormayterminatethisContractimmediatelyuponwrittennoticetoLicenseeifLicenseechallengesthevalidityofanyLicensedPatentorotherwiseengagesinconductthatisinconsistentwithLicensee'sobligationsunderthisContract.

4.WarrantiesandRepresentations

4.1LicensorWarrantiesandRepresentations

LicensorrepresentsandwarrantsthatithastherighttograntthelicensesetforthinSection1andthattheLicensedPatentsarevalidandenforceable.

4.2LicenseeWarrantiesandRepresentations

LicenseerepresentsandwarrantsthatitwillusetheLicensedPatentsandLicensedTechnologyinaccordancewithallapplicablelawsandregulationsandthatitwillnotusetheLicensedPatentsandLicensedTechnologyforanypurposethatisinconsistentwiththetermsofthisContract.

5.Indemnification

LicenseeshallindemnifyandholdharmlessLicensoragainstanyloss,damage,liability,claim,orexpense(includingreasonableattorneys'fees)arisingoutoforinconnectionwithLicensee'suseoftheLicensedPatentsorLicensedTechnology,excepttotheextentsuchloss,damage,liability,claim,orexpenseisdirectlycausedbyLicensor'sbreachofthisContract.

6.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbybindingarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

7.Miscellaneous

7.1GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

7.2EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
