**ContractforResearchandDevelopmentServices**

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClientIncorporationType]incorporatedin[InsertClientIncorporationCountry/State],and[InsertDeveloperName]("Developer"),a[InsertDeveloperIncorporationType]incorporatedin[InsertDeveloperIncorporationCountry/State].

**1.Services**

1.1Developeragreestoperformresearchanddevelopmentservices(the"Services")forClient,asmoreparticularlydescribedintheStatementofWorkattachedheretoasExhibitA(the"SOW").TheSOWisincorporatedintothisContractbyreference.

1.2DevelopershallperformtheServicesinaccordancewiththetermsandspecificationssetforthintheSOW.TheServicesshallbeperformedat[InsertDeveloperAddress],orsuchotherlocation(s)asthepartiesmaymutuallyagree.

**2.Term**

2.1ThetermofthisContract(the"Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertContractDuration],unlessearlierterminatedinaccordancewiththetermshereof.

**3.PaymentTerms**

3.1ClientshallpayDevelopertheamountsetforthintheSOW(the"Fee")fortheperformanceoftheServices.TheFeeshallbepaidinaccordancewiththepaymentschedulesetforthintheSOW.

3.2InadditiontotheFee,Clientshallberesponsibleforpaymentofallreasonableout-of-pocketexpensesincurredbyDeveloperinconnectionwiththeperformanceoftheServices,assetforthintheSOW.

**4.Confidentiality**

4.1BothpartiesacknowledgethatduringthecourseofthisContract,theymaydisclosetoeachothercertainconfidentialandproprietaryinformation(the"ConfidentialInformation").

4.2Eachpartyagreestoholdtheotherparty'sConfidentialInformationinstrictconfidenceandnottodisclosesuchConfidentialInformationtoanythirdparty,exceptasrequiredbylaworregulation,orwiththepriorwrittenconsentoftheotherparty.

**5.IntellectualProperty**

5.1Developershallownallright,title,andinterestinandtoanyandallintellectualproperty(the"IP")developedorcreatedbyDeveloperinconnectionwiththeperformanceoftheServices,includingwithoutlimitationanypatents,copyrights,trademarks,tradesecrets,andotherproprietaryrights.

5.2ClientshallhavetherighttousetheIPforthepurpose(s)setforthintheSOW,andshallnototherwiseuse,distribute,ordisclosetheIPwithouttheexpresswrittenconsentofDeveloper.

**6.Termination**

6.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticethereoffromtheterminatingparty.

6.2ThisContractmayalsobeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybecomesthesubjectofabankruptcyproceeding,orifareceiverortrusteeisappointedfortheotherparty.

**7.GoverningLawandDisputeResolution**

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction],withoutregardtoitsconflictoflawsprinciples.

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

**8.EntireAgreement**

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
