underthisContract.20.2PartyBshallindemnifyandholdharmlessPartyAfromanyandallclaims,damages,orlossesarisingoutoforinconnectionwithPartyB'sbreachofthisContractoritsviolationofanyapplicablelawsorregulations.Article21:ForceMajeure21.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContracttotheextentthatsuchfailureordelayiscausedbyeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,civilunrest,oranyothercircumstancesbeyondtheaffectedParty'scontrol.21.2ThePartyaffectedbyforcemajeureshallpromptlynotifytheotherPartyinwritingandprovidereasonableevidenceoftheevent.Article22:AuditRights22.1PartyAshallhavetherighttoauditPartyB'ssalesrecordsandfinancialstatementsrelatedtothesalesactivitiesatanytimeuponreasonablenotice.22.2PartyBshallcooperatefullywithPartyAinconductingsuchauditsandshallprovideallnecessaryinformationandaccess.Article23:CovenantNottoSue23.1PartyBcovenantsnottobringanylegalactionorproceedingagainstPartyAinconnectionwiththesalesactivitiesortheprofitsharingarrangementunderthisContract.Article24:SuccessorsandAssigns24.1ThisContractshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.Article25:Severability25.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallremaininfullforceandeffect.Article26:ExecutioninCounterparts26.1ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Article27:NoThird-PartyBeneficiary27.1ThisContractisintendedforthebenefitofthePartiesheretoandshallnotconferanyrightsuponanythirdparty.Article28:Notices28.1Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonally,sentbyregisteredmail,orsentbyemailwithconfirmationofreceipt.Article29:EffectiveDate29.1ThisContractshallbeeffectiveasofthedatefirstabovewritten.Article30:Signatures30.1
