原油购销合同协议书英文

PartyA:(Buyer)

PartyB:(Seller)

ThisContractofPurchaseandSaleofCrudeOil(the"Contract")ismadeandenteredintoasof(Date),byandbetweenPartyAandPartyB(collectivelyreferredtoasthe"Parties").

1.PurchaseandSaleofCrudeOil

1.1PartyAagreestopurchasefromPartyB,andPartyBagreestoselltoPartyA,acertainquantityofCrudeOil(the"Product")asspecifiedintheattachedScheduleA(the"Order").

1.2TheProductshallbeofthequalityandspecificationssetforthintheOrder,andPartyBshalldelivertheProducttoPartyAatthedeliverylocationspecifiedintheOrder.

1.3ThetotalpurchasepricefortheProductshallbeasspecifiedintheOrder,andshallbepaidbyPartyAtoPartyBinaccordancewiththepaymenttermssetforthinthisContract.

2.Delivery

2.1PartyBshalldelivertheProducttoPartyAatthedeliverylocationspecifiedintheOrdernolaterthan(DeliveryDate).

2.2PartyBshallberesponsibleforalltransportationcostsandexpensesassociatedwiththedeliveryoftheProducttothedeliverylocation.

2.3PartyAshallberesponsibleforallcostsandexpensesassociatedwiththeunloading,storage,andhandlingoftheProductatthedeliverylocation.

3.Payment

3.1PartyAshallpayPartyBthetotalpurchasepricefortheProductwithin(NumberofDays)daysafterthedateoftheinvoiceissuedbyPartyB.

3.2PaymentshallbemadebyPartyAtoPartyBinthecurrencysetforthintheOrder,andshallbemadebywiretransfertothebankaccountspecifiedbyPartyB.

4.InspectionandAcceptance

4.1UpondeliveryoftheProduct,PartyAshallhavetherighttoinspectandtesttheProducttoconfirmitsconformitywiththequalityandspecificationssetforthintheOrder.

4.2IftheProductdoesnotconformtothequalityandspecificationssetforthintheOrder,PartyAshallhavetherighttorejecttheProductandrequirePartyBtoreplaceorrefundthepurchasepriceforthenon-conformingProduct.

5.Warranties

5.1PartyBwarrantsthattheProductconformstothequalityandspecificationssetforthintheOrder,andthatPartyBhasgoodtitletotheProductandtherighttoselltheProducttoPartyA.

5.2PartyBshallindemnifyandholdharmlessPartyAforanyloss,damage,orliabilityarisingoutoforinconnectionwithanybreachofthewarrantiessetforthinthisContract.

6.ForceMajeure

6.1IfeitherPartyispreventedfromperformingitsobligationsunderthisContractbyaneventofforcemajeure,suchasactsofGod,labordisputes,orgovernmentactions,suchPartyshallbeexcusedfromperformingitsobligationsunderthisContracttotheextentthatsuchperformanceispreventedbytheforcemajeureevent.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(GoverningJurisdiction).

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe(ArbitrationInstitution),andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.
