otheSeller.6.2.2RejectionIntheeventofnon-conformity,theBuyershallhavetherighttorejectthegoodsandrequestreplacementorrefund.6.3DisputeResolutionAnydisputesarisingfromtheinspectionandacceptanceofgoodsshallberesolvedthroughtheproceduresspecifiedinthisContract.6.3.1DisputeNotificationThepartyinitiatingthedisputeshallprovidewrittennoticetotheotherpartydetailingtheissue.6.3.2ResolutionProcessThepartiesshallattempttoresolvethedisputethroughnegotiationormediation.Chapter7:WarrantiesandLiabilities7.1Seller'sWarrantiesTheSellerwarrantsthatthegoodsarefreefromdefectsinmaterialandworkmanshipandconformtotheagreedspecifications.7.1.1WarrantyPeriodThewarrantyperiodshallbe__years/monthsfromthedateofdelivery.7.1.2WarrantyClaimsTheBuyermaymakewarrantyclaimswithinthewarrantyperiodforanydefectsthatarise.7.2Buyer'sWarrantiesTheBuyerwarrantsthatthepaymentforthegoodswillbemadeinaccordancewiththeagreedterms.7.2.1PaymentAssuranceTheBuyershallensurethatpaymentsaremadeontimeandintheagreedcurrency.7.2.2DelayedPaymentTheBuyershallbeliableforanypenaltiesorinterestduetodelayedpayments.7.3LiabilityforBreachThepartyinbreachofthisContractshallbeliableforanylossesincurredbytheotherparty.7.3.1CompensationforLossesThebreachingpartyshallcompensatetheotherpartyforanydirectandindirectlossesresultingfromthebreach.7.3.2LimitationofLiabilityTheliabilityofthebreachingpartymaybelimitedasperthetermsagreedinthisContract.Chapter8:ForceMajeure8.1DefinitionofForceMajeureForceMajeurereferstounforeseeable,unavoidable,andinsurmountableeventsthatpreventtheperformanceofthisContract.8.1.1EventsofForceMajeureExamplesincludenaturaldisasters,wars,andgovernmentactions.8.1.2NotificationRequirementTheaffectedpartyshallnotifytheotherpartyoftheforcemajeureeventwithin__days.8.2EffectsofForceMajeureThepartyaffectedbyforcemajeureshallbeexemptedfromliabilityforfailuretoperformunderthisContract.8.2.1SuspensionofObligationsTheobligationsoftheaffectedpartyshallbesuspendedduringtheforcemajeureevent.8.2.2TerminationRightsEitherpartymayterminatethisContractiftheforcemajeureeventsignificantlyaffectstheperformance.Chapter9:ContractModification,Termination,andCancellation9.1ContractModificationThisContractmaybemodifiedonlywiththewrittenagreementofbothparties.9.1.1ModificationProposalAnypartymayproposemodifications,whichshallbediscussedandagreeduponbybothparties.9.1.2ModificationAgreementModificationsshallbedocumentedinwritingandsignedbybothparties.9.2ContractTerminationEitherpartymayterminatethisContractundertheconditionsspecifiedinthisContract.9.2.1TerminationConditionsConditionsmayincludebreachofcontract,failuretoperform,ormutualagreement.9.2.2TerminationNoticeTheterminatingpartyshallprovidewrittennoticetotheotherparty.9.3ContractCancellationThisContractmaybecancelledbymutualagreementofbothparties.9.3.1CancellationAgreementCancellationshallbeagreeduponinwritingbybothparties.9.3.2EffectsofCancellationTheeffectsofcancellation,includingthereturnofgoodsandrefundofpayments,shallbespecifiedinthecancellationagreement.Chapter10:DisputeResolution10.1MethodsofDisputeResolutionDisputesarisingfromthisContractshallberesolvedthroughnegotiation,mediation,arbitration,orlitigation.10.1.1PreferredMethodNegotiationisthepreferredmethodforresolvingdisputes.10.1.2ArbitrationIfnegotiationfails,eitherpartymayinitiatearbitrationproceedings.10.2DisputeResolutionProceduresThepartiesshallfollowtheproceduresspecifiedinthisContractfordisputeresolution.10.2.1SubmissionofDisputeThepartyinitiatingthedisputeshallprovidewrittennoticetotheotherparty.10.2.2MediationMediationmaybeattemptedbeforeproceedingtoarbitrationorlitigation.10.3GoverningLawandJurisdictionThelawsofthePeople'sRepublicofChinashallgovernthisContract,anddisputesshallberesolvedinthecourtsoftheplaceofsigning.10.3.1ApplicableLawThelawsofthePeople'sRepublicofChinashallapplytothisContract.10.3.2JurisdictionThecourtsoftheplaceofsigningshallhavejurisdictionoveranydisputesarisingfromthisContract.Chapter11:Supp
