ter8:Confidentiality8.1ConfidentialInformationBothpartiesshalltreatallinformationdisclosedunderthisAgreementasconfidential.8.2ConfidentialityObligationsEachpartyshalltakeallnecessarystepstosafeguardtheconfidentialityoftheinformationandshallnotdiscloseittoanythirdpartywithoutthewrittenconsentoftheotherparty.8.3ExceptionstoConfidentialityTheobligationsofconfidentialityshallnotapplytoinformationthatispubliclyavailableorisrequiredtobedisclosedbylaw.Chapter9:LiabilityforBreachofContract9.1BreachofContractApartyshallbedeemedinbreachofthisAgreementifitfailstoperformanyofitsobligationsunderthisAgreementorifitbreachesanyofthewarrantiesprovidedherein.9.2RemediesforBreachIntheeventofabreach,thenon-breachingpartyshallbeentitledtoseekallremediesavailableunderthelaw,includingspecificperformance,damages,andinjunctiverelief.9.3LimitationofLiabilityNeitherpartyshallbeliabletotheotherforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.Chapter10:DisputeResolution10.1MethodsofDisputeResolutionThepartiesagreetofirstattempttoresolveanydisputesarisingfromthisAgreementthroughgoodfaithnegotiations.10.2ArbitrationProceduresIfnegotiationsfail,disputesshallbesubmittedtoarbitrationinaccordancewiththearbitrationrulesspecifiedinthisAgreement.10.3GoverningLawforDisputeResolutionThearbitrationshallbegovernedbythelawsofthePeople'sRepublicofChina,andthearbitrationproceedingsshalltakeplacein______.Chapter11:AmendmentsandSupplements11.1ConditionsforAmendmentsThisAgreementmaybeamendedonlywiththewrittenconsentofbothpartiesandsubjecttotheconditionsspecifiedherein.11.2ProceduresforSupplementsSupplementstothisAgreementmaybemadeinwritingandshallbedeemedanintegralpartofthisAgreement.11.3EffectofAmendmentsandSupplementsAnyamendmentsorsupplementsshallbecomeeffectiveuponbeingsignedbybothpartiesandshallhavethesameforceandeffectastheoriginalAgreement.Chapter12:TerminationandPost-TerminationObligations12.1ConditionsforTerminationThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofcertainconditionsspecifiedinthisAgreement.12.2EffectsofTerminationUpontermination,eachpartyshallceaseallusesoftheintellectualpropertyandshalltakeallactionsnecessarytoreturnordestroyallmaterialscontainingtheintellectualproperty.12.3Post-TerminationObligationsNotwithstandingtheterminationofthisAgreement,certainobligations,includingconfidentialityandpaymentobligations,shallsurvivethetermination.Chapter13:SignatureSection13.1SignatureoftheLicensorLicensor:______AuthorizedSignature:______Date:______13.2SignatureoftheLicenseeLicensee:______AuthorizedSignature:______Date:______13.3DateofSigningThisAgreementisenteredintoandeffectiveasofthedatefirstabovewritten.13.4PlaceofSigningThisAgreementissigned
