erreferredtoas"Client";PartyB(hereinafterreferredtoasthe"ServiceProvider"),RegisteredAddress:____________________________,Represented:____________________________,Hereinafterreferredtoas"ServiceProvider";AndPartyC(hereinafterreferredtoasthe"ThirdPartyIntegrator"),RegisteredAddress:____________________________,Represented:____________________________,Hereinafterreferredtoas"ThirdPartyIntegrator".WHEREAS,theClientdesirestoengagetheServiceProviderfortheprocurementofcertainservices,andtheServiceProvideragreestoprovidesuchservicesincollaborationwiththeThirdPartyIntegratorunderthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.ServicesandScopeTheServiceProvider,incollaborationwiththeThirdPartyIntegrator,shallprovidetheservicesdescribedinExhibitAattachedhereto(the"Services"),inaccordancewiththescopeandspecificationssetforththerein.2.ServiceProvider'sRightsandBenefits(a)TheServiceProvidershallhavetherighttorequestandreceiveallnecessaryinformationandcooperationfromtheClientandtheThirdPartyIntegratortoperformtheServiceseffectively.(b)TheServiceProvidershallbeendtoreceiveafeefortheServicesassetforthinExhibitA(the"ServiceFee"),payableinaccordancewithSection4below.(c)TheServiceProvidershallhavetherighttosubcontractportionsoftheServicestotheThirdPartyIntegrator,subjecttotheapprovaloftheClient,whichshallnotbeunreasonablywithheld.3.ThirdPartyIntegrator'sResponsibilitiesandRights(a)TheThirdPartyIntegratorshallberesponsiblefortheperformanceoftheservicesassignedtheServiceProvider,inaccordancewiththetermsofthisContract.(b)TheThirdPartyIntegratorshallbeendtoaportionoftheServiceFeeasagreeduponbetweentheServiceProviderandtheThirdPartyIntegrator,separatefromthisContract.(c)TheThirdPartyIntegratorshallhavetherighttoaccesstheClient'spremisesandsystemsasnecessarytoperformitsobligationsunderthisContract.4.PaymentTerms(a)TheClientshallpaytheServiceFeeinaccordancewiththepaymentschedulesetforthinExhibitA.(b)IntheeventoflatepaymenttheClient,theServiceProvidershallbeendtochargeinterestatarateof__________%perannumontheoutstandingamount.5.Client'sObligationsandRestrictions(a)TheClientshallprovideallnecessarysupportandresourcestoenabletheServiceProviderandtheThirdPartyIntegratortoperformtheServices.(b)TheClientshallnotunreasonablywithholdordelayapprovalofanysubcontractingarrangementproposedtheServiceProvider.(c)TheClientshallberestrictedfromengaginganyotherpartytoperformservicesthatarewithinthescopeoftheServiceswithoutthepriorwrittenconsentoftheServiceProvider.6.WarrantyandIndemnification(a)TheServiceProviderwarrantsthattheServiceswillbeperformedwithreasonablecareandskill.(b)TheThirdPartyIntegratorshallindemnifyandholdharmlesstheServiceProviderandtheClientagainstanyclaimsarisingfromtheThirdPartyIntegrator'sperformanceornonperformanceofitsobligationsunderthisContract.7.Confidentiality(a)AllpartiesagreetomaintaintheconfidentialityofanyproprietaryinformationdisclosedinconnectionwiththisContract.(b)TheThirdPartyIntegratorshallbeboundtheconfidentialityprovisionsofthisContractasifitwereapartyhereto.8.Termination(a)TheServiceProvidermayterminatethisContractuponwrittennoticeintheeventofamaterialbreacht
