hin7daysafterthesignatureoftheContract.履约保证金应采用人民币，并采用下述方式提交：TheperformancebondshallbedenominatedinRenminbi("RMB")anddeliveredinthefollowingmanner:在卖方提供的全部设备预验收合格后十五天内，买方将把履约保函退还卖方。ThebuyershallreturnperformanceguaranteetotheSellerwithin15daysafteralltheequipmentsuppliedbytheSellerhavebeencheckedandacceptedasqualified.检验和测试InspectionandTest买方和/或其代表有权检验和/或测试货物，以确定货物是否符合合同的要求。TheBuyerand/oritsrepresentativeshallbeentitledtoinspectand/ortestthegoodstoascertainwhetherthegoodsmeettherequirementsoftheContract.买方和/或其代表的检验和/或测试不能减免卖方基于本合同应尽的义务和应承担的责任。TheobligationstobeperformedbytheSellerandtheliabilitiestobeundertakenbytheSellermaynotbediminishedorexemptedundertheContractdespitetheinspectionandtestconductedbytheBuyeranditsrepresentative.买方和/或其代表对货物进行检验和/或测试不承担额外的费用。Additionalexpensesincurredintheprocessofinspectionand/ortestonthegoodsarenotbornebytheBuyerand/oritsrepresentative.卖方应提前三十天向买方发出货物检验和测试通知，该通知应载明(包括但不限于)检验和测试的内容、时间、地点等信息，买方应在收到该通知后十四天内确认是否参加上述检验和/或测试。TheSellershallissueaninspectionandtestnoticeofgoodstotheBuyer30daysinadvance.Thenoticeshallsetforth,includingbutnotlimitedto,thecontents,timeandplacesoftheinspectionandtest.TheBuyershalldeterminewhethertoparticipateintheforegoinginspectionand/ortestwithin14daysafterreceiptofthenotice.检验和/或测试可以在卖方或其分包人的驻地、交货地点和/或货物的最终目的地进行。Inspectionand/ortestmaybeconductedatthebusinessplacesoftheSelleroritssubcontractors,theplaceofdeliveryand/orthefinaldestinationofthegoods.如果在卖方或其分包人的驻地进行，买方和/或其代表应能得到全部合理的设施和协助，买方不应承担费用。IftheInspectionand/ortestisconductedatthebusinessplacesoftheSelleroritssubcontractor,theBuyerand/oritsrepresentativesshallhaveanaccesstoallthefeasiblefacilitiesandassistance,providedthattheBuyershallnotbearanyexpenses.如果任何被检验或测试的货物不能满足合同的要求，买方可以拒绝接受该货物。IfanyinspectedortestedgoodsdonotconformwiththeContract,theBuyermayrefusetoacceptthesaidgoods.卖方应免费更换被拒绝的货物，或者免费进行必要的修改以满足规格的要求。TheSellershallreplacetherefusedgoodsormakenecessarymodificationsfreeofchargesothatthesegoodsmeetthestandards.整个安装过程须在卖方现场技术服务人员指导下进行。ThewholeprocedureofinstallationshallbecarriedoutinthepresenceoftheSeller'stechnicalservicepersonnelandundertheirdirection.重要工序完成后须经卖方现场技术服务人员签字确认。Uponcompletionofanimportantprocess,itmustbeverifiedbyon-sitetechnicalservicepersonnelfromtheSellerwithsignature.重要工序清单及相关技术资料由卖方于合同货物开始组装前二十一天提供。ListofimportantprocessesandrelevanttechnicalinformationwillbeprovidedbytheSellerwithin21dayspriortotheassemblyoftheContractGoods.卖方人员应负责对下述工作(包括但不限于)进行指导：安装的准备工作，机组和塔筒的现场安装和装配、接地及防雷系统的安装工作，指导买方的人员按要求的精度和质量完成安装工作。TheSellershallberesponsibletoconductthefollowingwork(includingbutnotlimitedto):preparationforinstallation,fieldinstallationandassemblyofunitsandtowers,installationofgroundingandlightningprotectionsystemandrenditionofguidancewhentheBuyer'spersonnelcompletetheinstallationaccordingtotherequiredaccuracyandquality.安装过程中，卖方现场技术服务人员应保证在场且对重要工序及时进行确认。Duringinstallation,theSeller’son-sitetechnicalservicepersonnelshallbeatpresentandconfirmtheimportantworkingproceduresinatimelymanner.若买方按卖方技术资料规定和现场技术服务人员的指导、卖方现场技术服务人员签字确认而出现问题，卖方承担责任；若买方未按卖方的技术资料规定和现场技术服务人员指导进行工作而出现问题，买方自行负责(设备自身问题除外)。IfanyproblemsstillariseaftertheBuyerhasconducteditsworkinaccordancewiththestipulationsoftheSeller’stechnicalinformationandundertheguidanceoftheSeller’son-sitetechnicalservicepersonnelandtheSeller’son-sitetechnicalservicepersonnelhaveconfirmedtheinstallationbysignature,theSellershallholdtheliabilitythereof.IfanyproblemsarisefromtheBuyer’sfailuretoconductitsworkinaccordancewiththestipulationsoftheSeller’stechnicalinformationandundertheguidanceoftheSeller’son-sitetechnicalservicepersonnel,theBuyershallholdtheliabilitythereofatitsownrisk(exceptfortheproblemswithequipmentitself).货物安装和试运行期间如果卖方的技术人员指导有误或卖方提供的图纸有误和/或卖方原因造成设备缺陷和/或设备损坏等，卖方应立即予以修补和/或更换，并承担由此产生的相关费用。Duringinstallationandcommissioningofthegoods,ifanyequipmentdefectsand/ordamagetoequipmentarecausedbytheSeller'stechnicalpersonnel’sincorrectguidanceorwrongdrawingsprovidedbytheSellerortheSelleritself,theSellershallpromptlyrepairand/orreplacesuchequipmentandbeliableforallthecoststhatmaybeincurredtherefor.卖方负责对货物进行运行调试，包括但不限于单机调试、并网调试以及整场调试。TheSellerisresponsibletodebugtheoperationofthegoods,includingbutnotlimitedtostand-alonecommissioning,synchronizingcommissioningandentirefieldcommissioning.从第一台(套)货物开始至最后一台(套)货物安装测试、试运行完成为调试期，调试按场内集电线路组数分批进行。Theperiodofcommissioningstartsfromtheinstallation,testandtrialrunofthefirstwindturbinetothoseofthelastwindturbine.试运行应达到每台(套)货物连续无故障、正常运行240小时，且完成国家行业规范及制造厂规定的性能测试并合格，且卖方提交合格的安装调试报告。Duringthecommissioningperiod,eachsetofgoodsshallcontinuously,normallyoperatefor240hourswithoutanyfailures,undergoandpassequipmentperformanceteststipulatedbytheprofessionalstandardsofthestateandmanufacturer;theSellershallsubmitqualifiedinstallationandcommissioningreport.在卖方完成2年质量保证期内的全部工作，合同设备质保期结束并完成支付合同规定的违约金(如有)以及索赔(如有)，双方签署最终验收证书。BothpartieswillsignthefinalacceptancecertificateontheconditionthattheSellercompletesalltheworkinthe2-yearwarrantyperiod,thewarrantyperiodoftheContractEquipmentexpiresandtheSellerpaysoffallthepen umeisormorethan12m(length)×?2.7m(width)×?3m(height),theSellershallinformtheBuyerofthevolumeandweightofeachpackingcarton.Also,detailsoninflammableordangerousgoodsshallbenotedseparately.卖方应在合同货物装运后(运单之日后)二(2)天内将运单副本一(1)份，保险单副本一(1)份，发票副本一(1)份，装箱单一(1)份，产品质量检验证书复印件一(1)份通过EMS邮寄给收货人。Intwo(2)daysaftergoodsisloadedandshipped,theSellershallsendtheconsigneebyEMSsomedocumentsincludingone(1)duplicateofwaybill,one(1)copyoftheinsurancepolicy,one(1)duplicateofinvoice,one(1)copyofpackinglistandone(1)copyofqualityinspectioncertificate.如果是因为卖方延误不能用传真形式和快递将上述内容通知和寄送给买方，使买方不能及时办理有关手续或安排收货准备，由此而造成的全部损失应由卖方负责。TheSellershallberesponsibleforalllossifhefailstoinformtheBuyerofandsendtotheBuyerallaboveinformationbyFaxorExpress,causingtheBuyernotbeabletohandlerelatedproceduresorarrangepreparationforreceivinggoodsontime.合同设备的保险InsuranceofContractEquipment卖方应对合同设备向买方项目公司所在地的保险公司以买方为受益人进行投保，使其免受一切损失或损害。TheSellershallinsurethecontractequipmentinfavoroftheBuyerintheinsurancecompanywheretheBuyer’sprojectcompanyislocatedtomakeitavoidalllossordamage.卖方应对合同设备，根据水运、陆运和空运等运输方式，向买方项目公司所在地的保险公司以买方为受益人投保发运合同设备价格110%的运输一切险，保险区段为卖方仓库到项目现场安装后90日止。Basedonmodeoftransportationsuchasbysea,landorair,theSellershallinsure110%allriskfortheContractEquipmentinfavoroftheBuyerintheinsurancecompanywheretheBuyer’sprojectcompanyislocated.Also,theinsurancebeginsuntil90daysafterthemachineisfromtheSeller’sstocktotheinstallationonsite.卖方应将合同设备运输保险合同的副本于每一批设备交货前10日提供给买方。TheSellershallsendtheBuyertheduplicateofshippinginsurancecontractofContractEquipment10daysbeforeeachbatchofequipmentisdelivered.由于卖方原因未能提供以上保险合同副本，其发生的连带责任将全部由卖方承担。TheSellershallbearalljointliabilitiesbecausetheSellerfailstoprovideabovecopyofinsurancecontractontime.运输Transport卖方应负责办理、支付将货物运至项目现场一切运输事项，相关费用已包括在合同总价中。TheSellershallberesponsibleforhandlingandpayingalltransportationmattersconcerningdeliveryofthegoodstotheprojectsite,therelevantcostisincludedintotalcontractprice.伴随服务AccompanyingServices卖方提供下列服务，包括但不限于合同条款与技术规格规定的服务：TheSellershallprovidefollowingservices,includingbutnotlimitedtotheservicesstipulatedinContractandtechnicalspecification.提供微观选址的复核服务；Providetherecheckserviceformicrolocating:提供货物及(包括但不限于)塔筒、基础、通信方案等的设计、优化、改进，在必要时对货物进行改进，及时提供相应的技术资料，并应保证提供的设计、优化、改进以及相关资料适合中水电江苏如东海上风电场(潮间带)100MW示范项目；Providegoods(includingbutnotlimitedto)andthedesign,optimizationandimprovementoftower,foundationandcommunicationplans,whennecessary,carryoutimprovementofthegoods,providecorrespondingtechnicaldatatimely,andguaranteethattheprovideddesign,optimization,improvementandrelatedtechnicaldataaresuitablefortheJiangsuRudongOffshoreWindFarm(IntertidalZone)100MWDemonstrationProjectofSinohydroCorporation.提供塔筒及其配件的监造和/或技术指导；Providemanufacturesupervisionand/ortechnicalguidanceoftoweranditscomponents;实施和/或监督所供货物的现场组装、安装、调试和试运行；Implementand/orsupervisethesiteassembly,installation,commissioningandtrialrunofsuppliedgoods;提供货物组装和/或安装和/或维修所需的工具；Providetoolsrequiredforassemblyand/orinstallationand/ormaintenanceofsuppliedgoods;为所供的每一适当的单台(套)货物提供详细、完整的操作和维护手册；为每一单台(套)货物作详细、完整的组装、安装及调试记录；Providedetailedandcompleteoperationandmaintenancemanualsforeachpropersetofgoods;makedetailedandcompleterecordforassembly,installationandtrialrunforeachpropersetofgoods;对买方人员在卖方驻地和/或卖方分包人驻地和/或在项目现场就卖方所供货物的组装、安装、试运行、运行、维护和/或修理进行培训。TheSellershallcarryouttrainingonassembly,installation,trialrun,operation,maintenanceand/orrepairoftheBuyer'semployeesattheSeller’spremisesand/ortheSeller’ssubcontractor'spremisesand/orprojectsite.卖方应提供合同条款/技术规格中规定的所有服务。TheSellershallprovidealltheservicesstipulatedintheContractortechnicalspecifications.为履行要求的伴随服务的报价或双方商定的费用已包括在合同总价中。Thefeesforaccompanyingservicesorexpensesagreedbetweenbothpartiesareincludedinthetotalcontractprice.详见合同附件1。SeeAnnex1oftheContractfordetails.如果卖方提供合同条款/技术规格中规定的所有服务以外其他伴随服务且费用未含在货物的合同总价中，双方应事先就其达成协议，但其费用单价不应超过卖方向其他人提供类似服务所收取的现行单价。IftheSellerprovidesotheraccompanyingservicesexcludedintheContract/technicalspecificationsandthefeeisnotincludedintotalcontractprice,itshouldbeagreedbetweenbothpartiesinadvance,butitsunitpriceshouldnotexceedthecurrentexpensepayablebyotherSeller'sclients.备件SpareParts卖方提供二(2)年质保期内的备品备件，质保期结束后，卖方应补齐备品备件。TheSellershallprovidesparepartswithinawarrantyperiodof2years,andtheSellershallmakeupallsparepartsafterwarrantyperiod.质保期满后五(5)年内，卖方应保证提供的备品备件价格不高于同期市场价格。TheSellershallguaranteetoprovidesparepartsatapricenothigherthanthemarketpriceinthesameperiodwithinfive(5)yearsafterwarrantyperiod.在原有备件停止生产后，卖方有义务开辟新的供应渠道和/或寻找替代原有备件的替代备件并满足买方的备件需求；如果买方要求，卖方应免费向买方提供替代备件的蓝图、图纸和规格等。Iftheoriginalsparepartsareoutofproduction,theBuyershallbeundertheobligationtodevelopnewsupplychanneland/orfindsubstitutionpartstomeettheBuyer'srequirements.UpontheBuyer'srequirement,theSellershallofferblueprint,drawingandspecificationonsubstitutionspareparts.卖方应保证合同项下所供货物是全新的、未使用过的、是最新或目前的型号，除非合同另有规定，货物应含有设计上和材料的全部最新改进。TheSellershallguaranteethatallthegoodsunderContractshouldbeunused,brandnew,ofthelatestandcurrentmodel,unlessotherwiseprovidedforintheContract.Goodsshallincludealllatestimprovementindesignandmaterials.卖方进一步保
