英文版零件提交保证书合同编号：__________parties：1.__________("seller")2.__________("buyer")referencingtheofferofthesellerandtheacceptanceofthebuyer,thepartiesheretoagreeasfollows:article1:definition("agreement")thisagreement;("deliverydate")thedateonwhichthesellershalldelivertheproductstothebuyer;("price")thepriceoftheproductsassetforthintheattachmenthereto;("paymentterms")thepaymenttermsfortheproductsassetforthintheattachmenthereto;("intellectualpropertyrights")allpatents,trademarks,copyrights,tradesecrets,andotherintellectualpropertyrightsrelatedtotheproducts;("qualitystandards")thequalitystandardsfortheproductsassetforthintheattachmenthereto;("warrantyperiod")thewarrantyperiodfortheproductsassetforthintheattachmenthereto;("termination")theterminationofthisagreement;("forcemajeure")eventsbeyondthereasonablecontrolofaparty,includingbutnotlimitedtonaturaldisasters,wars,strikes,andgovernmentactions;("attachment")theattachmenttothisagreementcontainingdetailedinformationabouttheproducts,delivery,price,andotherterms.1.2thesellerandthebuyerareindependentcontractorsandarenotagents,partners,orjointventurersofeachother.article2:obligationsoftheseller2.1thesellerrepresentsandwarrantsthatithastherighttoselltheproductstothebuyerandthattheproductsshallconformtothequalitystandards.2.2thesellershalldelivertheproductstothebuyeronthedeliverydate.2.3thesellershallprovidethebuyerwithallnecessarydocumentationandinstructionsrelatedtotheproducts,includingbutnotlimitedtoinstallation,operation,andmaintenance.2.4duringthewarrantyperiod,thesellershall,atitsownexpense,repairorreplaceanyproductsthatdonotconformtothequalitystandardsoraredefective.article3:obligationsofthebuyer3.1thebuyershallpaythepricetothesellerwithinthetimeperiodandinthemannersetforthinthepaymentterms.3.2thebuyershallprovidethesellerwithanynecessaryinformationandcooperationtoenablethesellertoperformitsobligationsunderthisagreement.3.3thebuyershallusetheproductsinaccordancewiththeinstructionsprovidedthesellerandshallnotmodify,repair,ordisassembletheproductswithoutthepriorwrittenconsentoftheseller.3.4thebuyershallnotregister,applyfor,oruseanyintellectualpropertyrightsrelatedtotheproductswithoutthepriorwrittenconsentoftheseller.article4:intellectualpropertyrights4.1thesellershallretainallintellectualpropertyrightsinandtotheproducts.4.2thebuyershallnotusetheintellectualpropertyrightsrelatedtotheproductsforanypurposeotherthantheuseoftheproductsascontemplatedunderthisagreement.4.3thebuyershallnotdiscloseordisseminateanytechnicalinformation,knowhow,orotherproprietaryinformationrelatedtotheproductstoanythirdpartywithoutthepriorwrittenconsentoftheseller.article5:confidentiality5.1thepartiesagreetomaintaintheconfidentialityofthetermsofthisagreementandanyotherconfidentialinformationexchangedbetweenthepartiesinconnectionwiththeproducts,excepttotheextentthatsuchinformationispubliclyavailableorrequiredtobedisclosedlaw.5.2thepartiesagreethattheprovisionsofthisarticle5shallsurvivetheterminationofthisagreement.article6:termination6.1eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisagreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticethereof.6.2uponterminationofthisagreement,thebuyershallpaytotheselleralloutstandingamountsdueandpayableunderthisagreement.article7:disputeresolution7.2theseatofarbitrationshallbe__________,andthelanguageofarbitrationshallbeenglish.article8:generalprovisions8.1thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.8.2anyamendmentormodificationofthisagreementoradditionalobligationassumed一、附件列表：1.产品详细信息2.交付时间表3.价格清单4.支付条款说明5.质量标准规格6.保修条款7.技术文档和操作指南8.知识产权证明文件二、违约行为及认定：1.卖家未能按照约定时间交付产品2.产品不符合约定的质量标准3.卖家未能提供合同约定的技术文档和操作指南4.产品存在缺陷或故障，卖家未能在保修期内进行修复或更换5.买家未能在约定时间内支付产品价格6.买家未能提供卖家履行合同所需的信息和协作7.买家未经卖家同意，修改、维修或拆解产品8.买家未经卖家同意，使用与产品相关的知识产权三、法律名词及解释：1.合同本协议2.卖家第一方3.买家第二方4.产品附件中描述的零件和组件5.交付日期附件中规定的日期6.价格附件中规定的价格7.支付条款附件中规定的支付条件8.知识产权权利专利、商标、版权、商业秘密以及其他与产品相关的知识产权9.质量标准附件中规定的质量要求10.保修期附件中规定的保修期限11.终止本协议的终止12.不可抗力超出一方合理控制的范围，包括自然灾害、战争、罢工和政府行为四、执行中遇到的问题及解决办法：1.产品交付延迟：与卖家沟通，要求按时交付或协商延迟交付的合理期限。2.产品质量问题：立即通知卖家，根据保修条款要求修复或更换。3.缺少技术文档：要求
