2024股票代持协议合同编号：__________stocknomineesagreementThisstocknomineesagreement(this“Agreement”)isenteredintoasof__________(the“EffectiveDate”),andbetween__________(the“Nominee”)and__________(the“Stockholder”).RECITALS:WHEREAS,theStockholderistherecordownerofcertainsharesofcapitalstockof__________(the“Company”);WHEREAS,theNomineedesirestoholdthestockonbehalfoftheStockholderforcertainpurposes,asmorefullysetforthherein;andWHEREAS,theStockholderandtheNomineearewillingtoenterintothisAgreementonthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.AppointmentofNominee.TheStockholderhereappointstheNomineeasnomineeandattorneyinfacttohold,vote,transfer,hypothecate,anddeliverthesharesofstockinthenameoftheNominee,onbehalfoftheStockholder,forsuchpurposesanduponsuchtermsandconditionsasarespecifiedherein.2.DutiesandResponsibilitiesoftheNominee.TheNomineeagreestohold,vote,transfer,hypothecate,anddeliverthesharesofstockinaccordancewiththeinstructionsoftheStockholder.TheNomineeshallhavenoauthoritytoactonbehalfoftheStockholderwithrespecttoanymatterotherthanassetforthherein.TheNomineeshallnothaveanyownership,voting,ordividendrightswithrespecttothesharesofstock,andshallholdthesharesofstockinafiduciarycapacityforthebenefitoftheStockholder.3.RepresentationsandWarranties.Thepartiesheretorepresentandwarranttoeachotherasfollows:(a)TheStockholderistherecordownerofthesharesofstockandhasthelegalcapacitytoenterintothisAgreementandtogranttherightsandpowerssetforthherein.(b)TheNomineehasthelegalcapacitytoenterintothisAgreementandtoaccepttheappointmentasnomineeandattorneyinfactfortheStockholder.(c)Thesharesofstockaredulyauthorized,validlyissued,fullypaid,andnonassessable.4.TerminationofAgreement.ThisAgreementshallterminateupontheearlierof:(a)ThewrittenconsentoftheStockholderandtheNominee;or(b)TheoccurrenceofanyeventthatmakesthecontinuedperformanceofthisAgreementimpossibleorimpracticable.5.GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof__________,withoutregardtoitsconflictoflawsprinciples.6.EntireAgreement.ThisAgreement(includingtheexhibitshereto)constitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.7.AmendmentsandModifications.ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedallpartieshereto.TotheStockholder:Name:_________________________Address:_________________________TotheNominee:Name:_________________________Address:_________________________9.SuccessorsandAssigns.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.____________________________Name:_________________________Title:_____________________________________________________Name:_________________________Title:_________________________一、附件列表：1.股票持有证明2.nominee的身份证明文件3.股票转让授权书4.股票投票指示书5.股票质押登记文件6.任何与股票代持相关的其他法律文件二、违约行为及认定：1.违约行为：Nominee未能按照Stockholder的指示持有、投票、转让、质押或交付股票。2.违约认定：如Nominee未能遵守本协议的条款和条件，或未能按照Stockholder的合法指示行事，将被视为违约。三、法律名词及解释：1.股票代持协议：指Stockholder与Nominee之间的一份协议，其中Nominee将代表Stockholder持有股票并按照其指示进行投票、转让、质押或交付。2.违约：指Nominee未能履行本协议项下的义务或条件。3.股票：指Stockholder持有的Company的股票。四、执行中遇到的问题及解决办法：1.问题：Nominee未能按照Stockholder的指示行事。解决办法：Stockholder可与Nominee协商解决，如协商无果，Stockholder可依法采取行动追究Nomine
