图书馆读者礼品供应协议合同编号：__________LibraryDonationSupplyAgreementThisLibraryDonationSupplyAgreement(the“Agreement”)ismadeandenteredintoasof__________(the“EffectiveDate”)andbetween:(1)____________________,a(n)_____________________locatedat____________________,represented____________________,whosecontactinformationis____________________(the“Supplier”).(2)____________________,a(n)_____________________locatedat____________________,represented____________________,whosecontactinformationis____________________(the“Library”).(Hereinaftercollectivelyreferredtoasthe“Parties”).RECITALS:WHEREAS,theSupplierspecializesinprovidingqualitygiftsandsupplies;WHEREAS,theLibraryaimstoprovidebetterservicestoitsreadersandenhancetheirreadingexperience;WHEREAS,thePartiesagreethatitisintheirmutualinteresttoenterintothisAgreementforthesupplyofgiftstheSuppliertotheLibrary;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:Article1:DonationItemsandQuantities1.1TheSupplieragreestoprovidetheLibrarywiththefollowingdonationitems(the“DonationItems”)inthequantitiesspecifiedbelow:(a)____________________:____________________(b)____________________:____________________(c)____________________:____________________1.2TheSuppliershallprovidetheDonationItemstotheLibraryona____________________basis,startingfromtheEffectiveDateandendingon____________________(the“Term”).Article2:DeliveryandAcceptance2.1TheSuppliershalldelivertheDonationItemstotheLibrary’sdesignatedlocationat____________________onorbeforethedeliverydatespecifiedintheDeliverySchedule(attachedheretoasExhibitA).2.2TheLibraryshallinspecttheDonationItemsupondeliveryandnotifytheSupplierinwritingwithin____________________daysafterdeliveryifanyDonationItemsfailtoconformtotherequirementsofthisAgreement.2.3IftheLibraryreasonablydisputestheconformityoftheDonationItems,thePartiesshallpromptlyresolvethedisputethroughgoodfaithnegotiations.IfthePartiesfailtoresolvethedisputewithin____________________daysafterreceiptofthenotice,eitherPartymaysubmitthedisputetoarbitrationinaccordancewiththerulesofthe____________________ArbitrationAssociation.Article3:UseofDonationItems3.1TheLibraryshallusetheDonationItemsforthepurposeofenhancingreaders’experienceandshallnotusethemforanyotherpurposeswithouttheSupplier’spriorwrittenconsent.3.2TheLibraryshallhavetherighttodistributetheDonationItemstoitsreadersfreeofchargeoratareducedpriceasdeterminedtheLibrary.Article4:IntellectualPropertyRights4.1TheSupplierrepresentsandwarrantsthatithasthefullright,,andinterestintheDonationItemsandanyassociatedintellectualpropertyrights,andthattheDonationItemsdonotinfringeuponanythirdpartyintellectualpropertyrights.4.2TheLibraryshallnotusetheSupplier’strademarks,tradenames,orotherintellectualpropertywithouttheSupplier’spriorwrittenconsent.Article5:Confidentiality5.1EachPartyshallkeepthetermsandconditionsofthisAgreementconfidentialandshallnotdisclosethemtoanythirdpartywithouttheotherParty’spriorwrittenconsent.5.2TheconfidentialityobligationssetforthinthisArticleshallsurvivetheexpirationorterminationofthisAgreement.Article6:TerminationandDefault6.1ThisAgreementshallterminateupontheexpirationoftheTerm.6.3UponterminationofthisAgreement,theLibraryshallreturntheDonationItemstotheSupplierattheSupplier’sexpense.Article7:Indemnification7.1EachPartyshallindemnifyandholdtheotherPartyharmlessfromandagainstanyandallclaims,losses,一、附件列表：1.捐赠物品清单2.交付时间表二、违约行为及认定：1.供应商未能按照约定提供符合质量标准及法规的捐赠物品。2.供应商未能在约定时间内交付捐赠物品。3.图书馆未能在约定时间内对捐赠物品进行验收并提出异议。4.图书馆未能按照约定使用捐赠物品，包括但不限于将其用于其他目的或进行商业性利用。5.任何一方未经对方同意，披露或使用对方商业秘密或知识产权。三、法律名词及解释：1.捐赠物品：根据协议由供应商提供给图书馆的物品。2.质量标准：适用的国家或行业标准，确保捐赠物品的安全性和适用性。3.知识产权：包括专利权、商标权、著作权等。4.违约：违反协议约定的行为。5.赔偿：因违约行为导致的损失赔偿。四、执行中遇到的问题及解决办法：1.捐赠物品不符合约定质量标准：立即通知供应商，并提供具体问题及证据，供应商应在约定时间内进行补救或更换。2.供应商延迟交付：根据延迟的时间和影响，向供应商索赔相应的损失。3.图书馆未能及时验收：提前制定详细的验收流程和时间表，确保及时发现问题。4.知识产
