新产品开发保密协议合同编号：__________parties1.PartyA:Name:____________________Address:____________________LegalRepresentative:____________________IdentityCardNumber:____________________ContactPerson:____________________PhoneNumber:____________________2.PartyB:Name:____________________Address:____________________LegalRepresentative:____________________IdentityCardNumber:____________________ContactPerson:____________________PhoneNumber:____________________ObjectiveThisNonDisclosureAgreement(hereinafterreferredtoas"Agreement")ismadeandenteredintoandbetweenPartyAandPartyB(collectivelyreferredtoasthe"Parties")withthefollowingobjectives:1.ToprotecttheconfidentialityoftheConfidentialInformation(asdefinedherein)sharedbetweentheParties;2.ToensurethatthePartiesshallnotdisclose,use,ordisseminatetheConfidentialInformationforanypurposeotherthanthepurposesetforthinthisAgreement;and3.Toestablishtherights,obligations,andresponsibilitiesofthePartieswithrespecttotheprotectionoftheConfidentialInformation.ScopeofConfidentialInformation1.AsusedinthisAgreement,theterm"ConfidentialInformation"meansanyandallinformation,data,documents,materials,knowledge,andanyotherformsofinformation,whetherinwritten,oral,electronic,oranyotherform,thatPartyAhassharedormaysharewithPartyBinconnectionwiththeNewProductDevelopment(asdefinedherein).2.TheConfidentialInformationincludes,butisnotlimitedto,thefollowing:(a)Businessplans,strategies,andobjectives;(b)Researchanddevelopmentplans,schedules,andbudgets;(c)Technicaldata,specifications,designs,formulas,andalgorithms;(d)Patents,trademarks,copyrights,andotherintellectualpropertyrights;(e)Customerlists,salesdata,andotherbusinessinformation;(f)AnyotherinformationthatPartyAdesignatesasconfidentialorproprietary.NewProductDevelopment1.PartyAshallprovidePartyBwithcertaininformation,data,andmaterialsrelatedtoPartyA'snewproductdevelopment(the"NewProductDevelopment")forthepurposeofassistingPartyAincarryingouttheNewProductDevelopment.2.PartyBacknowledgesandagreesthattheConfidentialInformationprovidedPartyAisessentialforPartyBtounderstandandcarryouttheNewProductDevelopment.PartyBshallusetheConfidentialInformationsolelyandexclusivelyforthepurposeofassistingPartyAincarryingouttheNewProductDevelopment.3.PartyBshallnotusetheConfidentialInformationforanypurposeotherthanthepurposesetforthinthisAgreement,andshallnotdisclose,use,ordisseminatetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.ConfidentialityObligations1.DuringthetermofthisAgreementandforaperiodof____________years(the"Term")aftertheterminationorexpirationhereof,PartyBshallmaintainthestrictestconfidenceandsecrecywithrespecttotheConfidentialInformation.2.PartyBshallnot,directlyorindirectly,disclose,use,ordisseminatetheConfidentialInformationtoanythirdparty,exceptasrequiredapplicablelaworregulation,orasexpresslyauthorizedPartyAinwriting.3.PartyBshalltakeallnecessarymeasurestoprotecttheconfidentialityoftheConfidentialInformation,including,butnotlimitedto,thefollowing:(a)LimitingaccesstotheConfidentialInformationtothoseofPartyB'semployees,agents,andrepresentativeswhohaveaneedtoknowtheConfidentialInformationforthepurposeofassistingPartyAincarryingouttheNewProductDevelopment;(b)Ensuringthateachemployee,agent,orrepresentativeofPartyBwhohasaccesstotheConfidentialInformationsignsaconfidentialityagreementinaformandsubstancesatisfactorytoPartyA;(c)UsingatleastthesamedegreeofcaretoprotecttheconfidentialityoftheConfidentialInformationasPartyBusestoprotectitsownconfidentialinformationofasimilarnature;andExceptions1.TheconfidentialityobligationssetforthinthisAgreementshallnotapplytoanyinformationthatPartyBcandemonstrate:(b)WasinPartyB'spossessionpriortothedateofthisAgreement,asevidencedPartyB'swrittenrecords;(c)IsindependentlydevelopedParty一、附件列表：1.PartyA和PartyB的详细信息文档2.新产品开发相关资料3.保密协议的签署授权书4.保密信息的具体内容列表5.第三方受益人同意保密的证明文件二、违约行为及认定：1.未经允许，披露、使用或传播保密信息；2.未遵守对保密信息的保护措施；3.未按照约定时间或情况履行保密义务；4.使用保密信息进行与约定目的无关的活动；5.违反协议中的其他条款。三、法律名词及解释：1.保密信息：指在协议期间，由一方提供给另一方的，不为公众所知悉的，具有商业价值的信息。2.非公开信息：与保密信息类似，指在一定范围内需要保密的信息。4.协议终止：指协议双方约定或法律规定的情形出现，使得协议无法继续履行。四、执行中遇到的问题及解决办法：1.信息泄露：及时采取补救措施，如更改密码、限制访问权限等，并追究责任。2.协议误
