中外合作经营合同中英中外合作经营合同（中英对照版）ContractforSino-ForeignCooperativeJointVenture(Chinese-Englishbilingualversion)第一章合同签订方ChapterI:SigningPartiesoftheContract甲方（中方）：PartyA(Chineseside):公司名称：NameofCompany:法定代表人：LegalRepresentative:注册地址：RegisteredAddress:邮编：PostalCode:电话：Telephone:传真：Fax:电子邮箱：E-mail:乙方（外方）：PartyB(foreignside):公司名称：NameofCompany:地址：Address:电话：Telephone:传真：Fax:电子邮箱：E-mail:第二章合同事由和范围ChapterII:CriterionandScope为在中国合法经营，促进中外经济技术合作，甲、乙双方依照《中华人民共和国外资企业法》等有关法律、法规和规定，协商同意合作经营。经双方确定，合作事业如下：InordertolegallycarryoutbusinessactivitiesinChinaandpromotecooperationineconomicandtechnologicalfieldsbetweenChinaandforeigncountries,PartyAandPartyBagreetojointlyoperateabusinessaccordingtorelevantChineselaws,regulations,andprovisions,aswellasthe“LawofForeign-InvestedEnterprisesofPeople’sRepublicofChina”andotherrelevantlaws.Thespecificoperationisasfollows:一、合作方式：双方投资合作成立中外合作企业。1.ModeofCooperation:BothpartiesjointlyinvestintheestablishmentofaSino-foreigncooperativeenterprise.二、经营范围：（详见《外商投资产业指导目录》）2.ScopeofBusiness:(Forspecificbusinessscope,pleasereferto“DirectoryofIndustriesforForeignInvestment”)第三章各方的权利与义务ChapterIII:RightsandObligationsofBothParties甲方的权利和义务：RightsandObligationsofPartyA:1.设立该合作企业并参与其日常经营管理。1.Establishmentofthejointventureandinvolvementindailyoperationandmanagement.2.为该合作企业提供其优秀的管理经验、技术支持和生产设备，并按合同约定及时提供必要的资金。2.Toprovidethejointventurewithexcellentmanagementexperience,technicalsupportandproductionequipment,andtopromptlyprovidenecessaryfundsinaccordancewiththecontract.3.完备并提供必要的生产、管理、行政等方面的条件，以保证该合作企业正常地运营。3.Tocompleteandprovidethenecessaryconditionsfromproduction,management,andadministration,etc.toensurenormaloperationofthejointventure.4.甲方应当负责提供必要的土地、场所及协助办理相关审批手续，确保合作企业正常运营。4.PartyAshallberesponsibleforprovidingnecessaryland,premises,andassistinginhandlingrelevantapprovalprocedurestoensurethenormaloperationofthejointventure.5.甲方应当负责将本合同对外宣传，并积极地与乙方进行沟通合作，保障合作项目的顺利实施。5.PartyAshallberesponsibleforpromotingthecontracttothepublic,communicatingwithPartyBforcooperation,ensuringthesmoothimplementationoftheproject.6.甲方应当按照法律法规，纳税并与乙方分别支付税款。6.PartyAshallpaytaxesinaccordancewithlawsandregulationsanditsowncorrespondingtaxobligationstoPartyB.乙方的权利和义务：RightsandObligationsofPartyB:1.参与该合作企业的设立和实际经营并庇护其在中国合法的地位。1.ParticipateintheestablishmentandactualoperationofthejointventureandprotectitslegitimatestatusinChina.2.提供必要的资金、人员、技术等支持，确保合作企业的正常运行和发展。2.Providenecessaryfunds,personnel,technicalsupport,etc.,toensurethenormaloperationanddevelopmentofthejointventure.3.乙方应当按照法律法规履行其税务义务，纳税。遵守甲方在中国的相关法律法规和合法要求。3.PartyBshallperformitstaxobligationsinaccordancewithlawsandregulationsandcomplywithrelevantChineselaws,regulations,andlawfulrequirementsofPartyAinChina.4.乙方应当根据双方约定的合同履行其他合同义务。4.PartyBshallfulfillothercontractualobligationsaccordingtotheagreementbetweenbothparties.第四章合同的履行ChapterIV:PerformanceoftheContract一、投资额和出资方式1.Investmentamountandcontributionmethod甲方拟出资金额为：……元人民币，款项应预付或在企业设立时一次性出资。乙方拟出资金额为：……[货币]，款项应根据约定时间和进度分批出资。PartyAintendstocontribute…RMB,whichshouldbeprepaidorcontributedinalumpsumupontheestablishmentoftheenterprise.PartyBintendstocontribute…[currency],andthecontributionshouldbeininstallmentsaccordingtotheagreedtimeandprogress.二、经营管理2.BusinessManagement1.合作企业成立后，由甲方按规定提名首席执行官和其他必要工作人员。1.Aftertheestablishmentofthejointventure,PartyAwillnominatetheCEOandothernecessaryemployees.2.合作企业的经营管理和决策应当先经过董事会审批，然后由首席执行官实施，甲方在董事会及其委员会中拥有决策的权利。2.Theoperationsanddecision-makingofthejointventuremustbeapprovedbytheboardofdirectors.Then,theCEOshouldcarryoutthosedecisions.PartyAhastherighttomakedecisionsintheboardofdirectorsanditscommittees.3.董事会应当定期召开会议，无特殊情况必须每年召开一次会议并编写并更新股东会议纪要。3.Theboardofdirectorsshouldholdmeetingsregularlyandmustholdatleastoneannualmeetingandcompileandupdatetheminutesoftheshareholders’meetingwithoutspecialcircumstances.三、财务管理3.FinancialManagement1.合作企业的基本账簿应当按照甲、乙双方所持股份的比例开立，负责出资的一方应当负责实际管理和盘点。1.ThebasicaccountbooksofthejointventureshouldbeopenedinproportiontothesharesheldbybothPartyAandPartyB.Thepartyresponsibleforcapitalcontributionshouldberesponsibleforactualmanagementandinventory.2.合作企业的财务审计应当每年至少进行一次，应当由兼职注册会计师负责。2.Thefinancialauditofthejointventureshouldbeconductedatleastonceayearandshouldbeconductedbyapart-timecertifiedpublicaccountant.四、期限4.Duration1.合作企业的期限为……年，自正式设立之日起算。期满前6个月双方应当协商决定是否延长合作期限。1.Thedurationofthejointventureis……years,startingfromthedateofitsformalestablishment.Sixmonthsbeforeexpiration,bothpartiesshoulddiscussanddeterminewhethertoextendthecooperationperiod.2.合作期限届满后，甲乙双方应当根据《中华人民共和国公司法》等法规有序地进行合作企业的解散、清算等各项工作。2.Afterexpirationofcooperationperiod,theJointVentureCompanyshalldissolveandliquidateallassetsaccordingtotherelevantregulationssuchas"CompanyLawofthePeople'sRepublicofChina".第五章合同变更、解除和违约责任ChapterV:ContractModification,TerminationandLiabilityforBreachofContract一、合同变更1.ContractModification合同变更应当经由双方协商一致并签署书面协议。因不可抗力和其他无法预见和避免的原因导致合同无法履行时，双方应当及时协商，在书面协议上说明原因。Contractmodificationshallbeagreedbybothpartiesandexecutedinawrittenagreement.Ifthecontractcannotbefulfilledduetoforcemajeureandotherunforeseeableandunavoidablereasons,bothpartiesshalldiscussthematteranddescribethereasonsinwriting.二、合同解除2.ContractTermination1.因不可抗力或另一方重大违约（包括但不限于）：1.Duetoforcemajeureorsignificantbreachofcontractbytheotherparty(includingbutnotlimitedto):a.生产力条件发生重大不利变化影响到合作企业的生产生活；a.Significantadversechangesinproductionconditionsaffectingtheproductionandlivelihoodsofthejointventure;b.生产经营的实质部分受到严重损害；b.Thesubstantialpartoftheproductionandoperationisseriouslydamaged;c.法律法规的变更或者政策变化等不可抗拒的原因导致合作企业不能正常运营；c.Changesinlawsandregulationsorpolicychangesmakeitimpossibleforthejointventuretooperatenormally;d.合同约定的期限过期，双方已协商决定不续期。在这种情况下，本合同自动失效。d.Thecontractualperiodagreeduponhasexpiredandbothpartieshaveagreednottorenewit.Inthiscase,thiscontractwillautomaticallybecomeinvalid.2.合同解除应当通过协商一致，并依据中华人民共和国的法律法规办理解除手续。双方应在30日内实施解除，并清理所有收支款项。2.TheterminationofthecontractshallbeagreeduponthroughconsultationandfollowChineselawsandregulations.Bothpartiesshallimplementtheterminationwithin30daysandclearallfinancialtransactions.三、违约责任3.LiabilityofBreachofContract1.任何一方违反该合同的规定，给对方造成经济损失的，应当承担责任。1.Ifeitherpartyviolatestheprovisionsofthiscon
