PagePAGE4ofNUMPAGES6进口设备买卖合同PurchaseContract合同号ContractNo:签订日期DateofSignature:签订地点PlaceofSignature:买方:TheBuyer:地址:Address:电话:Tel:传真:Fax:卖方:TheSeller:地址:Address:电话:Tel:传真:Fax:买方、卖方同意按下列条款由买方购进，由卖方出售下列商品，订立本合约：ThiscontractismadebytheBuyerandtheSeller,wherebytheBuyeragreetobuyandtheSelleragreetosellundermentionedgoodsaccordingtothetermsandconditionsstipulatedbelow:名称,规格、数量、总价及服务等COMMODITY,SPECIFICATIONS,QUANTITYANDAMOUNTOFGOODSANDSERVICESETC1.1设备名称:Commodity:1.2数量Quantity：规格SPECIFICATIONS：1.3合同金额TotalContractValue:1.4生产国别CountryofOrigin:生产厂商Manufacturer:1.5保修Warranty：自设备安装验收合格，用户签署验收报告之日起，设备保修期为12个月。在保修期间如设备因自身制造的原因造成损坏，卖方应免费维修及更换。设备发生故障后，用户应以传真或书面形式通知卖方，卖方在2个工作日内需做出反应。Qualitywarrantyperiodis12monthscountingfromthedateoftheUsersignedCertificateofAcceptance.Shouldtheequiptmentfailduetomanufacturingfaultwithinthesaid12months,theSellershallrepairandexchangethemfreeofcharge.TheSellershalltakeanactiveresponsein2workingdaysuponreceiptoftheUsers'writingadviceofthebreak-downofthecontractedequipment.1.6售后服务PostSalesService:保修期后卖方负责终身维修及技术支持,并收取合理费用。TheSellershallbeheldresponsibleforthepost-salesserviceafterthewarrantyperiodandtakeinchargelifetimerepairsandtechnologicsupportsfortheproductsatreasonableprice.1.7操作培训OperatingTraining：在设备安装验收过程中，卖方在现场向用户提供对操作人员的基本培训，培训内容包括设备结构介绍，操作软件使用，设备操作使用，日常保养及维护等。Duringtheequipmentinstallationandacceptancetest-run,theengineerfromtheSellershalltraintheoperatorsattheuser’ssites.Thistrainingincludesintroductionofequipmentstructure,softwareoperation,equipmentoperation,routinemaintenanceetc.2.装运期限TIMEOFSHIPMENT2.1装运Shipment:收到预付款后45天内,但卖方发货须以收到买方全款为前提。within45daysafterreceiptofpayment,butsubjecttothereceiptoffullpayment.2.2不允许分批装运，允许转运。Partialshipmentisnotallowed;andtransshipmentisallowed.3.装货口岸PORTOFDELIVERY:4.到货口岸PORTOFARRIVAL：5.包装PACKING用木箱包装，根据货物不同的形状和特殊的品质，保证货物防湿，防潮，防震，防锈并经得起多次的搬运，装货和卸货以及长途海、陆运输。卖方应对由于包装不良和采用不充分或不妥善的防护措施而造成的任何破损承担责任并负担由此而产生的一切费用。卖方应向买方提交非木质包装证明或木质包装热处理证明。证明原件应与货物一同提交。Tobepackedinwoodencasesandwellprotectedagainstdampness,moisture,shock,rustandwithstandnumeroushandling,loadingandunloadingaswellaslongdistanceseaandinlandtransportationaccordingtothegoodsdifferentshapesandspecialfeature,TheSellersshallbeliableforanydamagetothegoodsonaccountofimproperpackingandforanydamageattributabletoinadequateorimproperprotectivemeasurestakenbytheSellers,andinsuchcasesanyandallexpensesincurredinconsequencethereofshallbebornebytheSellers.TheSellershallsubmittotheBuyerCertificateofnon-woodpackingorheattreatCertificateofwoodenpacking.TheoriginalcertificateshallbesubmittedtogetherwiththeGoodsdelivered.6.唛头SHIPPINGMARK卖方应在每件包装上，用不褪色油墨清楚地标刷件号、尺码、毛重、净重、”此端向上”“小心轻放”“切勿受潮”等字样，并刷有下列唛头：Onthesurfaceofeachpackage,thepackagenumber,grossweight,netweight,measurements,“DONOTSTACKUPSIDEDOWN”,“HANDLEWITHCARE”,“KEEPAWAYFROMMOISTURE”andtheshippingmarkshallbestenciledlegiblyinfadelesspaint:唛头Shippingmarks:（合同号）HohhotAirport,China7.保险INSURANCE由卖方按合同金额110％投保一切险和战争险至呼和浩特机场。TobecoveredbytheSellerfor110%oftheContractvalueagainstAllRisksandWarRisksfromtheportofdeliverytillatHohhotAirport,15.4如果卖方在接到买方索赔30天内未予答复则表明卖方已经接受索赔，卖方需在接受索赔30日内完成赔偿。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyer’sclaim.Thebuyer’sclaimshallbesatisfiedwithin30dayscountingfromseller’sacceptanceoftheclaim.16.不可抗拒FORCEMAJEURE由于人力不可抗拒的事故，导致卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明书用空邮寄交买方为证，并取得买方认可，在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期，买方有权撤消本合同(同时，卖方无条件在合同撤消后15个工作日退回全部预付货款)。TheSellersshallnotberesponsibleforthedelayinshipmentornon–deliveryofthegoodsduetoForceMajeurecases,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereofundersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethantenweekstheBuyershallhavetherighttocanceltheContract.(atsametime，thesellerwithin15daysafterthecancellationofthecontractunconditionallyreturnallprepaid)。17.迟交和罚款LATEDELIVERYANDPENALTY除人力不可抗拒的事故外，若卖方不能按合同规定及时交货,经买方同意,卖方可在缴纳罚金的条件下延期交货。此项罚款总额不超过全部迟交货物总额的5%,付罚金的比例为每一星期按迟交货总值的0.5%交罚款，不足一星期的迟交日数作为一星期计算，如迟延交货超过原定期限十星期时，买方有权终止本合同。但卖方仍应向买方缴付以上规定之罚款，不得推诿或迟延。(同时卖方无条件退回全部预付货款)ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofforcemajeurecausesspecifiedinClause18ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendaysodddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthesellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.atsametime，thesellerunconditionallyreturnallprepaid。责任与赔偿AbilityandIndemnity:TheSellershallindemnifytheBuyeragainstliabilitiesincurredorsufferedbytheBuyerinconnectionwithanydeathorpersonalinjurycausedbytheSeller’snegligenceorresultingfromanydefectinthegoodscausedbytheSeller. 卖方应确保，买方不因卖方过失或其产品的任何缺陷而承担任何人身损害赔偿责任；就该等损害赔偿责任，应由卖方予以承担。TheSellershallbeliabletotheBuyerforphysicallossoforphysicaldamagetopropertyoftheBuyercausedbytheSeller’snegligenceorwhichresultsdirectlyfromabreachofthiscontractbytheSellerordirectlyfromanydefectinthegoodscausedbytheSeller. 因卖方过失、卖方违约行为或卖方原因造成的产品缺陷，直接导致买方实体损失或买方有形财产的损失，卖方应当向买方承担责任。TheSeller’stotalliabilitytotheBuyerinrespectoflossordamagearisingundersection18.2shallbelimitedtothetotalamountpayablebytheBuyerunderthiscontract. 就第18.2条中所约定的损失或损害，卖方的全部责任应限定于买方根据本合同所应支付的全部价款。InnoeventshalltheSellerbeliableforanyindirect,specialorconsequentiallossesincludingbutnotlimitedtolossofuse,business,production,goodwill,revenue,profitsoropportunity 在任何情形下，卖方均不承担任何特别、间接、附带或从属损失，包括但不限于基于对丧失用途、业务、生产、商誉、利润损失或商机的主张所提出的损失。TheBuyershallindemnifytheSeller,itsofficers,employees,subsidiaries,parentsandaffiliatesagainstliabilitiesfordeathorpersonalinjurytoanypersonorforlossofanypropertycausedbytheBuyer’snegligence. 买方应确保，卖方及其经理人员、雇员、分支机构、母公司及联属机构不因买方过失而承担任何人身损害或财产损失；就该等人身损害及财产损失，应由买方予以承担。19.仲裁ARBITRATION19.1仲裁：凡因本合同引起的或与本合同有关的任何争议，均应通过友好协商解决。如协商不成应提交中国国际经济贸易仲裁委员会，依照申请仲裁时该会现行有效的仲裁规定，在北京进行仲裁。仲裁裁决是终局的，对双方均有约束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Thearbitrationfeeshallbebornebythelosingparty.19.2标准法GoverningLaw本合同受中华人民共和国法律管辖并依其进行解释。ThisContractshallbegovernedbyandconstruedinaccordancewiththeLawsofthePeople'sRepublicofChina.20.银行费用BANKINGCHARGES中国境内发生的银行费用由买方负责，境外发生的银行费用由卖方负责。AllthebankingchargesincurredinChinashallbebornebytheBuyerswhileallthebankingchargesincurredoutsideChinashallbebornebytheSellers.21.商务保密约定BUSINESSCONFIDENTIALITYAGREEMENT买卖双方应严格保守商务秘密，不得向与本合同无关的个人及单位泄漏，包括合同
