ICSID---WashingtonConventionConventionontheSettlementofInvestmentDisputesICSID---WashingtonConventionConventionontheSettlementofInvestmentDisputesBetweenStatesandNationalsofOtherStatesPREAMBLETheContractingConsideringtheneedforinternationalcooperationforeconomicdevelopment,andtheroleofprivateinternationalinvestmentBearinginmindthepossibilitythatfromtimetotimedisputesmayariseinconnectionwithsuchinvestmentbetweenContractingStatesandnationalsofotherContractingStates;Recognizingthatwhilesuchdisputeswouldusuallybesubjecttonationallegalprocesses,internationalmethodsofsettlementmaybeappropriateincertaincases;AttachingparticularimportancetotheavailabilityoffacilitiesforinternationalconciliationorarbitrationtowhichContractingStatesandnationalsofotherContractingStatesmaysubmitsuchdisputesiftheysodesire;DesiringtoestablishsuchfacilitiesundertheauspicesofInternationalBankforReconstructionanddisputestothatmutualconsentbythepartiestosubmitsuchconciliationortoarbitrationthroughsuchfacilitiesabindingagreementwhichrequiresinparticularthatconsiderationbegiventoanyrecommendationofconciliators,andthatanyarbitralawardbecompliedwith;andDeclaringthatnoContractingStateshallbythemerefactofitsratification,acceptanceorapprovalofthisConvention(popularlycalled"WashingtonConvention"-NoteoftheSite)andwithoutitsconsentbedeemedtobeunderanyobligationtosubmitanyparticulardisputetoconciliationorarbitration,HaveagreedasCHAPTERInternationalCentreforSettlementofInvestmentDisputesSectionEstablishmentandOrganizationArticle(1)ThereisherebyestablishedtheInternationalCentreforSettlementofInvestmentDisputes(hereinaftercalledSectionEstablishmentandOrganizationArticle(1)ThereisherebyestablishedtheInternationalCentreforSettlementofInvestmentDisputes(hereinaftercalledtheCentre).(2)ThepurposeoftheCentreshallbetoprovidefacilitiesforconciliationandarbitrationofinvestmentdisputesbetweenContractingStatesandnationalsofotherContractingStatesinaccordancewiththeprovisionsofthisConvention.ArticleTheseatoftheCentreshallbeattheprincipalofficeoftheInternationalBankforReconstructionandDevelopment(hereinaftercalledtheBank).TheseatmaybemovedtoanotherplacebydecisionCounciladoptedbyamajorityoftwo-thirdsoftheAdministrativeitsmembers.ArticleTheCentreshallhaveanAdministrativeCouncilandaSecretariatandshallmaintainaPanelofConciliatorsandaPanelofArbitrators.SectionTheAdministrativeCouncilArticle(1)TheAdministrativeCouncilshallbecomposedofonerepresentativeofeachContractingState.Analternatemayactasofhisprincipal'sabsencefromameetingrepresentativeincaseinabilitytoact.(2)Intheabsenceofacontrarydesignation,eachgovernorandalternategovernoroftheBankappointedbyaContractingStateshallbeexofficioitsrepresentativeanditsalternaterespectively.ArticleThePresidentoftheBankshallbeexofficioChairmanoftheAdministrativeCouncil(hereinaftercalledtheChairman)butshallhavenovote.DuringhisabsenceorinabilitytoactandduringanyvacancyintheofficeofPresidentoftheBank,thepersonforthetimebeingactingasPresidentshallactasChairmanoftheAdministrativeCoun.havenovote.DuringhisabsenceorinabilitytoactandduringanyvacancyintheofficeofPresidentoftheBank,thepersonforthetimebeingactingasPresidentshallactasChairmanoftheAdministrativeCoun.Article(1)WithoutprejudicetothepowersandfunctionsvestedinittheAdministrativeotherprovisionsofthisConvention,financialregulationsof(a)adopttheadministrative(b)adopttherulesofprocedurefortheinstitutionofconciliationandarbitrationproceedings;(c)adopttherulesofprocedureforconciliationandarbitrationproceedings(hereinaftercalledtheConciliationRulesandtheArbitrationRules);(d)approvearrangementswiththeBankfortheuseoftheadministrativefacilitiesand(e)andofanytheconditionsofserviceoftheSecretary-Secretary-adoptannualbudgetofrevenuesandexpendituresof(g)approvetheannualreportontheoperationofThedecisionsreferredtoinsub-paragraphs(a),aboveshallbeadoptedbyamajorityoftwo-thirdsofthetheAdministrativeCouncil.(c)and(f)membersofCouncilmayappointsuchcommitteesas(2)TheAdministrativeconsidersnecessary.(3)TheAdministrativeCouncilshallalsoexercisesuchotherpowersandperformsuchotherfunctionsasitshalldeterminetobenecessaryfortheimplementationoftheprovisionsofthisArticle(1)TheAdministrativeCouncilshallholdanannualmeetingand(1)TheAdministrativeCouncilshallholdanannualmeetingandsuchothermeetingsasmaybedeterminedbytheCouncil,orconvenedbyChairman,orconvenedbytheSecretary-GeneralattherequestoflessthanfivemembersoftheCouncil.EachmemberoftheAdministrativeshallhaveonevotemattersbeforethevotescast.and,exceptasotherwisehereinprovided,allCouncilshallbedecidedbyamajorityof(3)AquorumforanymeetingoftheAdministrativeCouncilshallbemajorityofits(4)TheAdministrativeCouncilmayestablish,byamajorityoftwo-thirdsofitsmembers,aprocedurewherebytheChairmanmayseekavoteoftheCouncilwithoutconveningameetingoftheCouncil.ThevoteshallbeconsideredvalidonlyifthemajorityofthemembersoftheCouncilcasttheirvoteswithinthetimelimitfixedbythesaidArticleMembersoftheAdministrativeCouncilandtheChairmanshallservewithoutremunerationfromtheCentre.SectionTheSecretariatArticleTheSecretariatshallconsistofaSecretary-General,oneormoreDeputySecretaries-Generalandstaff.Article10(1)TheSecretary-GeneralandanyDeputySecretary-GeneralshallbeelectedbytheAdministrativeCouncilbyamajorityoftwo-thirdsofitsmembersuponthenominationoftheChairmanforatermofservicenotexceedingsixyearsandshallbeeligibleforre-election.AfterconsultingthemembersoftheAdministrativeCouncil,theChairmanshallproposeoneormorecandidatesforeachsuchoffice.(2)TheofficesofSecretary-GeneralandDeputySecretary-Generalshallbeincompatiblewiththeexerciseofanypoliticalfunction.NeithertheSecretary-GeneralnoranyDeputySecretary-GeneralholdanyotheremploymentorengageinanyotheroccupationexceptwiththeapprovaloftheAdministrativeCouncil.(3)DuringtheholdanyotheremploymentorengageinanyotheroccupationexceptwiththeapprovaloftheAdministrativeCouncil.(3)DuringtheSecretary-General'sabsenceorinabilitytoduringanyvacancyoftheofficeofSecretary-General,theSecretary-GeneralshallactasSecretary-General.IftheremorethanoneDeputySecretary-General,theshalldetermineinadvancetheorderinwhichtheyshallactasArticle11TheSecretary-GeneralshallbethelegalrepresentativeandtheprincipalofficeroftheCentreandshallberesponsibleforitsadministration,includingtheappointmentofstaff,inaccordancewiththeprovisionsofthisConventionandtherulesadoptedbytheAdministrativeCouncil.HeshallperformthefunctionofregistrarandshallhavethepowertoauthenticatearbitralawardsrenderedpursuanttothisConvention,andtocertifycopiesthereof.SectionThePanelsArticle12ThePanelofConciliatorsandthePanelofArbitratorsshallconsistofqualifiedarewillingtopersons,designatedashereinafterprovided,whoArticle13EachStatemaydesignatetoeachPanelfourpersonsbeitsnationals.whomaybut(2)TheChairmansodesignateddesignatetenpersonstoeachPanel.TheaPanelshalleachhaveadifferentArticle14(1)PersonsdesignatedtoserveonthePanelsshallbepersonsofhighmoralcharacterandrecognizedcompetenceinthefieldsoflaw,commerce,industryorfinance,whomaybereliedupontoexerciseindependentjudgment.CompetenceinthefieldoflawshallbeofparticularimportanceinthecaseofpersonsonthePanelof(2)TheindesignatingpersonstoserveontheshallinadditiondueregardtotheimportanceofassuringPanelsofparticularimportanceinthecaseofpersonsonthePanelof(2)TheindesignatingpersonstoserveontheshallinadditiondueregardtotheimportanceofassuringPanelsoftheprincipallegalsystemsoftheformsofeconomicactivity.representationworldandoftheArticle15(1)Panelmembersshallserveforrenewableperiodsofsix(2)IncaseofdeathorresignationofamemberofaPanel,whichdesignatedthemembershallhavetherighttoanotherpersontoservefortheremainderofthatmember's(3)PanelmembersshallcontinueinofficeuntilhavebeenArticle16(1)Apersonmayserveonboth(2)IfapersonshallhavebeendesignatedtoserveonthesamePanelbymorethanoneContractingState,orbyoneormoreContractingbytheisandtheChairman,heshallbedeemedtohavebeendesignatedauthoritywhichfirstdesignatedhimor,ifonesuchauthorityStateofwhichheisanational,bythatState.(3)AlldesignationsshallbenotifiedtotheSecretary-GeneralandshalltakeeffectfromthedateonwhichthenotificationisSectionFinancingtheCentreArticle17IftheexpenditureoftheCentrecannotbemetoutofchargesforuseofitsfacilities,oroutofotherreceipts,theexcessshallbornebyContractingStateswhicharemembersoftheBankintheirrespectivesubscriptionstothecapitalproportiontheBank,andbyContractingStateswhicharenotmembersoftheinwithrulesadoptedbytheAdministrativeSectionStatus,ImmunitiesandPrivilegesArticle18【国际法法律人格TheSectionStatus,ImmunitiesandPrivilegesArticle18【国际法法律人格TheCentreshallhavefullinternationallegalpersonality.ThelegalcapacityoftheCentreshallincludethecapacity:contractacquireanddisposeofmovableandimmovablepropertyinstitutelegalproceedingsArticle19ToenabletheCentretofulfilitsfunctions,itshallenjoyintheterritoriesofeachContractingStatetheimmunitiesandprivilegessetforthinthisSection.Article20TheCentre,itspropertyandassetsshallenjoyimmunityfromalllegalprocess,exceptwhentheCentrewaivesthisimmunity.Article21TheChairman,themembersoftheAdministrativeCouncil,personsactingasconciliatorsorarbitratorsormembersofaCommitteeappointedpursuanttoparagraph(3)ofArticle52,andtheofficersandemployeesoftheSecretariat(a)shallenjoyimmunityfromlegalprocesswithrespecttoactsperformedbythemintheexerciseoftheirfunctions,exceptwhentheCentrewaivesthisimmunity;(b)notbeinglocalnationals,shallenjoythesamefromimmigrationnationalservicerestrictionsrestrictions,alienregistrationrequirementsasregardsexchangeobligations,thesamefacilitiesthesametreatmentinrespectfacilitiesasareaccordedbyContractingStatestotherepresentatives,officialsandemployeesofcomparablerankofotherContractingStates.Article22TheprovisionsofArticle21shallapplytopersonsappearingTheprovisionsofArticle21shallapplytopersonsappearinginproceedingsunderthisConventionasparties,agents,counsel,advocates,witnessesorexperts;provided,however,thatsub-paragraph(b)thereofshallapplyonlyinconnectionwiththeirtraveltoandfrom,andtheirstayat,theplacewheretheproceedingsareArticle23(1)ThearchivesoftheCentreshallbeinviolable,whereverthey(2)Withregardtoitsofficialcommunications,theCentreshallbeaccordedbyeachContractingStatetreatmentnotlessfavourablethanthataccordedtootherinternationalorganizations.Article24TheCentre,itsassets,propertyandincome,anditsoperationstransactionsauthorizedbythisConventionshallbeexemptfromtaxationandcustomsduties.TheCentreshallalsobeexemptfromthecollectionorpaymentofanytaxesor(2)Exceptinthecaseoflocalnationals,notaxshallbeleviedonorinrespectofexpenseallowancespaidbytheCentretotheChairmanormembersoftheAdministrativeCouncil,oronorinrespectofthesalaries,expenseallowancesorotheremolumentspaidbytoofficialsoremployeesoftheSecretariat.(3)Notaxshallbeleviedonorinrespectoffeesorexpensereceivedbypersonsactingasconciliators,orarbitrators,ormembersofaCommitteeappointedpursuanttoparagraph(3)ofArticle52,inproceedingsunderthisConvention,ifthesolejurisdictionalbasisforsuchtaxisthelocationoftheCentreortheplacewheresuchproceedingsareconductedortheplacewheresuchfeesorallowancesarepaid.CHAPTERIIJurisdictionoftheCentreArticle25(1)The(orjurisdictionoftheCentreshallextendtoanylegaldisputedirectlyoutofaninvestment,betweenaContractingStateconstituentsubdivisionoragencyofaContractingStatedesignatedtotheCentreContracting(1)The(orjurisdictionoftheCentreshallextendtoanylegaldisputedirectlyoutofaninvestment,betweenaContractingStateconstituentsubdivisionoragencyofaContractingStatedesignatedtotheCentreContractingState,whichwritingtosubmittobythatState)andanationalofanotherthepartiestothedisputeconsentinCentre.Whenthepartieshavegiventheirconsent,nopartymaywithdrawitsconsent(2)"NationalofanotherContractingState"(a)anyStateotherthepartiesnaturalpersonwhohadthenationalityofathantheStatepartytothedisputeconsentedtosubmitsuchdisputetoaswellasonthedateonwhichonthedateonwhichconciliationorrequestwas28orparagraphregisteredpursuanttoparagraph(3)ofofArticle36,butdoesnotincludeanypersonwhooneitherdatealsohadthenationalityoftheContractingStatepartytothedispute;and(b)anyjuridicalpersonwhichhadContractingStateotherthantheStatedateonwhichthepartiesconsentedthenationalityofpartytothedisputeonthesubmitsuchdisputetoconciliationorarbitrationandanyjuridicalpersonwhichhadthedisputenationalityoftheContractingStatepartyfordateandwhich,becauseofforeigncontrol,thepartieshaveshouldbetreatedasanationalofanotherContractingStatepurposesofthisConvention.byaconstituentsubdivisionoragencyofa(3)ConsentStatetheapprovalofthatStateunlessthatStatethatnosuchapprovalisrequired.notifiesthe(4)AnyStateatthetimeofratification,Conventionoratanytimethereafter,orclassesofdisputeswhichitacceptanceorapprovalofthisnotifytheCentreoftheorwouldnotconsidersubmittingtothejurisdictionoftheCentre.TheSecretary-GeneralshallforthwithtransmitsuchnotificationtoallContractingStates.Suchnotificationshallnotconstitutetheconsentrequiredbyparagraph(1).Article26ConsentofthepartiestoarbitrationunderthisConventionshall,unlessotherwisestated,bedeemedconsenttosucharbitrationtotheexclusionofanyotherremedy.AContractingStatemayrequiretheexhaustionoflocaladministrativeorjudicialremediesasaconditionofitsconsenttoarbitrationunderthisConvention.Article27(1)NoContractingStateexhaustionoflocaladministrativeorjudicialremediesasaconditionofitsconsenttoarbitrationunderthisConvention.Article27(1)NoContractingStateshallgivediplomaticprotection,orbringaninternationalclaim,inrespectofadisputewhichoneofitsnationalsandanotherContractingStateshallhaveconsentedtoorshallhavesubmittedtoarbitrationunderthissuchotherContractingStateshallhavefailedtowiththeawardrenderedinsuchdispute.abideby(2)Diplomaticprotection,forthepurposesof(1),notincludeinformaldiplomaticexchangesforthesolepurposefacilitatingasettlementoftheCHAPTERIIIConciliationSectionRequestforConciliationArticle28(1)AnyContractingStateoranynationalofaContractingtoinstituteconciliationproceedingsshalladdressarequesteffectinwritingtotheSecretary-Generalwhoshallsendatherequesttotheotherparty.tothatcopy(2)Therequestshallcontaininformationconcerningtheissuesindispute,theidentityofthepartiesandtheirconsenttoconciliationinaccordancewithinstitutionofconciliationtherulesofprocedureforthearbitrationproceedings.(3)TheSecretary-Generalshallonthebasisoftheregistertherequestunlesshefinds,containedintherequest,thatthedisputeismanifestlyoutsidethejurisdictionoftheCentre.HeshallforthwithnotifythepartiesofregistrationorrefusaltoSectionConstitutionoftheConciliationCommissionArticle29(1)TheConciliationCommission(hereinaftercalledtheCommission)shallbeconstitutedassoonaspossibleafterregistrationofarequestpursuanttoArticle28.(2)(a)TheCommissionshallconsistArticle29(1)TheConciliationCommission(hereinaftercalledtheCommission)shallbeconstitutedassoonaspossibleafterregistrationofarequestpursuanttoArticle28.(2)(a)TheCommissionshallconsistofasoleconciliatororanyunevennumberofconciliatorsappointedasthepartiesnotagreethenumber(b)Wherethepartiesdoconciliatorsandthemethodoftheirappointment,oneconciliatorappointedbythepresidentoftheCommission,theshallconsistofeachpartythethird,whoshallbyagreementoftheArticle30IftheCommissionshallnothavebeenconstitutedwithin90afternoticeofregistrationofthetheSecretary-Generalinaccordanceorsuchotherperiodastherequesthasbeendispatchedbywithparagraph(3)ofArticle28,mayagree,theChairmanshall,therequestofeitherpartyandafterconsultingbothpartiesastheconciliatororconciliatorsnotaspossible,Article31beappointedfromoutsidethePanelinthecaseofappointmentsbythe(1)ConciliatorsmayConciliators,pursuanttoArticle(2)ConciliatorsappointedfromoutsidethePanelofConciliatorsshallpossessthequalitiesstatedinparagraph(1)ofArticleSectionConciliationProceedingsArticle32(1)TheCommissionshallbethejudgeofitsown(2)AnyobjectionbyapartytothedisputethatthatdisputeiswithinthewithinthejurisdictionoftheCentre,orforotherreasonsisnotcompetenceoftheCommission,shallbeconsideredbythewhichshalldeterminewhethertodealwithitasapreliminaryquestionortojoinittothemeritsoftheArticle33(2)AnyobjectionbyapartytothedisputethatthatdisputeiswithinthewithinthejurisdictionoftheCentre,orforotherreasonsisnotcompetenceoftheCommission,shallbeconsideredbythewhichshalldeterminewhethertodealwithitasapreliminaryquestionortojoinittothemeritsoftheArticle33AnyconciliationproceedingshallbeconductedinaccordancewiththeprovisionsofthisSectionand,exceptasthepartiesotherwiseagree,inaccordancewithdateonwhichthepartiesofprocedurearisestheConciliationRulesineffectontheconsentedtoconciliation.IfanyquestionisnotcoveredbythisSectionortheagreedbytheparties,theRulesorshalltheArticle34(1)ItshallbethedutyofthedisputebetweenthepartiesCommissiontoclarifytheissuesintoendeavourtobringaboutagreementbetweenthemuponmutuallyacceptableterms.Tothatend,theCommissionmayatanystageoftheproceedingsandfromtimetotimerecommendtermsofsettlementtotheparties.ThepartiesshallcooperateingoodfaithwiththeCommissioninordertoenabletheCommissiontocarryoutitsfunctions,andshallgivetheirmostseriousconsiderationits(2)Ifthepartiesreachreportnotingtheagreement,theCommissionshalldrawupaindisputeandrecordingthatthehavereachedagreement.If,atanystageoftheproceedings,itappearstotheCommissionthatthereisnolikelihoodofagreementbetweentheparties,itshallclosetheproceedingsandshalldrawupareportnotingthesubmissionofthedisputefailureofthepartiestoreachagreement.Ifappearorparticipateintheproceedings,andrecordingtheonepartyfailsCommissionshalltheproceedingsandshalldrawupareportnotingthatparty'sfailuretoappearorparticipate.Article35Exceptasthepartiestothedisputeshallotherwisepartytoaconciliationproceedingshallbeentitledproceeding,whetherbeforearbitratorsorinainanyofotherwise,toinvokeorrelyonanyviewsexpressedorstatementsoradmissionsoroffersofsettlementmadebytheotherpartyintheconciliationproceedings,orthereportoranyrecommendationsmadebytheCommission.CHAPTERIVArbitrationSectionRequestconciliationproceedings,orthereportoranyrecommendationsmadebytheCommission.CHAPTERIVArbitrationSectionRequestforArbitrationArticle36(1)AnytothatcopyContractingStateoranytoinstitutearbitrationeffectinwritingtothetherequesttothenationalofaContractingStateproceedingsshalladdressarequestSecretary-Generalwhoshallsenda(2)requestshallcontaininformationconcerningtheissuesdispute,theidentityoftheinaccordancewiththerulesconciliationandpartiesandtheirconsenttoarbitrationofprocedurefortheinstitutionof(3)TheSecretary-Generalshallregistertherequestunlesshefinds,onthebasisoftheinformationcontainedintherequest,thatthedisputeismanifestlyoutsidethejurisdictionoftheCentre.HeshallforthwithnotifythepartiesofregistrationorrefusaltoSectionConstitutionoftheTribunalArticle37(1)TheArbitralTribunal(hereinaftercalledtheTribunal)shallconstitutedassoonaspossibleafterregistrationofarequestpursuanttoArticle36..Tribunalshallconsistofasolearbitratororany(2)(a)Thenumberofappointedasthepartiesshallnotagreeuponthenumberof(b)WherethepartiesdoandthemethodoftheirtheTribunalshallconsistofarbitrators,arbitratorappointedbyeachpartyandthethird,whoshallbethepresidentoftheTribunal,appointedarbitrators,arbitratorappointedbyeachpartyandthethird,whoshallbethepresidentoftheTribunal,appointedagreementoftheArticle38IftheTribunalshallnotnoticeofregistrationhavebeenconstitutedwithin90daysaftertherequesthasbeendispatchedbytheSecretary-Generalinaccordancewithparagraph(3)ofArticle36,orsuchotherperiodasthepartiesmayagree,theChairmanshall,attherequestofeitherpartyandafterconsultingbothpartiesasfaraspossible,appointthearbitratororarbitratorsnotArbitratorsappointedbytheChairmanpursuanttoArticleshalldisputeorofnotbenationalsoftheContractingStatepartytotheContractingStatewhosenationalisapartyArticle39ThemajorityofthearbitratorsshallbeofStatesthantheContractingStatepartytothedisputeandtheContractingStatewhosenationalisapartytothedispute;provided,however,thattheforegoingprovisionsofthisArticleshallnotapplyifthesolearbitratororeachindividualmemberoftheTribunalhasbeenappointedbyagreementoftheparties.Article40appointedfromoutsidethePanelthecaseofappointmentsbythe(1)ArbitratorsmaybeArbitrators,exceptpursuantto(2)ArbitratorsappointedfromoutsidethePanelofArbitratorsshallpossessthequalitiesstatedinparagraph(1)ofArticle14.SectionPowersandFunctionsoftheTribunalArticle41(1)TheTribunalshallbethejudgeofitsown(2)AnyobjectionbyapartytothedisputethatthatdisputeisnotwithinthejurisdictionoftheCentre,orforotherreasonsisnotwithinthecompetenceoftheTribunal,shallbeconsideredbytheTribunalwhichshalldeterminewhethertodealwithitasapreliminaryquestionortojoinittothemeritsofthedispute.Article42(1)TheTribunalwithinthecompetenceoftheTribunal,shallbeconsideredbytheTribunalwhichshalldeterminewhethertodealwithitasapreliminaryquestionortojoinittothemeritsofthedispute.Article42(1)TheTribunalshalldecideadisputeoflawasmaybeagreedbytheinaccordancewithsuchrulesIntheabsenceofsuchlawoftheContractingagreement,theTribunalshallapplypartytothedispute(includingitsandsuchrulesofinternationalrulesontheconflictofasmaybe(2)TheTribunalmaynotbringinfindingofliquetongroundofsilenceorobscurityofthe(3)TheprovisionsofpoweroftheTribunalpartiessoagree.paragraphs(1)and(2)todecideadisputeexnotprejudiceetbonoifArticle43Exceptastheotherwiseagree,theTribunalmay,ifititnecessaryatanystageofthe(a)calluponthepartiestoproducedocumentsorother(b)visitthesceneconnectedwiththedispute,andconductinquiriesthereasitmaydeemArticle44AnyarbitrationproceedingshallbeconductedinaccordancewiththeprovisionsofthisSectionand,exceptasthepartiesotherwiseagree,inaccordancewiththeArbitrationRulesineffectonthedateonwhichthepartiesconsentedtoarbitration.IfanyprocedureariseswhichisnotcoveredbythisSectionArbitrationRulesoranyrulesagreedbytheparties,shalldecidethequestion.orthetheArticle45(1)Failureofapartytoappearortopresenthiscaseshallnotbedeemedanadmissionoftheotherparty'sassertions.IfapartyfailstoappearortopresenthiscaseatanystageIfapartyfailstoappearortopresenthiscaseatanystageofproceedingstheotherpartymayrequesttheTribunaltodealwithquestionssubmittedtoitandtorenderanaward.Beforerenderinganaward,theTribunalshallnotify,andgrantaperiodofgraceto,thepartyfailingtoappearortopresentitscase,unlessitissatisfiedthatthatpartydoesnotintendtodoso.Article46Exceptasthepartiesotherwiseagree,theTribunalshall,anyincidentaloradditionalrequestedbyaparty,orcounterclaimsarisingdirectlyoutofthesubject-matterofthedisputeprovidedthattheyarewithinthescopeoftheconsentofthepartiesandareotherwisewithinthejurisdictionoftheCentre.Article47Exceptasthepartiesotherwiseagree,theTribunalmay,ifitconsidersthatthecircumstancessorequire,recommendanyprovisionalmeasureswhichshouldbetakentopreservetherespectiverightsofSectionTheAwardArticle48shalldecidequestionsbyamajorityofthevotesawardtheTribunalshallbeinwritingandshallbebythemembersoftheTribunalwhovotedfor(3)TheawardshalldealwitheveryquestionsubmittedtotheTribunal,andshallstatethereasonsuponwhichitis(4)AnymemberoftheTribunalmayattachhisindividualopiniontotheaward,whetherhedissentsfromthemajorityornot,orastatementofhisdissent.(5)TheCentreshallnotpublishtheawardwithouttheconsentoftheArticle49(1)TheSecretary-Generalshallpromptlydispatchcertifiedcopiesoftheawardtotheparties.Theawardshallbedeemedtohavebeenrenderedonthedateonwhichcertifiedcopieswere(2)TheTribunaluponthe(1)TheSecretary-Generalshallpromptlydispatchcertifiedcopiesoftheawardtotheparties.Theawardshallbedeemedtohavebeenrenderedonthedateonwhichcertifiedcopieswere(2)TheTribunalupontherequestafterthedateonwhichtheofapartymadewithinwasrenderedmay45daystodecidetheotherpartydecideanyquestionwhichithadtheaward,andshallrectifyanyerrorintheaward.Itsclerical,arithmeticalorsimilarshallbecomepartoftheawardinthesameshallbenotifiedtotheperiodsoftimeprovidedparagraph(2)ofArticledecisionwasrendered.astheaward.TheArticle51andonwhichtheforunderparagraph(2)52shallrunfromtheSectionInterpretation,RevisionandAnnulmentoftheAwardArticle50(1)Ifanydisputeshallarisebetweenthepartiesastothemeaningorscopeofanaward,eitherpartymayrequestinterpretationoftheawardbyanapplicationinwritingaddressedtotheSecretary-(2)Therequestshall,ifpossible,besubmittedtothewhichrenderedtheaward.Ifthisshallnotbepossible,ashallbeconstitutedinTheTribunalmay,ifitstayenforcementofaccordancewithSection2ofthisconsidersthatthecircumstancessoawardpendingitsdecision.Article51(1)EitherpartymayrequestrevisionoftheawardbyanapplicationinwritingaddressedtotheSecretary-Generalonthegroundofdiscoveryofsomefactofsuchanat
