出口合同出口商品买卖合同中英文对照ExportSalesContract–PurchaseandSaleofGoods出口商品买卖合同PARTIES:双方：Seller:出售方：[NameandAddress][名称和地址]Buyer:购买方：[NameandAddress][名称和地址]1.SUBJECTMATTEROFTHEAGREEMENT本协议的目的是就销售和购买以下商品达成一致。ThisAgreementsetsforththetermsandconditionsforthesaleandpurchaseofthefollowinggoods:2.TERMSANDCONDITIONS2.1TheSelleragreestosellandtheBuyeragreestopurchasethegoodssetforthinthisAgreement,inaccordancewiththetermsandconditionssetforthherein.出售方同意按照本协议所列明的条件出售商品，购买方同意按照此协议的条件购买商品。2.2TheSellerwarrantsthatthegoodsarefreefromdefectsinmaterialsandworkmanship,conformwithallapplicablelawsandregulations,andarefitandsufficientforthepurposesforwhichtheyareintended.出售方保证商品不含有材料和工艺上的瑕疵，符合所有适用的法律法规，且适用于其预定的用途。2.3TheBuyershallpaytheSellerthefullpurchasepriceforthegoodswithin[numberof]daysfromreceiptoftheinvoice.购买方将在收到发票后[numberof]天内全额支付商品购买价款。2.4TheSellershalldeliverthegoodstotheBuyerwithin[numberof]daysofthedateofthisAgreement.出售方将在本协议签订日起[numberof]天内向购买方交货。2.5Thegoodsshallbeshipped[transportationmode]anddeliveredto[destination].AllshippingcostsshallbebornebytheBuyer.商品将以[运输模式]方式运输，并交付至[目的地]。所有运输费用由购买方承担。2.6IftheBuyerfailstotakedeliveryofthegoodswithin[numberof]daysofnotificationbytheSeller,theSellershallbeentitledtostorethegoodsattheBuyer'sexpense,ortosellthegoodswithoutfurthernoticetotheBuyer.如果购买方在出售方通知后[numberof]天内无法接收商品，则出售方有权将商品存储，存储费用由购买方承担。或出售方可以不再通知购买方，直接出售商品。2.7TheSellershallbenotresponsibleforanydelayorfailuretodeliverthegoodsduetoanyeventbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,strikes,labordisputes,wars,fire,flood,orgovernmentregulations.出售方将不承担任何因配送商品而发生的延误或不能交付的责任，包括但不限于外界不可抗力因素，如神灵的干预、罢工、劳动纠纷、战争、火灾、洪水或政府规定等。2.8TheBuyeragreestocomplywithallapplicablelawsandregulationsinconnectionwiththetransactionscontemplatedbythisAgreement,includingbutnotlimitedtothelawsandregulationsofChina.购买方同意遵守与本协议涉及的交易相关的所有适用法律法规，包括但不限于中国的法律法规。3.WARRANTYANDINDEMNIFICATION3.1TheSellerwarrantsthatthegoodsarefreefromanydefects,liens,orencumbrances,andthatthegoodsconformtoanysamples,specifications,ordescriptionsprovidedtotheBuyer.出售方保证商品没有任何瑕疵、留置权或负担，并符合已提供给购买方的任何样品、规格或描述。3.2TheSellershallindemnifyandholdharmlesstheBuyeragainstanyloss,damage,orexpensearisingfromanybreachofthisAgreementbytheSelleroranydefect,lien,encumbrance,orotherproblemwiththegoods.出售方将向购买方承担任何因出售方违反本协议或商品出现任何瑕疵、留置权、负担或其他问题而导致的任何损失、损害或费用。3.3TheBuyershallindemnifyandholdharmlesstheSelleragainstanyloss,damage,orexpensearisingfromanybreachofthisAgreementbytheBuyeroritsagents,orfromanyuseormisuseofthegoodsbytheBuyeroritsagents.购买方将向出售方承担任何因购买方或其代理违反本协议或购买方或其代理使用或滥用商品而导致的任何损失、损害或费用。4.GOVERNINGLAWANDDISPUTERESOLUTION4.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofChina.本协议适用于中国法律。4.2AnydisputearisingfromorrelatingtothisAgreementshallberesolvedthroughnegotiationormediation.Ifthedisputecannotberesolvedthroughnegotiationormediation,thepartiesagreetosubmitthedisputetothecourtsofChinaforresolution.因本协议引起的任何争议应通过谈判或调解解决。如果争议无法通过谈判或调解解决，各方同意将争议提交中国法院处理。5.MISCELLANEOUS5.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesanyprioragreementsorunderstandings,whetherwrittenororal.本协议构成各方之间的全部协议，取代任何之前的书面或口头协议或理解。5.2ThisAgreementmayonlybeamendedinwritingsignedbybothparties.本协议只能由双方签署的书面协议进行修改。5.3ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.本协议应对当事人及其各自的继承人和受让人具有约束力。5.4AnynoticerequiredorpermittedtobegivenunderthisAgreem
