FOREIGNTRADECOMMISSIONAGREEMENT

THISAGREEMENTismadethis___dayof________,20__,byandbetween:

1.PARTYA,acompanyincorporatedunderthelawsof[Country],withitsregisteredofficeat[Address](hereinafterreferredtoas"PartyA");and

2.PARTYB,acompanyincorporatedunderthelawsof[Country],withitsregisteredofficeat[Address](hereinafterreferredtoas"PartyB").

WHEREAS,PartyBhasagreedtoactasthesellingagentforPartyAinpromotingandsellingPartyA'sproducts/servicesin[Country];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,itisherebyagreedasfollows:

1.DUTIESOFPARTYB

1.1PartyBshalluseitsbesteffortstopromoteandsellPartyA'sproducts/servicesin[Country].

1.2PartyBshallprovidePartyAwithregularreportsonsalesactivities,marketconditions,andcustomerfeedback.

2.COMMISSION

2.1PartyAagreestopayPartyBacommissionof[Percentage]%onallsalesmadebyPartyBin[Country].

2.2Commissionshallbepaidwithin[Number]daysaftertheendofeachmonth.

3.TERM

3.1ThisAgreementshallcommenceon[Date]andshallcontinueuntilterminatedbyeitherpartyupon[Number]dayswrittennotice.

4.TERMINATION

4.1EitherpartymayterminatethisAgreementiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceivingwrittennoticethereof.

5.GOVERNINGLAW

5.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

6.ENTIREAGREEMENT

6.1ThisAgreementcontainstheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.
