工程承揽合作协议中英文对照版工程承揽合作协议（中英文对照）AGREEMENTOFPROJECTCONTRACTINGANDCOOPERATION协议编号Ref.No.:签订日期DateofSignature:签订地点PlaceofSignature:订约人：UndersignedParties:_____有限公司（以下简称甲方）_____Co.Ltd(hereinaftercalledPartyA)地址：Address电话：TelNo.代表：Representedby_____有限公司（以下简称乙方）_____Co.Ltd(hereinaftercalledPartyB)地址：Address电话：TelNo.代表：Representedby目录TABLEOFCONTENTS1．合作背景CooperationBackground2．合作范围ScopeofCooperation3．合作方式ModeofCooperation4．费用划分PaymentDistribution5．违约责任Liabilityforbreachofcontract6．权利义务转让Assignmentofrightsandobligations7．适用法律ApplicableLaw8．争议的解决ResolutionofDisputes9．通知Notice10．其他事项Miscellaneous1.合作背景COOPERAIONBACKGROUND鉴于甲方在中国天气领域处于领先地位，尤其在天然气集输处理及甜化方面的经验和业绩；WhereasPARTYAisintheleadingpositioninthegasindustryofChinaandhas,inparticular,experienceandtrackrecordintheareasofgasgating&transmission,gastreatment&sweeting;鉴于上方均希望利用各自的优势，强强联合，共同承揽并完成在澳大利亚昆士兰的煤层气项目处理设施的EPC工程总承包工作。WhereasbothpartiesdesiretomakeuseoftheirrespectivestrengthsandtoundertakeprojectsofArrowEnergyLtdsuchasEPCofCoalbedgastreatmentfacilitiesinQueensland,Australia.2.合作范围SCOPEOFCOOPERATIONa.合作范围包括：上述项目的投标、基础设计、详细设计、项目管理、设备监造、采购、施工、安装、试运行及质保等工作。ThescopeofcooperationshallbeProjectTender,BasicandDetailEngineering,ProjectManagement,FabricationSupervision,Procurement,Construction,Installation,CommissioningandWarrantyofsuchprojectsasmentionedabove.b.双方在合作期限内将组成一个联合管理委员会，由双方各委派四名代表组成。联合管理委员会行使以下职权：Inthetermofoperation,eachpartyshallappointfourrepresentativestoestablishaJointManagementCommittee(“JMC”).TheJMCshallexercisethefollowingpowers;(i)收集市场信息；Togathermarketintelligence(ii)为经批准的项目投标；Totenderfortheagreedprojects(iii)为目标项目共同决策；和Tojointlyestablishprojectobjectivestrategies;and(iv)对双方无法达成一致的事项进行决定。Todecideonthemattersthatbothpartiesfailtoreachaconsensus,c.联合管理委员会应由8名成员组成，其中甲方应委派4名成员。TheJMCshallcompriseeight(8)members,ofwhomfour(4)shallbeappointedbyPARTY.d.原委派方可通过向对方提前30天发出书面通知替换其向联合委员会委派的任何成员。AnymemberoftheJMCmayberemovedandreplacedbytheoriginalappointingpartybygivinga30days’priornoticeinwritingtotheotherParty.e.为方便联合管理委员会管理，提高运行效率，双方委派人员中至少有1人能同时熟练使用中、英文。FortheconvenienceofJMCmanagementandoperationalefficiency,atleastoneofJMCmembersofeachpartyshallbeabletousebothChineseandEnglishproficiently.f.联合管理委员会应选举一名协调人。该协调人应制定联合管理委员会会议议程，并召集和主持联合管理委员会会议，如该协调人不能召集时，应委托联合管理委员会其他成员召集和主持联合管理委员会会议。TheJMCshallelectacoordinatoroftheJMC(Coordinator).TheCoordinatorshallpreparetheagendaforeveryJMCmeetingandwillconveneandpresideoversuchmeetings.IftheCoordinatorisunabletoconvenetheJMCmeeting,heshallauthorizeanyothermemberoftheJMCtoconveneandpresideoverthemeeting.g.联合管理委员会应通过联合管理会会议的规则。TherulesoftheJMCmeetingsshallbeadoptedbytheJMC.h.双方同意本协议仅规定了双方之间合作的原则，甲方和将就与每一个合作项目签署或甲方和将就每一个合作项目与业主或客户签署一份详细的项目协议。该项目协议将规定双方在具体项目上进行合作的条款和条件，包括各方所承担的职责和责任。BothPartiesagreethatthisAgreementonlysetsoutthegeneralprinciplesofthecooperationbetweenthePartiesandadetailedprojectagreementwillbeexecutedbetweenPARTYAandorbetweenPARTYAandwiththeownerorClientforCoalbedgasproject,andsuchdetailedprojectagreementwillsetoutthetermsandconditionsforbothPartiestocooperateonthespecificprojectincludingthedutiesandresponsibilitieseachpartywillbearinsuchspecificproject.3.合作方式MODEOFCOOPERATIONa.联合设计JointDesign（i）双方可针对每一个合作项目签署相关协议以确定双方的工作范围和工作量。甲方确认，其拥有完全的中华人民共和国相关资质从事本协议项下个性工程的成本与设计工作。乙方确认，其拥有完全的澳大利亚相关资质从事本协议项下各项工程的承包与设计工作。Bothpartiesmayenterintotherelevantagreementinrelationtoeachcooperativeprojectsoastodeterminetheirrespectiveworkscopeandmatrix.PARTYAacknowledgesthatitpossessestherelevantPRCqualificationstoengageinthecontractinganddesignworkofeachprojectherein.PartyBacknowledgesthatitpossessestherelevantAustralianqualificationstoengageinthecontractinganddesignworkofeachprojectherein.（ii）根据双方工作范围及工作量的划分，双方各自完成所属范围内的工作。Bothpartiesshallcompletetheirowndesignworkaccordingtotheirwokscopeandworkload.（iii）根据工程项目需要，联合设计工作可以在公司总部进行，也可以在甲方本部进行，或双方书面约定的其他地点进行。Asrequiredbytheprojects,thejointdesigningworkcanbeconductedintheheadquarterofeitherorPARTYAorsomeotherplacesagreedbybothpartiesinwriting.b.联合采购JointProcurement根据各自的优势，针对已承担总承包项目特点，负责从国外供应商/卖方购买设备及材料的采购工作，甲方负责在中国国内购买设备和材料的采购工作。Accordingtotheirrespectiveadvantagesandthefeaturesoftheprojects,willbeinchargeoftheprocurementofequipmentandmaterialsfromoverseassuppliers/vendorsandPARTYAwillbeinchargeoftheprocurementofequipmentandmaterialsinChina.c.劳务派遣.LaborDispatch根据已承担项目的特点和需要，双方可互为派遣相关技术或项目管理人员赴对方工作所在的执行项目的具体工作。因此而产生的相关费用将作为各项目总收入的成本并经联合管理委员会同意由双方共同承担。Bothpartiesmaydispatchrelevanttechnicalpersonnelorprojectmanagementstafftotheworksiteoftheotherpartysoastocarryouttheprojectsaccordingtothenecessityandfeaturesoftheprojects.Relevantexpensesincurredherefromshallbelistedasthecostofeachprojectandshallbebornebybothparties,asagreedbytheJMC.4.费用分配PAYMENTDISTRIBUTIONa.联合管理委员会将在具体项目的基础上根据各方承担的项目工作量并综合各方的响应原始报价来确定各方应获得的收入。TheJMCshallassesstherevenuethateachPartywillbeentitledtoaccordingtotheworkloadandoriginalpricingproposedbyeachpartyonjobtojobbasis.b.双方将在本框架协议内共同承揽项目，针对每一个合作项目分别签订确定双方费用和收入合同。Thepartiesshallundertakeprojectswithinthesphereofthisframesworkagreementandshallenterintocontractforeachcooperationprojecttodeterminethefees,revenueandincomeeachpartyisentitledto.5．违约责任Liabilityforbreachofcontract本协议书已经生效各方应当认真履行，任何一方未按协议规定全面履行义务，均构成违约。违约方应当赔偿守约方因此遭受的全部损失，包括但不限于守约方因追究其违约责任或赔偿责任所产生的诉讼费、保全费、担保费、律师费等费用。ThisAgreementhascomeintoforce,andthefailureofeitherpartytofullyperformitsobligationsinaccordancewiththeagreementshallconstituteitsbreachofcontract.Thebreachingpartyshallcompensateforallthelossesincurredbytheobservantparty,includingbutnotlimitedtothelegalcosts,preservationfees,guaranteefees,attorneyfeesincurredbytheliabilityforbreachofcontractorcompensation.6.权利义务转让Assignmentofrightsandobligations未得到对方的书面同意，双方的任何一方无权将本合同中规定的权利与义务转让给第三方。NeitherpartyshallbeentitledtotransfertheirrightsandobligationsunderthepresentContracttoanythirdpartywithoutthewrittenconsentoftheotherparty.7.适用法律ApplicableLaw本协议的一切条款，按国现行有关法令和条例执行。在本协议生效之后，由于国家颁布新的法律、法令、条例，或对原有的条款进行了修改，致使甲方或乙方的经济利益发生变化，应及时协商，并对本协议的有关条款作为必要的修正或调整，以维护各方的正常经济利益。Alltermsofthisagreementshallbeimplementedinaccordancewiththerelevantdecreesandregulationsof

.AfterthisAgreementcomesintoforce,theeconomicinterestsofnewlaws,decrees,regulationsortheamendmentoftheoriginalprovisionsofPartyAorPartyBshallbechanged,whichshallbetimelynegotiated,andtherelevantprovisionsofthisagreementshallbeamendedoradjustedasnecessarytosafeguardthenormaleconomicinterestsofallparties.8.争议的解决ResolutionofDisputes在执行本合同的过程中所发生的争议，双方应友好协商解决，协商不成，双方同意提交仲裁委员会申请仲裁解决。按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。7.1AnydisputearisingfromorinconnectiontotheexecutionofthisContractshallbesettledbetweenthetwopartiesthroughfriendlyconsultation.Incasenoagreementcanbereached,bothpartiesagreeherebytosubmitthecaseindisputeto
