1.TermsandConditions:

1.1ProductDescription:

TheSelleragreestosellandtheBuyeragreestopurchasethefollowingproduct(s)(hereinafterreferredtoas"theProducts"):[ProductDescription].

1.2Quantity:

TheBuyeragreestopurchaseatotalquantityof[Quantity]unitsoftheProducts,asdescribedinsection1.1.

1.3Price:

1.4.3TheSellershallensurethattheProductsareproperlypackagedandlabeledfortransportation,inaccordancewithapplicablelawsandregulations.

1.5Payment:

1.6Warranty:

2.Termination:

ThisContractconstitutestheentireagreementbetweentheSellerandtheBuyerwithrespecttothepurchaseandsaleoftheProducts.AnymodificationsoramendmentstothisContractmustbemadeinwritingandsignedbybothparties.

4.Confidentiality:

Bothpartiesagreetokeepanyconfidentialinformationreceivedfromtheotherpartyconfidentialandnottodiscloseittoanythirdparty,exceptasrequiredbylaw.

5.1Upondelivery,theBuyershallhavetherighttoinspecttheProductstoensuretheymeettheagreed-uponspecificationsandarefreefromanydamagesordefects.

5.2AnydiscrepanciesorissuesfoundduringtheinspectionmustbepromptlyreportedtotheSellerinwritingwithinareasonabletimeframe,notexceeding[Number]daysfromthedateofdelivery.

5.3IftheBuyerfailstoreportanydiscrepanciesorissueswithinthespecifiedtimeframe,itshallbedeemedthattheBuyerhasacceptedtheProductsintheirdeliveredcondition.

6.TitleandRiskofLoss:

6.1TitletotheProductsshallpassfromtheSellertotheBuyerupondeliveryandacceptanceoftheProducts.

6.2RiskoflossordamagetotheProductsshalltransferfromtheSellertotheBuyerupondelivery.TheBuyershallbeartheriskoflossordamageduringtransportation,unlessotherwiseagreeduponinwritingbybothparties.

7.ForceMajeure:

7.1NeitherpartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentregulations,oranyotherunforeseenevents.

7.2Ifaforcemajeureeventoccurs,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandshallmakereasonableeffortstomitigatetheimpactoftheeventontheperformanceofitsobligationsunderthisContract.

8.LimitationofLiability:

8.1Exceptforthewarrantyprovidedinsection1.6,neitherpartyshallbeliabletotheotherpartyforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisContract,evenifthepartyhasbeenadvisedofthepossibilityofsuchdamages.

8.2TheSeller'sliabilityforanyclaimarisingoutoforinconnectionwiththisContractshallbelimitedtothetotalamountpaidbytheBuyerfortheProducts.

9.Assignment:

9.1NeitherpartymayassignortransferitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.However,eitherpartymayassignthisContracttoaparent,subsidiary,oraffiliatewithouttheotherparty'sconsent.

10.Severability:

10.1IfanyprovisionofthisContractisfoundtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffecttothemaximumextentpermittedbylaw.

11.Waiver:

11.1ThefailureofeitherpartytoenforceanyrightsorprovisionsofthisContractshallnotconstituteawaiverofsuchrightsorprovisionsu
