鉴于乙方为甲方提供翻译服务，双方当事人就乙方在服务期间及服务结束后来保守甲方技术秘密和其他商业秘密的有关事项，约定下列条款并共同遵守：Whereas:PartyBprovidestranslationserviceforPartyA,andwithregardstoconfidentialityofPartyA’stechnicalknow-howandothercommerciallyrelatedsecretsduringandaftertheserviceperiod,bothpartieshaveconcludedandcommittedtoobservethefollowingtermsandconditions.一.定义I.Definitions：1.企业秘密(指关系企业权利和利益，在一定期间内只限一定范围内的人员知悉的事项，包括但不限于专利、著作权、技术秘密和其他商业机密)。Companysecrets(i.e.,anymattersrelatedtotherightsandinterestsoftheCompany,whichareonlyknowntolimitednumberofpersonswithinacertainperiod,includingbutnotlimitedtopatents,copyrights,technicalknow-howandcommercialsecrets)2.甲方已经或即将交付给乙方、向乙方披露或乙方知悉的有关信息和资料(包括但不限于上面印有“保密”、“confidential”字样或其他同义的文字)。AnyrelevantinformationandmaterialsthatPartyAhasdelivered,disclosedorknownorisreadytodeliver,discloseormakeknowntoPartyB(includingbutnotlimitedtothosestampedwith“保密”,“confidential”orotherwordsorcharactersbearingtheequivalentmeanings).3.乙方在为甲方提供服务期间所完毕的、与甲方业务有关或重要运用甲方所提供的信息所完成的作品或其他商业秘密信息等成果。AnyworksorachievementsthathavebeencompletedbyPartyBduringtheserviceperiod,orthatarerelatedtoPartyA’sbusinessesorthathavebeencompletedmainlywiththeinformationprovidedbyPartyA,and/orothercommercialsecrets.4.形式：包括但不限于书面、口头、模型或其他存储于任何硬件上的信息，如光盘、计算机、便携式硬盘等。Forms:includingbutnotlimitedtoinformationthatispaperbased,orallymade,modeledorstoredinanyotherhardware,suchasCDs,computers,portableharddrives,etc.

二.乙方充足认知并同意甲方就上述秘密、信息资料及服务成果具有下列利害关系的所有或一部分：II.PartyBhasfullyunderstoodandagreedthattheabovementionedsecrets,informationandmaterialsaswellasserviceachievementsarebearingallorpartofthefollowingsignificance:1.乙方对第三人具有保密必要或义务。PartyBhastheresponsibilityandobligationtokeeptheconcernedinformationsecrettoanythirdparty.2.具有知识产权的价值或商业利益。Theconcernedinformationisofintellectualpropertyvaluesorofcommercialinterests.

三.下列情形乙方不负保密责任：III.PartyBshallnotbeheldconfidentialresponsibilityfor:1.已公开为众所周知的文献或资料；Documentsormaterialsthathadpreviouslybeenmadepublic2.甲方同意公开的；ThatPartyAhasagreedtodisclose;or3.基于法律规定或法院的判决，裁定而披露者。Thathastobedisclosedinaccordancewithlawsandregulationsorthecourtdecisions.

四.乙方保密职责IV.PartyB’sConfidentialResponsibilities1.乙方同意采用必要合理的措施维护甲方的保密资料或信息。PartyBhasagreedtoundertakeappropriatemeasuresnecessaryforprotectingtheconfidentialityofPartyA’smaterialsorinformation.2.乙方必须遵守甲方规定的任何成文或不成文的保密规章、制度、履行与其服务对应的保密职责。甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度、采用任何须要、合理的措施，维护其于服务期间知悉或者持有的任何属于甲方或者属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。PartyBshallabidebyanywrittenorunwrittenconfidentialregulationsandsystemsprovidedforbyPartyA,andshallfullyimplementitsconfidentialresponsibilitiesassociatedwiththeserviceprovided.IncasethatthereexistsanyunregulationorindefinitenessintheconfidentialregulationsandsystemsprovidedforbyPartyA,PartyBshall,withacautiousandfaithfulattitude,undertakeanyappropriatemeasuresnecessaryforconfidentialprotectionofanytechnicalknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities.

五.所有权保留V.ReserveofOwnership1.凡甲方交付给乙方的资料，其所有权仍属于甲方，甲方可以随时以书面形式告知乙方交还或销毁该资料，以及其所有的拷贝本。PartyAreservestherightofownershipforanymaterialssenttoPartyB,andreservestherighttomakearequestinwriting,requiringPartyBtoreturnordestroysuchmaterialsandallthecopies.2.甲方交付乙方文献或资料，如具有任何可申请专利权或著作权等知识产权者，乙方不得据为己有而申请或提供他人申请专利或著作权等知识产权。Incasethatthedocumentsormaterialscontainanyworksortechnicalachievementsthatmayapplyforpatents,copyrightsand/orotherintellectualproperties,PartyBshallnottakesuchworksortechnicalachievementsasitsown,andapplyorprovidetoanythirdpartytoapplyforpatents,copyrightsand/orotherintellectualproperties.3.乙方完毕的服务成果，有关知识产权归甲方所有，乙方不得在未经甲方明确授权的前提下运用这些成果进行生产、经营或自行向第三方转让。TherelevantintellectualpropertiesofanyserviceachievementsthathavebeencompletedbyPartyBbelongtoPartyA.WithoutPartyA’sclearauthorization,PartyBshallnotconductanyproductionoroperationbyuseofsuchachievements,ortransfersuchachievementstoanythirdparty.

六.资料返还VI.ReturnofMaterials服务协议结束时，乙方有义务按甲方的规定将甲方已交付乙方的资料以及其所有的复制或拷贝本交还给甲方。无法返还的资料，包括但不限于已安装于硬设备的软件程序，乙方应即清除销毁。Uponterminationoftheservicecontract,PartyBisobligedtoreturnallthematerialspreviouslydeliveredtohimbyPartyAandallcopiesbacktoPartyAasperPartyA’srequest.Forthosethatcouldnotbephysicallyreturned,includingbutnotlimitedtosoftwareprograminstalledinharddevices,PartyAshalleliminatefromsuchdevicesimmediately.

七.保密期间VII.PeriodofConfidentiality乙方同意自服务结束之后对在为甲方提供服务期间接触、知悉属于甲方或者虽属于第三方但甲方承诺保密义务的技术秘密和其他商业秘密信息，承担如同服务期间同样的保密义务和不私自使用有关秘密信息的义务，直至甲方宣布解密或该信息实际上已经公开。Aftertheendingoftranslationservice,PartyBhasagreedtotakethesameconfidentialresponsibilityasregulatedwithintheserviceperiodforanytechnicalknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities,andcommittedthathewillnotuseanysecretinformationwithoutPartyA’sauthorizationorapproval,untilPartyAdeclaresthedisclosureofsuchinformationorsuchinformationhasbeenactuallydisclosedtothepublic.

八.违约责任VIII.ResponsibilityforBreachofAgreement乙方同意如违反本合约任何条款的，甲方有权单方面解除与乙方的服务协议，并保留依法追究乙方违约责任的权利。PartyBhasagreedthatifhehasviolatedanytermorconditionunderthisAgreement,PartyAwillreservetherighttoterminatetheservicecontractsignedwithPartyB,andreservetherighttoclaimPartyB’sresponsibilityforbreachofthisAgreement.

九.因本协议而引起的纠纷，假如协商处理不成，任何一方均有权提起诉讼。IX.ForanydisputearousedunderthisAgreement,anypartymayproposeforlegalproceedingsifaresolutionfailstobereachedundernegotiation.
