RegulationsonBrandingofParts(2008Version1.0)目的TheseregulationsareherebyformulatedtopromotetheuseofSGMgenuinepartsandaccessories(the”Parts”),enhanceconsumer’sabilitytoappreciateofSGMgenuineParts,safeguardtheinterestsofrs,customersandSGM,combatcounterfeitPartsScopeofTheseregulationsareapplicabletoallPartsofnon-global“SGM”指通用汽车及其所有的子公司（包括但不限于通用东岳汽车有限公SGMSGM的定义进行不时地修改。“SGM”meansShanghaiGeneralMotorsCorporationLimitedandallofitssubsidiaries(includingbutnotlimitedtoShanghaiGMDongyueAutomotiveCo.,.,ShanghaiGMDongyuePowerTrainCo.,.,andShanghaiGM(Shenyang)NorsomAutomotiveCo.,.);ShanghaiGeneralMotorsCorporationLimitedretainsthefinalrighttointerpretthedefinitionofSGMandisentitledtofurtherrevisethedefinitionofSGMfromtimetotime.“供应商”SGMSGM提供零配件的自然人、法人或者其他组织，包括其所有形式的分包商及子公司、。“r”meansallnatural s,legalentitiesorotherorganizationswhohavesignedpurchasecontractswithSGMtosupplyPartstoSGM,includingtheirsubcontractors,subsidiaries,and“Logos”meansalltrademarks,logos,tradenames,tradeaddresses,andotherrecognizablesymbols.“SGMLogomeansallLogospossessedorauthorizedtobeusedbySGM.“Parts”meanspartsandcomponents(includingproductionpartsandserviceparts),PrincipleofSGM在ThePartsprovidedbythershallfullycomplywiththeseregulationsandotherrequirementsofPartsbranding,andmeetthetechnicalspecificationofbrandingmode,brandinglocation,size,color,specs.SGMIfbrandinginaccordancewiththerequirementsaforesaidwillhavenegativeimpactsonfunctionsorstyles,thershallnotifySGMimmediayputforwardBrandingDeviationApplicationandobtainwrittenconsentofSGM.⑶除非中国法律、强制性要求或者经过SGM事先同意外，供应商不得将其或Unlessotherwisestipulatedbythecompulsoryrequirementsoflawsorregulations,orpriorwrittenconsentbySGM,rshallnotaffixorappenditsorotherparty’sLogostoitsPartsorpackaging.⑷若中国法律 Intheeventofthecompulsoryrequirementsoflawsorregulationsthatther‘sLogoorotherLogosshallbebranded,thershallnotifySGMinpriortoitsbrandingofther’sLogosorotherLogos.Inaddition,ther’sLogosorotherLogosshallnotbemoreprominentthanthoseofSGM.SGMThershallincrease,delete,ormodifyLogosonthePartsandtheirpackagesinaccordancewiththerequirementsofSGMandendeavortominimizethecostsofincreasing,deleting,andmodificationshereabove.⑹供应商对上述规定和技术规范的任何偏离，均需在技术交底(TR)AnydeviationstothestipulationhereinaboveandtechnicalspecificationshallberaisedinTechnicalReview(TR)orProductDevelopmentTeam(PDT)meetingandapprovedbyMethodologyof⑴SGM标识应当根据SGM的要求通过注模、浇铸、冲压、激光打印、印刷、或其他SGMLogosshallbeaffixedtothePartsandtheirpackagingbymoulding,casting,stam,laserprinting,printing,labeling,orotherrelatedmethodsinaccordancewithSGMrequirements.SGMSGMLogosaffixedtothePartsshallbeclearlyrecognizableand SGM事先同意，供应商不得擅自变更、增加、删除零部件及其包装上的标识WithoutpriorwrittenconsentofSGM,thershallnotmodify,increase,ordeletetheLogostothePartsanditspackaging,orotherwisechangethebrandinglocation.SGM后，才能进行批量生产。 SGM事先同意，不得将ThershalluseSGMLogosinaccordancewiththerequirementsofSGM.WithoutpriorwrittenconsentofSGM,thershallnotuseSGMLogosforanyotherpurposesorpermitanythirdpartytouseSGMLogosforanyotherpurposes.SGMSGMThershallcomplywithalltechnicalspecifications,indications,directionsandspecificationsofusingSGMLogosissuedbySGMorGM,inordertosafeguardandmaintaintheintegralityofSGMLogos.⑶供应商承诺不使用与SGM标识近似而可能引起公众或误导公众的其它标识，并TherundertakestoSGMthatitwillnotuseanysimilarLogoswhichwillconfuseandmisleadthepublic,andwillregisterorattempttoregisterneithertheLogosaforesaid,northeirtranslitionorinterpretationformofthoseLogos.⑷供应商与SGM采购合同终止后，供应商应当在有SGM代表或委托监督的情况下,将标有SGM标识的零配件及包装装潢销毁或者根据SGM的要求将上述零配件或包装、装潢给SGM或者SGM指定的第。
