WorkContentandRequirements1. 工作有关内容和相关要求1.1 InaccordancewiththeitemsstipulatedinthisContract,PartyBshallconducttheprojectaspertheProjectstandardandqualitystandardstipulatedbyMinistryofEngineeringoftheUnionofxx.1.1 依据本合约所限定的条款，合约乙方单位应以xx工程部规定的建筑标准和质量相关要求执行本工程。2. ContractPeriod2. 合约期限2.1 WorkperiodfortheRoadConstructionProject:theworkshallbecompletedwithin2monthuponsigningtheContract.TheconditionofhandoveristhattheProjectInspection&AcceptanceTeamconstitutedbyPartyA,shallissuetheInspection&AcceptanceSheetafteronsiteinspection.2.1 本次工程时间周期：合约签订后14个工作日内完成，并以合约甲方单位组成的竣工质量验收小组现场检验并出具质量验收单为竣工交接条件。2.2ThiscontractshallbeimplementedafterthisisdulysignedbythelegalrepresentativesorauthorizedrepresentativesofthePartiesandstampedwiththesealsoftheParties,andclosedaftertheonsiteacceptanceoftheProjectandContractpayment.2.2本合约自双方法定代表人或授权代表人签字或盖章或盖章或签字或盖章盖章或签字或盖章或签字或盖章或盖章或签字或盖章后合约生效，现场质量验收合格和款项支付完毕后关闭。3. Health,SafetyandEnvironmentPrinciples(HSE)3. 健康和安全和环境原则(HSE)3.1 ThestafffromPartyBshallfollowthearrangementofLocalgovernmentandPartyA(oritsrepresentatives),andcomplywiththelawsandregulationsofMyanmaraswellasrulesandregulationsonHealth,SafetyandEnvironment(HSE)ofPartyA.3.1 合约乙方单位工作有关员工必须听从地方政府和合约甲方单位有关员工（或代表）的安排，遵守缅甸法律和法规和合约甲方单位的安全环境健康规章规章制度规章等。3.2 BeforeorduringtheimplementationofthisProject,PartyBshallacknowledge,avoidandpreventthepossibledamageoftheProjecttothesurroundingenvironmentandotheraffiliatedfacilities,andtheresultinglossesshallbebornebyPartyB.3.2 在工程实施之前或进行当中，合约乙方单位应识别工程可能对周边环境及原有设施造成的危害，应进行规避和防护，对由此带来的损失，应由合约乙方单位承担。3.3 DuringtheperformanceofthisContract,PartyBshallbearthepersonalandpropertylossesofPartyBorPartyB’spersonnelinjurybyitself,ifthelossesarenotcausedbyPartyA.3.3 在合约履行过程中，若发生非合约甲方单位原因导致的合约乙方单位或合约乙方单位有关员工人身或财产损失的，由合约乙方单位自行承担。4. Alterations5. 变更事宜5.1 PartyAshallhavetherighttorequireincreasingtheworkscope(hereinafterreferredtoas“Alterations”)onthebasisofthisContract.5.1 合约甲方单位有权在此合约的基础上，相关要求增加工作范围(以下称之为“变更”)。5.2 Alltherequirementsonalterationshallbeinthewrittenform,clearlydefiningnecessaryalterations.PartyBshallsubmitcorrespondingworkplan,workinghoursandcostestimatesaccordingtothealterationsproposedbyPartyAwithin3workingdaysfortheapprovalofPartyA.5.2 所有的变更相关要求均应以书面的方法方式，清楚地指明所需的变更有关内容，合约乙方单位应在三个工作日内对合约甲方单位提出的变更，提交给相应的工作计划和工时和费用估算，供合约甲方单位审批。6. TerminationofContract6. 合约终止6.1 IftheterminationofthisContractiscausedbyPartyA,PartyAshallpayreasonablefeestoPartyBfortheWork(includingpreparatorywork)completedbythedateofterminationofthisContract.Otherwise,iftheterminationofthisContractiscausedbythebreachofPartyB,PartyAshallnotpayfortheexpensesgenerated.6.1 在因合约甲方单位终止合约的情况下，合约甲方单位应支付合约乙方单位截止合约终止日时已完成的工作（含准备工作）及为此项工作已发生的合理费用。若因合约乙方单位违约导致合约终止的，合约甲方单位对已经发生的费用不予支付。7. Responsibilities&Duties7. 责任与义务7.1 PartyAandPartyBshallguaranteeeachotherthatonepartyshallprovidesupporttoandprotecttheotherpartyfromanyloss,claim,orresponsibilitycausedbyorrelatedtothisContractunderthefollowingconditions:7.1 合约甲方单位和合约乙方单位均应相互保证，保护和支持对方在发生以下情况时不受由于本合约或与之相关而产生的任何形式的损失，索赔或责任：a) Injuriesanddeathsofanyemployee,representativeorsubcontractor’spersonnel;a) 任何职员，代表或分包方有关员工的伤亡，b) Propertylossofstaff,representativesorsubcontractor’spersonnel;b) 职员，代表或分包方有关员工的财产损失，c) Expenses,losses,ordamagesindirectlyordirectlycausedbysignificant,specialoraccidentalevent,nomatterhowitoccursandwhichformittakes;c) 由于重大，特殊或意外(直接或间接)造成的费用，损失或损坏，不论其如何发生的，不论是何种形式。7.2 Eachpartyshallberesponsibleforthelossofanythirdpartycausedbyitsownintentionorfaults,andundertakerelatedindemnificationobligations.7.2 双方应对由于各自故意或过失而造成的任何第三方的损失负责任并承担相关赔偿义务。7.3 IfeitherpartyofthisContracthasrealizedanypossibleaccidentduringtheperformanceoftheContractthatcannotbeexecutive,theotherpartyshallbenotifiedimmediately.7.3 如果合约双方任意一方在合约履行过程已意识到任何有可能出现意外而导致合约无法执行的情况时，应立即通知另一方。7.4PartyBshallprocuretheinsurancesandbearthepremiumsinaccordancewiththeprovisionsrelatingtoinsuranceasspecifiedinthelawsoftheUnionofMyanmar.PartyBshallensurethattheaforesaidinsurancesremaineffectiveduringtheperiodofvalidityofthisContract.AlltheexpensesarisingfromtheaforesaidinsurancesshallbeincludedintheservicefeesunderthisContractandshallbebornebyPartyB.7.4合约乙方单位应根据缅甸联邦的相关保险法规的规定办理各项保险并承担各项保险费用。合约乙方单位应确保上述保险在本合约有效期间内持续有效。办理上述保险所发生的所有费用应包含在本合约项下的总费中，由合约乙方单位自行承担。8. ForceMajeure8. 不可抗力8.1 ForceMajeurereferstotheeventsthatcannotbepredictedbyeitherpartyoftheContractandtheiroccurrenceandconsequencescannotbeavoided,includingbutnotlimitedtowars,unrests,firesandnaturaldisasterssuchaswind,rainandearthquakeetc.8.1 不可抗力是指合约的任何一方不能预见，对其发生和后果不能避免.并无法控制的事件，包括但不限于战争和动乱和火灾以及风和雨和地震等自然灾害。8.2 AnypartyshalltimelynotifytheotherpartywhenitisunabletoperformtheContractduetoForceMajeure.Aftergainingthecertificateofrelatedauthority,theperformanceoftheContractcouldbedelayedorsuspendedtemporarily.Eachpartyshallnotifytheotherpartyofactualconditions,andcontinueto10performtheContractaftertheendordisappearanceofForceMajeure.BothPartiescanbeexemptedfromsomepartsoralloftheliabilitiesforbreachoftheContractaccordingtotheactualconditions.Necessaryremedialmeasuresshallbeadoptedtoreducethelosstotheminimum.8.2 任何一方由于不可抗力不能履行合约时，应当及时向对方通报。在取得有关机关证明以后，允许延期履行或者暂时不履行合约。各方应把实际情况通知对方,并在不可抗力停止或消失后继续履行合约。双方根据情况可部分或者全部免予承担违约责任。采取必要的补救措施将损失降到最低程度。9. ApplicableLaws&DisputeResolution9. 适用法律及争议解决方法方式9.1 ThelawsofMyanmarshallapplytothesigning,performanceandexplanationofthisContract.9.1 本合约的签订和履行及解释均适用缅甸联邦法律。10.
