/供货保障协议SupplyGuaranteeAgreement一、背景Background在本协议中，乙方为供应商，甲方为采购商，双方为保证供货和订货的及时交付沟通并达成协议，确保双方的长期合作。Inthisagreement,PartyBreferstothesupplierandPartyAreferstothepurchaser.Bothpartiesguaranteethetimelydeliveryofgoodsandthecommunicationoforderstoensurelong-termcooperation.二、供应保障SupplyGuarantee供应商应在协定的时间内按照协议供货，并保证所供货物和/或服务符合相关合同规范和标准。Thesuppliershallsupplygoodsand/orservicesaccordingtotheagreedtimeandensurethatthegoods/servicesmeettherelevantcontractspecificationsandstandards.在供应商已确认订单的情况下，甲方不得在未经甲方同意的情况下延长下订单但甲方需承担相关的违约责任。Uponconfirmationoftheorderbythesupplier,thepurchasershallnotextendtheorderwithoutthesupplier’sconsent.However,thepurchasershallbeartherelevantbreachofcontractresponsibilities.若由于供应商的原因，未能按照协议供货，需提前通知甲方，并商定补救措施，如甲方已付款，供应商需要在3个工作日内退款。Ifthesupplierfailstodelivergoods/servicesaccordingtotheagreementduetotheirownreasons,theyshallinformthepurchaserinadvanceanddiscussremedialmeasures.Ifthepurchaserhasalreadymadepayment,thesupplierneedstomakearefundwithin3workingdays.供应商应尽可能满足甲方对于商品或服务的特殊需求，但需保证符合合同规定，并且不应增加甲方的经济负担。Thesuppliershalltrytheirbesttomeetthepurchaser’sspecialneedsforgoods/services,whileensuringcompliancewiththecontractprovisionsandnotincreasingthepurchaser’seconomicburden.三、品质保障QualityGuarantee供应商应确保所提供的货物和/或服务的品质符合合同规定，不得使用不良质量的材料或不合格的工艺加工生产，保证产品质量。Thesuppliershallensurethatthequalityofgoods/servicesprovidedmeetsthecontractprovisionsandshallnotusematerialsofpoorqualityorunqualifiedprocessesinproductionprocesses,ensuringproductquality.供应商应对次品进行标记或分类处理，在不影响甲方生产或销售的情况下，妥善处理次品。Thesuppliershalllabelorclassifydefectiveproductsforproperhandling.Thesuppliershallhandledefectivegoodsproperlywithoutaffectingthepurchaser’sproductionorsales.如甲方因供应商提供的质量问题出现售后问题，供应商需及时协调处理并解决。Ifthepurchaserencountersafter-salesproblemsduetoqualityissuesprovidedbythesupplier,thesuppliershallcoordinateandresolvetheissuepromptly.四、保密规定ConfidentialityProvisions供应商需严守甲方的商业秘密，并且未经甲方同意，不得向第三方透露甲方的任何信息。其中商业秘密包括但不限于甲方客户名单、订单、产品价格等。Thesuppliershallstrictlykeepthepurchaser’sbusinesssecretsandshallnotdiscloseanyinformationaboutthepurchasertothirdpartieswithoutthepurchaser’sconsent.Businesssecretsincludebutarenotlimitedtothepurchaser’scustomerlist,orders,productprices,etc.五、争议解决DisputeResolution本协议的问题解决和争议解决应由双方协商解决。如无法协商解决，任何一方均有权向所在地人民法院提起诉讼。Theresolutionofissuesanddisputesarisingfromthisagreementshouldberesolvedthroughconsultationbetweenbothparties.Ifconsultationcannotresolvethedispute,eitherpartyhastherighttofilealawsuitwiththepeople’scourtwheretheagreementwasmade.六、协议有效性AgreementValidity本协议在供应商、甲方签字确认后生效，并在双方合作期间持续有效。本协议一经签署，即确认双方已充分了解并同意协议中的所有条款及条件。Thisagreementcomesintoeffectafterthesignedconfirmationbythesupplierandpurchaserandremainseffectiveduringthecooperation
