英文合同的适用法律与管辖权条款管辖法律/适用法律GOVERNINGLAWANDJURISDICTION：适用法律ApplicableLaw；GoverningLaw除非另有约定，本合同受国际商会发布的《2000年国际贸易术语解释通则》和《联合国国际货物销售合同公约》（1980）的约束。Unlessotherwisestipulatedinthiscontract,thetermsandconditionsofthiscontractshallbeinterpretedinaccordancewiththeInternationalRulesfortheInterpretationofTradeTerms(INCONTERMS2000providedbyInternationalChamberofCommerceandTheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(1980).TheAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheHongKongSpecialAdministrativeRegionofthePeople’sRepublicofChina,withoutregardtotheconflictsoflawprinciplesthereof.本协议受中华人民共和国香港特别行政区法律（冲突法规则除外）管辖并依该法解释。本协议的订立、效力、解释和争议的解决均受中华人民共和国法律管辖。Theformation,validity,interpretationandsettlementofdisputesinrespectofthisagreementshallbegovernedbytherelevantlawsofthePeople’sRepublicofChina.本合同的订立、效力、解释、履行、修改和终止以及争议的解决均适用中国法律。Theexecution,effectiveness,construction,performance,amendmentandterminationhereofandtheresolutionofdisputesshallbegovernedbythelawsofChina.本合同应按照中华人民共和国的法律进行解释。TheContractshallbeinterpretedinaccordancewithcurrentlawsofthePeople’sRepublicofChina.TheContractshallbegovernedbythelawofthecountry(orotherjurisdiction)statedintheParticularConditions.合同应受专用条件中所述国家（或其他司法管辖区）的法律管辖.Theexclusivelegalvenueforanydisputesarisingfromorinconnectionwiththecontract,includingitsconclusionandvalidity,shallbesettledbyamicablenegotiation.Incasenosettlementisreached,thedisputesshallbesubmittedtothepeople’scourtofSupplier’sdomicileforjudgement.与合同相关或因合同引起的一切争议，包括因其签署和效力所引起的争议，均应友好协商解决。如协商不成，应将争议提交到卖方所在地人民法院审理。ThecontractualrelationshipbetweenSupplierandPurchasershallbegovernedexclusivelybyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChinatotheexclusionoftheprinciplesofconflictoflawsandtheUNConventiononContractsfortheInternationalSaleofGoods(CISG).供货方与采购方的合同关系应受中华人民共和国法律排他性地管辖及解释，并排除冲突法原则及《联合国国际货物销售合同公约（“CISG”）》的适用。ThecontractualrelationshipsshallbegovernedexclusivelybythepublishedlawsandregulationsofthePRC.IfthePRClawsandregulationsdonotaddressaparticularmatterrelatingtotheContract,referenceshallbemadetogeneralinternationalcommercialpracticerecognizedinthePRC.本合同关系受中华人民共和国已公布的法律、法规排他性管辖。如果中国法律法规未对与本合同关系有关的某一特定事项作出规定，则应参照在中国被认可的一般国际商业惯例。ThisAgreementisgovernedby,andmaybeenforcedinaccordancewiththelawsofHongKong.本合约受香港法律管辖，并且可以根据香港法律执行。ThisAgreementshallbegovernedbytheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG).本协议应遵守联合国关于国际货物销售的公约（简称销售公约）。ThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofSwitzerland.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoodssignedinViennain1980shallnotapply.本合同应受瑞士法律管辖，并据其予以解释。1980年在维也纳签署的《联合国国际货物销售合同公约》不适用。本合同订立、效力、解释、履行及争议的解决，适用中华人民共和国法律。Theformation,validity,interpretation,performanceofsettlementofdisputesshallbegovernedbythelawsofPeople'sRepublicofChina.Thevalidity,interpretationandimplementationofthisContractshallbegovernedbythelawsof[thePeople’sRepublicofChina][anotherjurisdiction](withoutregardtoitsrulesgoverningconflictoflaws).本合同的效力、解释以及执行适用[中华人民共和国法律][另一司法区域的法律]（但不适用有关法律冲突的规则）AllactivitiesofABCCo.shallbegovernedbythelaws,decreesandpertinentrulesandregulationsofChina.ABC公司的一切活动必须受中国的法律、法令和有关规章条例的管辖。ThisAgreementshallbegovernedbyandconstruedinaccordancewiththesubstantivelawsofEngland,regardlessoftheconflictoflawsthereof.本协议受英格兰实体法管辖并据其解释，冲突法除外。ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofAmericaandshallbesubjecttothenonexclusivejurisdictionofthecourtsin.本合同将由美国法律来管辖并解释，并从属于法院之非独家司法管辖。TradeTerms贸易术语ThetradetermsunderthisAgreementandanyIndividualContract,unlessthecontextrequiresotherwise,shallbegovernedbyandinterpretedundertheprovisionsoftheInternationalRulesfortheInterpretationofTradeTerms(INCOTERMS)anditsSupplementsprevailingattheshipmentdateofthesubjectProducts.除非有另外的上下文，本合同及任何单独合同中含有的贸易术语将按照“国际商会国际贸易术语解释通则”(INCOTERMS)管辖及解释，包括装船当日通行的附录在内。Thisdocumentshallbegoverned&construedinaccordancewithcurrentEnglishorI.C.C400/500/600signedbetweenpartnersNCNDlaws.此协议受现有英国法律或各方签署的国际商会ICC.400/500/600NCND（机密性和工作协议）管辖，并按其解释。Thesigningpartiesherebyacceptsuchselectedjurisdictionastheexclusivevenue.立约双方兹同意上述选定的法院为专属管辖法院除非另有约定，此合同受国际商会发布的《2000年国际贸易术语解释通则》的约束。Unlessotherwisestipulatedinthiscontract,thetermsandconditionsofthiscontractshallbeinterpretedinaccordancewiththe“InternationalRulesfortheInterpretationofTradeTerms(INCOTERMS2000)”providedbyInternationalChamberofCommerce.本合同之签署,合同的有效性,合同释义,合同履行,修订,终止以及合同仲裁均按照中华人民共和国的法律规管.Thesigning,validity,interpretation,execution,amendments,terminationandarbitrationtothiscontractshallbegovernedbythelawsofthepeople'srepublicofchina.本合同的法律含义、效力、履行等均受中华人民共和国法律管辖。Theconstruction,validityandperformanceofthisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.Thesigning,validity,explanationandimplementationofthiscontractshouldabidebythelawsofthePeople’sRepublicofChina.此合同的签署，有效期，解释和执行均应遵守中华人民共和国的法律。Lawandjurisdiction法律适应和管辖ThisContractshallbegovernedbyandinterpretedinaccordancewithEnglishLawandthepartiessubmittothejurisdictionoftheEnglishcourts.本合同的适用法律为英国法，双方应提交英国法院管辖。合营企业合同的订立、效力、解释、履行及其争议的解决，适用中华人民共和国法律。Theconclusion，validity，interpretation，andperformanceofthecontractofajointventureandsettlementofdisputesinconnectiontherewithshallbegovernedbythelawsofthePeople‘sRepublicofChina.国家依法保护合作企业和中外合作者的合法权益。合作企业必须遵守中国的法律、法规不得损害中国的社会公共利益。国家有关机关依法对合作企业实行监督。TheStatewillprotectthelegitimaterightsandinterestsofthecooperativejointventureandtheChineseandforeignpartiesitaccordingtolaw.CooperativejointventuresmustabidebyChineselawsandregulations，andmustnotjeopardizethepublicinterestsofChina.TheStateauthoritiesconcernedshallexercisesupervisionovercooperativejointventuresaccordingtolaw.本合同的订立、生效、解释、履行及与本合同有关的争议解决，均受中国法律管辖。Theconclusion，effectiveness，interpretationandperformanceofthiscontractandthesettlementofdisputesinconnectionwiththiscontractshallbegovernedbythelawsofChina。本合同使用的FOB、CFR、CIF术语系根据国际商会《2000年国际贸易术语解释通则》。ThetermsFOB、CFR、CIFintheContractarebasedonINCOTERMS2000oftheInternationalChamberofCommerce.本合同按《联合国国际货物销售合同公约》（CISG）1980版和《国际贸易术语解释通则》（INCOTERMS2000）2000年版本进行解释，如二者出现不一致的情况，应遵循后者优先的原则。Thiscontractshallbeexplainedandconstruedaccordingtotheprovisionsof“TheUNconventiononContractsfortheInternationalSaleofGoods”(CISG)version1980and“InternationalRulesfortheInterpretationofTradeTerms”version2000(INCOTERMS2000).Shouldthereareanyconflicts,INCOTERMS2000shallbepreferable.ThesetermsandconditionsshallbeconstruedandsettledexclusivelyinaccordancewiththePRC’snationalandapplicablelocallaws,regulations,governmentalandothergoverningrules(“LawsandRegulations”),withoutregardtoitsconflictsoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(“UNCISG”)doesnotapplytotransactionssubjecttothesetermsandconditions.本条款仅依据中华人民共和国现行的法律、法规和政府规定（下称“法律法规”）进行解释和确定，其冲突法规则除外。《联合国国际货物销售合同公约》（下称“联合国公约”）不适用于本条款项下的交易。EXW、CIF和CIP等价格术语，应根据巴黎国际商会现行最新版本的《国际贸易术语解释通则》（Incoterms）的规定来解释。ThetermsEXW,CIF,CIP,etc.,shallbegovernedbytherulesprescribedinthecurrenteditionofIncotermspublishedbytheInternationalChamberofCommerce,Paris.本合同的签订、效力、解释和履行以及与本合同有关的争议解决应适用中国法律。如某一特定问题并无适用的、已公布的中国法律，则应适用一般国际商业惯例。Theconclusion,validity,interpretationandperformanceof,andthesettlementofdisputesinconnectionwith,thisContractshallallbegovernedbythelawsofthePRC.GeneralinternationalcommercialpracticesshallbeapplicabletoaspecificissueinthecasewherethereisnopublishedPRClawthatisapplicabletoit.除非双方另行约定，否则，卡迈锡和供应商之间的业务关系应仅适用中华人民共和国法律（为履行本协议起见，这种关系不包括香港特别行政区、澳门特别行政区和台湾），不适用《联合国国际货物销售合同公
