CONVENANT(hereinafterreferredtoas“PartyB”),alimitedliabilitydulyincorporatedandexistingunderthelawsofMalaysia,withitsregisteredaddressat[].Eachreferredtoasa“Party”andcollectivelyasOnanequalandvoluntarybasisandthroughamicablenegotiationsbetweenbothParties,withrespecttotheprovisionofservicesprovidedbyCOVENANTtoYTOregardingMalaysiaimportcustomsclearance,ITISHEREBYAGREEDasfollows:Scopeof1.1COVENANTshallprovideYTOwithservicesinrespectofMalaysiaimportcustomsclearanceinrespectoftheshipmentsimportedtoMalaysia(“Shipments”)andchargeYTOservicefeesinaccordancewiththeagreedrates/feeschedule(“ServiceFees”).COVENANT根据本协议的约定向圆通公司提供快件：进口清关服COVENANTshallprovidetheShipmentcustomsclearanceserviceinMalaysia(hereinafterreferredtoasthe“CustomsClearanceArea”).PartyBwarrantsthatthetimeittakestofinishthecustomsclearanceofeachShipmentis[]businessdays,whichshallbecalculatedfromthedayPartyBreceivestheShipment(thedayofreceiptoftheShipmentisincluded)tothedaytheShipmentisclearedandrelatedprocedurecompleted.PartyA’sRightsand甲方须遵守清关区域所在国家或地区的相关法律不得寄递任何易燃、易爆有害及清关区域所在国家或地区的法律寄递的快件。PartyAshallcomplywiththerelevantlawsandregulationsofthecountryordistrictoftheCustomsClearanceAreaandshallnotsmuggleanyShipmentwhichisflble,explosive,toxic,hazardousorwhichisprohibitedbythelawsandregulationsofthecountryordistrictoftheCustomsClearanceArea.PartyAundertakesthattheShipmentsdeliveredbyPartyAtoPartyBareproperlymarkedandaddressedandpackedtoensuresafetransportationandwarehousing.PartyAshallprovideclear,complete,andcorrectinformationindicatedonthewaybill,includingtheinformationconcerningtheShipment’scontent,name,value,ty,weight,volume,transportationrequirements,theconsignee’saddress,name,name,contactandetc.PartyB’sRightsand（附件1）的约定向甲方收取服务费，并向甲方开具形式PartyAshallpayPartyBtheServiceFeefortheprovisionofMalaysiaimportcustomsclearanceserviceunderthisAgreementinaccordancewiththeServiceFeeSchedule(Annex1)andPartyBshallissueproformastoPartyA.ITPartyBshallaccepttheShipmentsfromthedesignatedbyPartyAandscantheShipmentsandsendtheelectronicdatatoPartyA’sITsystem.TheriskoflossordamageoftheShipmentsshallbetransferredtoPartyBfromthetimePartyBacceptstheShipmentsandfinishesthehandoverscanning.作，乙方应以形式提前10个工作日通知甲方。PartyBshallgivePartyAa10businessdays’priorwrittennoticeifitwouldsuspenditscustomsclearanceserviceduringpublicholidaysintheCustomsClearanceArea.乙方应配备与甲方的圆通IT系统相互兼容和协调的IT系统，并及时传输有PartyBshallbeequippedwithITsystemwhichiscompatibleandintegratedwithYTOITSystem.PartyBshalltransmittoPartyAallthenecessaryinformationregardingthestatusofcustomsclearance.Thetimeperiod,fileformatsstructureofthedatatransmissionsshallbesubjecttotherequirementsofPartyPartyBundertakesthatthetimeandoperationinformationinitsITsystem,includingbutnotlimitedtoinformationregardingon-sitehandover,clearanceanddeparturearetrueandeffective.Inaddition,PartyBshallinformPartyAthestatusofcustomsclearanceinatimelymannertofacilitatePartyA’sinquiryandsettlementofaccounts.PartyBshallprovidetoPartyAwiththeaccesstoinquiryonthestatusofcustomsclearanceofShipments,andshallpromptlyinformPartyAonanyemergenciesandabnormalsituationsduringclearanceandnegotiatewithPartyAonsolution.乙方应将配送公司签收的底（至少保【一年自签收之日起算PartyBshallkeeptheoriginalcopyofthehandoverproofsignedbytheship(ifany)foratleast[oneyear],whichshallbecalculatedfromthedaythehandoverproofissignedbytheresponsibleshipHandlingofAbnormal乙方应将签收结果传输至甲方IT系统。IntheeventthattheShipmentsarereceivedbyShipandareconfirmedingoodpackingcondition,PartyBshalltransmittheacceptancedatatoPartyA’sITsystem.当日甲方工作时间内通知甲方，与甲方工作人员协调沟通处理方式。同时，COVENANT应继续联系配送公司以完货。如无法完货，乙方需对1.1Incaseofanyabnormalclearanceandhandovercircumstances(including,withoutlimitation,failuretocontacttheShip,incorrector informationonthewaybill,ship’srefusaltoaccepttheShipments,etc),PartyBshallinformPartyAoftheabnormalcircumstanceonthesamedayandnegotiatewithPartyA’sstaffonsolution.Meanwhile,PartyBshallcontinuetocontacttheShipandtrytohandoveragain.COVENANTshallkeeptheShipmentsforaperiodoffifteen(15)daysfor,duringwhichCOVENANTshalldealwiththeShipmentasperYTO’sinstruction.Uponexpiryoffifteen(15)days,COVENANTmayatdiscretiontodisposesuchShipments.IT系统，甲方有权要求乙方在PartyBshalltransmittheinformationregardinganyabnormalShipmentsinBtoprovidethedetailsofsuchabnormalShipmentsinaspecifictimeperiod.IfPartyBfailstodoso,itshallcompensatetoPartyAforanylossarisingfromIntheeventthattheship pleteinformationoftheShipmentsprovidedbyPartyBshallbesolvedbyPartyBandPartyBshallcompensatePartyAforalllossarisingfromthereby.IntheeventthatPartyBintendstoprovideuntrueinformationtoPartyA,PartyAisentitledtoterminatethisAgreementandPartyBshallbeliableforPartyA’sloss.PartyAisentitledtodeductanycompensationamountpayablebyPartyBfromtheServiceFeepayablebyPartyAuponmutualagreement.Termand年月日。1年，依此类推。ThisAgreementshall
