SALESAGENCYAGREEMENT
ThisSalesAgencyAgreement(the“Agreement”)isbetweenAlphatecSpine,Inc.,aCaliforniacorporation(the“Company”)andSSFusionMedical,Inc.(EmployerIdentificationNumber#[***])(hereinafterreferredtoas“SalesAgent”)ismadeasofJanuary
2,2008(the“EffectiveDate”).
WHEREASSalesAgenthasestablishedandmaintainedabusinessofficestaffedwithprofessionalsalespersonnelintheTerritory(ashereinafterdefined);and
WHEREAStheCompanywishestoretainSalesAgenttosellitsProducts(ashereinafterdefined)andSalesAgentwishestoactastheCompany’sexclusiveSalesAgentwithintheTerritory.
NOWTHEREFORE,inconsiderationofthemutualcovenantsandprovisionshereincontained,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisacknowledgedbythepartiesheretothepartiesagreeasfollows:
1.
APPOINTMENTOFSALESAGENT
SubjecttotheprovisionsoftheAgreement,theCompanyherebyappointsSalesAgentandSalesAgentherebyacceptsappointmentastheSalesAgentfortheproductsdescribedinExhibitA(hereinafterthe“Products”)withexclusiveresponsibilityforthegeographicalareaslistedonExhibitB(hereinafterthe“Territory”).SalesAgentshallhavetherighttosolicitordersforProductsonlyfrompersonsandentitieshavingtheirplacesofbusinesswithintheTerritorythatagreetousetheProductssoorderedwithintheTerritory.SalesagentshallbetheexclusiveagentfortheCompanyforsaleofProductsintheTerritoryforthetermofthisAgreement.Exceptasspecificallyprovidedhereintothecontrary,anysaleofProductsintheTerritoryshallbecreditedassalesmadebySalesAgentandSalesAgentshallbeentitledtothecommissionprovidedherein.
2.
SALESAGENT’SOBLIGATIONS
Inadditiontoanyandallcovenants,dutiesandobligationsofSalesAgentsetforthelsewhereinthisAgreement,SalesAgentagrees:
2.1.TouseitsbesteffortstopromotethesaleoftheProductsthroughouttheTerritory;
2.2.TouseitsbesteffortstomeetthesalesquotassetforthonExhibitD;
2.3.Tobearallcostsandliabilitiesrelatingtotheconductofitsbusiness,includingbutnotlimitedtothecostandexpenseofprovidingandmaintainingitsplaceofbusiness,thewagesofitsemployees,thepaymentofcommissionsorothercompensationtoitsagentsorindependentcontractors,anditsexpensesincurredfororinconnectionwithitsperformanceunderorbreachofthisAgreement;
2.4.TorefrainfrommakinganyrepresentationsorwarrantiesinrespectoftheProducts,except:(i)
thoserepresentationsandwarrantiesauthorizedinwritingbytheCompany,intheformofbrochures,memorandums,pressreleases,advertisements,specificationsheets,orcorrespondences,and(ii)
verbaltechnicalassistancethatSalesAgentreceivedfromtheCompanywhichwassubsequentlyconfirmedinwritingbySalesAgent;

2.5.TopromotetheProductsinstrictadherenceto(i)
regulatoryandprofessionalrequirements,andallapplicablelaws,rules,guidelinesandregulationsincluding,butnotlimitedto,theFederalFood,DrugandCosmeticActof1938,asamended,andtheregulationspromulgatedthereunder(the“Act”);and(ii)
thoseportionsoftheCompany’sCodeofConductthataddressinteractionswithhealthcareprofessionals(availableathttp://atec.client./documentdisplay.cfm?DocumentID=900)(the“CodeofConduct”),andtomakesuchcertificationsinwritingthatmaybereasonablyrequestedbytheCompanyasevidenceofsuchcompliance;
2.6.ThatithasreadandunderstandstheCodeofConduct;andthatitacknowledgesthatanyviolationoftheCodeofConductbyitoranyofitsofficers,employeesoragentsshallconstituteamaterialbreachofthisAgreement;
2.7.TorenderreasonableassistancetotheCompany,attheCompany’srequest,inthedefenseofanyandallLiabilities(asdefinedbelow);
2.8.TorefrainfromdisparagingtheCompanyanditssubsidiariesoritsProducts,orfromotherwiseinjuringthereputationandgoodstandingoftheCompanyanditssubsidiaries;
2.9.Tonot,directlyorindirectly,solicitanysaleoftheProductsorestablishanybranchordistributiondepotforthesaleoftheProductsoutsidetheTerritorywithoutthepriorwrittenapprovaloftheCompany;
2.10.TakefullresponsibilityfortheactionsofanySalesAgentIndemnitee(asdefinedbelow);
2.11.ToassisttheCompany,onrequest,inascertainingthecreditstandingofandincollectingreceivablesfromanycustomer;
2.12.Toattend,atitsownexpense,allsalesmeetings,trainingsessions,seminars,tradeshowsandthelikeforwhichtheCompanyreasonablyrequestsattendancebySalesAgent;
2.13.ToimmediatelynotifytheCompanypriortoanyphysician,hospitaloranyotherhealthcaresupplierorproviderwhoisinapositiontoreferorrecommendpatientstotheCompany(a“HealthCareProvider”)acquiringanequityinterestintheSalesAgent,anduponsuchinstancetoprovideinwritingalisting,bypercentageofequityinterestowned,ofallHealthCareProvidersthathaveanequityinterestintheSalesAgentatthetimeofeachdisclosure.AbreachofthisSection
2.13shallconstituteamaterialbreachofthisAgreement;
2.14.TodeliverallProductsusingdocumentedproceduresforhandling,storage,packing,preservation,anddeliveryofsuchProducts;

2.15.TopromptlynotifytheCompanyinwritingofthefollowing:(i)
anyseriousregulatoryactionrelatingtotheProducts;(ii)
anymaterialcomplaintsregardingtheProductsortherelatedinstrumentation;or(iii)
anyadverseincidentsthatmaybesubjecttoFDA’s(ashereinafterdefined)MedicalDeviceReportingregulation;and
2.16.TocomplywithrecallsorgeneralcorrectiveactionsinitiatedbytheCompany.
3.
ALPHATEC’SDUTIESANDOBLIGATIONS
InordertoassistSalesAgentinfosteringthepromotionandsaleoftheCompany’sProducts,theCompanyagrees:
3.1.ToreasonablyassistSalesAgentwith,andprovidetoSalesAgentreasonablequantitiesof,advertisingmaterial,salespromotionaids,displays,catalogues,literatureandconventionassistance;
3.2.ToprovideSalesAgentwithnewProductinformationandreasonablyassistSalesAgentinpromotionalactivities;
3.3.ToprovideSalesAgentwithreasonabletechnicalassistance,throughsalesseminars,meetingsandtrainingprograms;and
3.4.TousecommerciallyreasonableeffortstomakeProductsavailabletotheSalesAgenttobeusedbycustomers.
4.
QUOTATIONS,ORDERSANDPAYMENTBYCUSTOMERS
4.1.SalesAgentwillmakequotationsinrespecttothesalesoftheProductsonlyinaccordancewiththeCompany’sthencurrentpoliciesandproceduresandonpricesestablishedbytheCompanyandtheCompany’stermsandconditionsofsale,includingthetermsofpaymentspecifiedbytheCompany.TheSalesAgentwillassisttheCompanyinobtainingtheappropriatedocumentationneededforcustomers(creditreports,salestaxexemptions,etc.).
4.2.SalesordersgeneratedbySalesAgentwillbesubmitteddirectlytotheCompanybythecustomerandsuchsalesordersshallbepaidbyCompanyifSalesAgentmakesasaleandeveniftheCompanyunilaterallydecidestorejectthecustomer;providedthatiftherejectionofthecustomeroccursinaccordancewiththisAgreement,theCompanyshallnotbeobligatedtopaytheSalesAgentforsuchsale.IfSalesAgentreceivesanyorderforProducts,itwillpromptlyforwardittotheCompany.TheCompanywillestablishandpromulgatethecriteriaforsalesorderstobegeneratedbySalesAgentandSalesAgentwilluseitsbesteffortstosecuresalesordersthatmeettheCompany’scriteria.TheCompanywillhavetherightatanytimetorejectanyorderinwholeorinpartforgoodcause.Goodcauseshallincludethefollowing:(i)
thesalesorderfailstomeettheCompany’scriteria,(ii)
thecustomerfailstomeettheCompany’screditcriteria,(iii)
lackofProductavailabilityduetonofaultoftheCompany,or(iv)
poorpaymenthistorybythecustomer.IftheCompanyrejectsasalesordergeneratedbySalesAgentwithoutgoodcause,thenCompanyshallpaytoSalesAgentfullcommissiononsuchorder.IftheCompanyreasonablyrejectsanysalesordergeneratedbySalesAgent,thenSalesAgent

shallbenotifiedandgiventheopportunitytoinformitscustomerorpotentialcustomerofsaidrejectioninanattempttopreserveSalesAgent’sbusinessgoodwill.OnrequestoftheCompany,SalesAgentwillnotsupplyProducttocustomersplacedoncreditholduntilreleasedbytheCompany.
4.3.TheCompanywillbillthecustomerforthepurchasedProducts.SalesAgentwillnotbillcustomersfortheProductunlessexpresslyrequestedtodosobytheCompanyinwriting.PaymentsagainstpurchaseordersaretobemadedirectlytotheCompany,withoutinterventionbySalesAgentunlessexpresslyrequestedinwritingbytheCompanyineachinstance.IfSalesAgentreceivesanypaymentfromacustomer,thenSalesAgentwillimmediatelyforwardtheentireamountofsuchpaymenttotheCompany.
4.4.TheCompanywillhavetheright,initssolediscretion,toissuecredits,makediscountsandallowances,and/oracceptreturnsoftheProducts.SalesAgentinanefforttobecompetitivewiththeorthopedicmarketortodevelopnewcustomerswillhavetherighttorequesttheCompanytoissuecredits,makediscountsandallowancesand/oracceptreturnsoftheProducts.TheCompanyshalluseitssolediscretionindeterminingwhethertograntSalesAgent’srequest.IntheeventthattheCompanyissuecredits,makediscountsandallowancesand/oracceptreturnsoftheProducts,theCompanyshallbeentitledtounilaterallyreducethecommissionratepaidtotheSalesAgentwithrespecttoallsalesofProductsthataresubjecttoacredit,discount,allowanceorreturn.TheCompanyshallindicatesuchreductionincommissionratebysendingwrittenorelectronicnoticeofsuchreductiontotheSalesAgent.AllreductionsshallbeeffectiveasofthedatethatsuchnoticeofcommissionreductionwasdeliveredtotheSalesAgent.
5.
COMMISSIONS
5.1.ExceptassetforthinthisAgreement,duringthetermofthisAgreementtheCompanywillpaytoSalesAgentacommissionattheratespecifiedinExhibitContheCompany’sNetSales(asdefinedbelow)ofProductsintheTerritorythatweregeneratedbytheSalesAgentinaccordancewiththisAgreement.ForpurposesofthisAgreement,theterms“NetSales”shallmean,foranyperiod,thegrossamountproperlysetforthonapurchaseorderreceivedbytheCompanyfromthecustomerinconnectionwithsuchcustomer’spurchaseofProduct,lessdeductionsfor:(i)
normalandcustomaryquantityand/orcashdiscounts,including,withoutlimitation,thosegrantedonaccountofpriceadjustments,rebatesactuallyallowedandtaken,administrativeorotherfeesorreimbursementsorsimilarpaymentstobuyinggroups,pharmacybenefitmanagementorganizations,healthcareinsurancecarriersorotherinstitutions,feespaidtootherdistributorsandchargebacks;(ii)
customsorexcisedutiesorotherdutiesdirectlyimposedandrelatedtothesalesmakingupthegrosspurchaseorderamount;(iii)
anyrebatesorsimilarpaymentsmadewithrespecttosalespaidforbyanygovernmentalorregulatoryauthoritysuchas,bywayofillustrationandnotinlimitationoftheparties’rightshereunder,FederalorstateMedicaid,Medicareorsimilarstateprogramorequivalentforeigngovernmentalprogram;(iv)
salesandothertaxesanddutiesdirectlyrelatedtothesaleofProducts,totheextentthatsuchitemsareincludedinthegrosspurchaseorderprice(butnotincludingtaxesassessedagainsttheincomederivedfromsuchsale);and(v)
anysuchamountsincludedinthepurchaseorderthatarenotcollectedbytheCompanywhichareover90dayspastdueandarerecordedonthebooksoftheCompanyasbaddebtinaccordancewithgenerallyacceptedaccountingprinciples;provided,iftheamountduefromsuchpurchaseorderissubsequentlypaid,

thenSalesAgentshallbepaidcommissionontheamountultimatelyreceivedbytheCompany(lessanyexpensesincurredbytheCompanyincollectingsuchamount).Forpurposesofdeterminingcommissions,theProductshallbedeemedtobesoldwhenaproperlyexecutedpurchaseorderisreceivedbytheCompanyfromthecustomerinconnectionwithsuchsale,anda“sale”shallnotincludetransfersordispositionsforcharitable,promotional,pre-clinical,clinical,regulatory,orgovernmentalpurposes.
5.2.AllcommissionamountspayabletotheSalesAgentshallbesubjecttotheCompany’sthen-currentDistributionShippingPolicy,whichpolicyshallsetforththatcertainshippingchargesthatarenotpaidbycustomershallreducethecommissionspaidtotheSalesAgent.
5.3.IfnewproductlinesareaddedtotheProductlistthecommissionraterelatedtosuchnewProductshallbesetforthonExhibitCattachedhereto.ThepartiesagreeandacknowledgethattheCompanyshallhavesoledecision-makingauthorityinconnectionwithestablishingcommissionratesforproductlinesaddedtotheProductlistaftertheEffectiveDate.
5.4.TheSalesAgentagreestopromptlysubmitaninvoicetotheCompanyinconnectionwitheachsaleandthatallsuchinvoicesforpaymentshallincludealistingofalllotnumbersoftheProductsthatweresoldinconnectionwithsuchinvoice.
5.5.CommissionswillbereleasedtotheSalesAgentonthetwenty-fifth(25th)
dayafterthecloseofthemonthinwhichtheapplicablesalesaremade,orintheeventthatsuchdayisnotabusinessday,onthenextbusinessday.Anycommissionspaidonoutstandingaccountsreceivableatthecloseofthemonththatexceedthepaymenttermsofnetninety(90)
dayswillbedeductedfromtheSalesAgent’soutstandingcommissionorinvoicedtoSalesAgentpursuanttoSection
5.7.Uponcollectionofpastdueaccountscommissionswillbere-postedtotheSalesAgent.
5.6.TheCompanywillkeepandmaintainaccurate,completeandcurrentbooksandrecordsrelatingtocommissionsearnedbySalesAgent.UponpaymentofcommissiontoSalesAgentbytheCompany,theCompanyshallprovideSalesAgentwithadetailedbreakdownofthecustomersalesusedtocalculatethecommissionaswellasanycredit,discount,allowanceorset-offtakenbytheCompanyorappliedagainstSalesAgentcommission.AnydiscrepanciesmustbereportedtotheCompanywithinthirty(30)
daysofthereceiptofthedetailedstatement.Oncepercalendaryear,uponwrittenrequestfromSalesAgent,theCompanywillpermitanindependentcertifiedpublicaccountantdesignatedbyandattheexpenseofSalesAgenttoaudittheCompany’sbooksandrecordspertainingtocommissionsearnedbySalesAgent,suchaudittobeconductedontheCompany’spremisesduringnormalbusinesshours.
5.7.IntheeventthattheCompanyhaspreviouslypaidSalesAgentcommissionsonsalestoacustomerwhoseaccountissubsequentlyentitledtoacredit,forreturnsorotherwise,andsufficientcommissionisnotavailabletodeductthecreditwithintheperiod,theCompanywillsubmitaninvoiceandawrittenexplanationcontainingthereasonswhytheCompanyisentitledtoreimbursementbySalesAgentofanyportionorallofthecommissionpreviouslypaidtoSalesAgent.SalesAgentagreestopayallproperlyinvoicedamountswithinthirty(30)
daysofreceiptofsaidinvoice.

5.8.TheCompanywillhavenoliabilitywhatsoevertoSalesAgentforcommissionpaymentsfortheCompany’srejectionofallorpartofanyorder.
6.
SALESOBJECTIVE
6.1.TheCompanyandSalesAgentwillmutuallyestablishsalesobjectivesforProductstobesoldbytheSalesAgentwithintheTerritoryasmeasuredindollarvolume.SuchsalesquotasshallbesetforthonExhibitDattachedhereto.
6.2.TheCompanyandSalesAgentmayaddnewproductlinestotheProductlist.IfnewproductlinesareaddedtotheProductlisttheCompanyandSalesAgentshallestablishanadditionalquotaforsuchnewProductandsuchquotashallbesetforthonExhibitD.
7.
CONSIGNEDINVENTORYANDSAMPLES;LOANERINVENTORY
7.1.FromtimetotimetheCompanyshalldelivertoSalesAgentsuchitemsassamples,models,literature,promotionalmaterials(the“Samples”)foruseinpromotingandsellingtheProducts.ExceptforitemsactuallypurchasedbySalesAgentordeliveredbySalesAgentasunrestrictedno-chargesamplesaccordingtotheCompany’sspecificinstructions,theCompanywillretainallright,titleandinterestinandtotheSamplesandSalesAgentwillholdtheminafiduciarycapacityandonlyusesuchSamplesaspermittedinthisAgreement.UpontheterminationorexpirationofthisAgreementorupontherequestoftheCompany,theSalesAgentshallreturnallSamplestotheCompany.IfanySamplesarelost,missing,stolen,orcannotberepaired,thentheCompanyshallinvoiceSalesAgentfor[***]withrespecttosuchSample,andtheSalesAgentagreestopaysuchamount.
7.2.SalesAgentwillprepareandmaintainaccurate,completeandcurrentbooksandrecordspertainingtotheSamplesthatareownedbytheCompany,includingbutnotlimitedtotypeandquantityofeachitemanddispositionthereof.
7.3.TheCompanyshallestablishforSalesAgentaProductsinventoryaccount.ExceptfortheProductsactuallypurchasedbySalesAgent,theCompanywillretainallright,titleandinterestinandtosuchProductsandrelatedinstrumentation(the“ConsignedInventory”).SalesAgentwillholdsaidProductsandrelatedinstrumentationinafiduciarycapacityunderaseparateaccounttitled“ConsignedInventory”.
7.4.TheCompanymayrequestaphysicalinventoryofitspropertyheldasConsignedInventorybySalesAgent.TheCompany,atitsexpense,mayreviewbooksandrecordsofSalesAgentastheyrelatetoConsignedInventoryaswellastophysicallyaudittheConsignedInventory,andSalesAgentagreestocooperatewithsuchreview.
7.5.ThelevelofConsignedInventoryforSalesAgentshallbeestablisheduponmutualagreementbetweentheCompanyandSalesAgent.
7.6.TheleveloftotalConsignedInventoryforSalesAgentwillbereviewedeachquarter.ExcepttotheextentthatsuchConsignedInventoryhasbeenconsignedtoahospitalinaccordance

withSection
7.7,ifanyConsignedInventoryisreturneddamaged,thentheCompany,totheextentpossible,willrepairorrefurbishtheConsignedInventoryandinvoiceSalesAgentforthecostofsaidrepairsandhandling.ExcepttotheextentthatsuchConsignedInventoryhasbeenconsignedtoahospitalinaccordancewithSection
7.7,ifanyConsignedInventoryislost,missing,stolen,orcannotberepaired,thentheCompanyshallinvoiceSalesAgentfor[***]ofsuchConsignedInventory,lesstheamountofanycommissionsthatwouldbepaidfortheNetSaleofsuchproduct.
7.7.SalesAgentwillprepareandmaintaincompleteandaccuratebooksandrecordspertainingtoallConsignedInventory,includingbutnotlimitedtothetypeandquantityofeachProductaswellasthedispositionthereof.SalesAgentwillpromptlysupplytheCompanywithacopyofeachagreement,theformofwhichisattachedheretoasExhibitE,whereConsignmentInventoryisheldbyahospitalorothermutuallyacceptablethirdpartyfollowingtheCompany’srequestforsuchdocumentation.
7.8.UpontheterminationorexpirationofthisAgreement,orupontherequestoftheCompany,theSalesAgentshallimmediately,andatitsownexpense,returnallConsignmentInventoryinitspossessionorcontroltotheCompany.
7.9.AllInventorynotdeemedbytheCompanyinitssolediscretiontobeConsignedInventoryshallbedeemedtobeloanerinventoryandshallbesubjecttotheCompany’sthen-currentLoanerInventoryPolicy.
8.
SALESACTIVITYBYALPHATEC
8.1.TheCompanyreservestheright,atanytimeandfromtimetotime,throughoutthetermofthisAgreement,touseitsemployeestoengageinselling,promotingand/orotherrelatedactivitiesconcerningtheProductsintheTerritoryintheeventthattheCompanyreasonablydeterminesthattheSalesAgentisnotactivelypursuingsalesactivitiesintheTerritory(notwithstandingthefactthatSalesAgentmaybeachievingitssalesquotas).AnysuchsalesbytheCompany’semployeeswillnotbecreditedtoSalesAgent’saccountforpurposesofdeterminingtheachievementofsalesquotasandcalculatingcommissions.PriortothecommencementofanysalesactivityrelatedtoProductsintheTerritorybytheCompany’semployees,theCompanyshallnotifytheSalesAgentofitsintentiontobeginsuchactivitiesandallow[***]fortheSalesAgenttobeginsalesactivities.IftheSalesAgentbeginssalesactivitiesfollowingreceiptofsuchnoticetheCompanyshallnotbeentitledtocommenceanysalesactivitiesrelatedtotheProductsintheregionthatwasthesubjectofsuchnotice.
8.2.TheCompanyreservestherighttoselltheProductswithintheTerritorytoanypersonorentityofferingtopurchaseandreselltheProductsasprivatelabelproductssolongassuchpersonorentityisnotatsuchtimeacompanyorpersontowhomSalesAgentisactuallysellingtheProducts.Intheeventthatprivatelabelingoccurs,ifany,withintheTerritory,theCompanymay,butisnotobligatedto,modifySalesAgent’ssalesquotastoreflectthecompetitiveimpactofprivatelabeling.
8.3.TheCompanyalsoreservestherighttoselltheProductswithintheTerritorytoanyCompany-designatednational,regional,orgovernmentpersonorentity,andSalesAgentshallservicesuchaccountwithintheTerritoryinreturnfortheapplicablecommissionsetforthinExhibitC.IfSalesAgentdeclinestoserviceanysuchaccount,theCompanyshallservicesuchaccountitselfandatitsownexpense,andSalesAgentshallreceivenocommissionwithrespecttosuchaccountandsuchsalesshallnotbecreditedtotheSalesAgentforpurposesofdeterminingtheachievementofsalesquotas.

8.4.Thepartiesagreeandacknowledgethatundercertaincircumstances,theCompanymayfinditnecessarytoestablishcertaincustomersashouseaccounts.JustificationfordesignationofacustomerasahouseaccountshallsolelyconsistofawrittennoticefromacustomerorHealthcareProviderthatindicatesanunwillingnesstousetheservicesoftheSalesAgent.TheCompanyreservestherighttoservicesuchhouseaccountsastheCompanyseesfitinconnectionwiththesaleoftheProducts,andinsuchinstancesnocommissionshallbepaidonsalestohouseaccountsandsuchsalesshallnotbecreditedtotheSalesAgentforpurposesofdeterminingtheachievementofsalesquotas.TheCompanyshallpaySalesAgentsuchcommissionsasareagreeduponbetweentheCompanyandtheSalesAgentfortheservices,ifany,renderedbySalesAgentattherequestoftheCompanyinconnectionwithsalesoftheProductstosuchhouseaccountsthataredeliveredwithintheTerritory.
9.
RELATIONSHIPOFPARTIES
SalesAgentisanindependentcontractorhavingonlysuchauthoritytoactfortheCompanyasisexpresslysetforthinthisAgreement.SalesAgentisnotauthorizedtoenterintoanycommitmentorcontractofanykindonbehalfoftheCompany.TheCompanywillnotincuranyliabilitywhatsoevertoanythirdpartybyreasonofSalesAgenthavingexceededitsauthorityundertheappointmentgrantedbytheCompanyhereinorbyreasonofanymisrepresentationbySalesAgentofitsrelationshiptotheCompanyoroftheCompany’sproducts,warranties,policies,practicesorprocedures.NothingcontainedinthisAgreementisintendedtobeconstruedascreatingorimplyingarelationshipofprincipalandagentoremployerandemployeebetweentheCompanyandSalesAgentorbetweentheCompanyandSalesAgent’semployeesoragents,orajointventureorpartnershipbetweentheCompanyandSalesAgent.
10.
COMPLIANCEWITHLAWSANDREGULATIONS;NOCONFLICTS;DUEAUTHORIZATION
10.1NothinginthisAgreementshallrequireeitherpartytotakeanyactionwhichwouldviolateanygovernmentalregulationorlawtowhicheitherofthemissubject.SalesAgentshall,atitssolecostandexpense,obtainintheTerritorysuchgovernmentalapprovals,licensesorpermitsasmaybenecessarytoeffectuatethepurposesofthisAgreement,andshallcomplywithallfederal,stateandlocallaws,regulationsandrulingsofgovernmentalbodieshavingjurisdictionoverSalesAgent’sbusiness,inrespectofthesaleoftheProducts,including,withoutlimitation,theAct.
10.2TheSalesAgentcertifiesthatduringthetermofthisAgreementthat(i)
neitheritnoranySalesAgentIndemniteesnoranyimmediatememberofanySalesAgentIndemniteeshallhaveanyfinancialrelationshipwithanyHealthcareProviderinanybusinessorventurerelatedtotheprovisionofhealthcareproductsorservices.Forpurposeofthiscertification,“financialrelationship”includes,butisnotlimitedto,anycashorotherbenefitgrantedtoanyHealthCareProviderincluding,butnotlimitedto,anownershipinterestintheSalesAgent,giftsthatarenotincompliancewiththeCodeofConduct,fee-sharing,loansoradvancesofanykind.

10.3TheSalesAgentherebyrepresentsandwarrantstotheCompanythatneithertheexecutionofthisAgreementbytheSalesAgentnortheperformanceofthisAgreementbytheSalesAgentoranySalesAgentIndemnitee(asdefinedbelow)will(i)
violateanyorder,judgmentorinjunctionapplicabletotheSalesAgentoranySalesAgentIndemnitee,or(ii)
conflictwithorbreachanyagreementtowhichtheSalesAgentoranySalesAgentIndemniteeareapartyorbywhichtheSalesAgentoranySalesAgentIndemniteearebound.
10.4Eachpartyrepresentsandwarrantstotheotherparty:(i)
thatsuchpartyisdulyorganizedandvalidlyexistingunderthelawsofthestateofitsorganizationandhasfullcorporatepowerandauthoritytoenterintothisAgreementandtocarryouttheprovisionshereof;(ii)
suchpartyisdulyauthorizedtoexecuteanddeliverthisAgreementandtoperformitsobliga
