PartyBshallprovidetheserviceindiligenceandmeetthemainrequirementsetinArt.1;

PartyBshallcompletetheconsultingserviceintheperiodunderthisagreement.

Disclaimers

PartyBisnotresponsibleforanyinterruptionofServiceduetoproblemsoccurredontheInternetplatformoranyotherreasonsthatcannotbecontrolledbyPartyA;

PartyBwillnotberesponsiblefortheinterruptionofServiceowingtoordersofgovernmentauthoritiesorjudicialbodies;

PartyAagreestocompensatePartyBanylossattributabletothefaultofthePartyA;

TwopartiesagreethatallclaimsshallbelimitedtodirectdamagesduetothebreachofthisAgreement.Innoeventshalleitherpartybeliabletotheotherforanypenalty,consequential,indirect,specialorincidentaldamagesincluding,butnotlimitedto,lossofprofitorlossoftechnologyoroperationrightsorlossofbusinessrights.

Breachofcontract

IntheeventthateitherPartybreachesanyprovisionoftheContractthatresultsintheotherpartyincurringeconomiclosses,thepartyinbreachshallbeliabletocompensatetheotherpartyforthecorrespondingeconomiclosses.

JurisdictionandLawsuit

ThisContractisconstructedandtobeexecutedandinterpretedbythelawsofthePeople’sRepublicof【China/Italy】.

Anycontroversyorclaimarisinghereunderthatcannotberesolvedbythepartiesthemselves,shallbesettledbythecourtinshanghaithathavethejurisdictionofthedisputes;

ForceMajeure

Theeffectedpartyshallnotifytheotherpartyofthecasesofforcemajeureoccurredbytelexorcableassoonaspossibleandshallsendbyregisteredairmail,within20daysthereafter,acertificateissuedbytheauthoritiesordepartmentsconcernedtotheotherpartyforconfirmation.

Shouldtheeffectoftheforcemajeurecaseslastformorethan100days,bothpartiesshallsettletheproblemoffurtherexecutionoftheContractthroughfriendlyconsultationsassoonaspossible.

Confidentiality

Exceptasexpresslysetforthherein,thepartiesshallmaintaininconfidencetheConfidentialInformationoftheotherside.ThepartiesshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherside.

BothpartiesshallabidebythetermsofConfidentialityinthisContractandhaveobligationtomaintaintheConfidentialInformationaftertheterminationoftheAgreement.TheobligationshallendonlyupontheconsentoftheothersideoronlyifthedisclosureoftheConfidentialInformationwillnotcauseanylossoftheotherside.

EffectivenessoftheContract

ThisContractcommencesonthedatewhenPartiesreceivesthecontractdulysignedandaffixedwiththecompany’schop.

Miscellaneous

Thisagreementisinduplicate,eachpartyholdonecopyandeachcopyhasthesamelegalvalidity.
