THTCLAUSESOFBILLOFLADINGOFCHINAOCEANSHIPINGGROUPFRONTPAGECLAUSEShippedonboardthevesselnamedaboveinapparentgoodorderandcondition(unlessotherwiseindicated)thegoodsorpackagesspecifiedhereinandtobedischargedattheabovementionedportofdischargeorasneartheretoasthevesselmaysafelygetandbealwaysafloat.theweight,measure,marks,numbers,quality,contentsandyalue,beingparticularsfurnishedbytheShipper,arenotcheckedbytheCarrieronloading.Theshipper,ConsigneeandtheHolderofthisBillofLadingherebyexpresslyacceptandagreetoallprinted,writtenorstampedprovisions,exceptionsandconditionsofthisBillofLading,includingthoseonthebackhereof.
Inwitnesswhereof,theCarrierorhisAgentshassignedBillsofLadingallofthistenoranddate,oneofwhichbeingaccomplished,theotherstostandvoid.
ShippersarerequestedtonoteparticularlytheexceptionsandconditionsofthisBillofLadingwithreferencetothevalidityoftheinsuranceupontheirgoods.提单条款(正面)上列外表状况良好的货物(另有说明者除外)已装在上列船上并应在上列卸货港或该船动所能安全到达并保持浮泊的附近地点卸货。重量、尺码、标志、号数、品质、内容和价值是托运人所提供的,承运人在装船时并未核对。托运人、收货人和本提单的持有人兹明白表示接受并同意本提单和它背面所载的一切印刷、书写或打印的规定、免费事项和条件。

DEFINITIONS
"Carrier"meansCOSCOcontainerlinescompanylimited.定义
“承运人”(CARRIER)是指“中远集运”,即中远集装箱运输有限公司。"Merchant"includestheconsignor,theshipper,thereceiver,theconsignee,theowneroftheGoods,thelawfulholderorendorseeofthisBillofLading,oranyotherperson
havinganypresentorfutureinterestintheGoodsorthisBillofLading,oranyone

CARRIER\'STARIFF承运人的运价本ThetermsoftheCarrier\'sapplicableTariffandotherrequirementsregardingchargesareincorporatedintothisBillofLading.Particularattentionisdrawntothetermscontainedtherein,including,butnotlimitedto,freestoragetime,Containerandvehicledemurrage,etc.CopiesoftherelevantprovisionsoftheapplicableTariffareobtainablefromtheCarrierorhisagentsuponrequest.IncaseofanyinconsistencybetweenthisBillofLadingandtheapplicableTariff,thisBillofLadingshallprevail.承运人所使用的运价本中的条款以及有关费收的其他要求等项,已被载入本提单。请特别注意运价本中所载各项条款,包括但不限于免费堆存期、集装箱及车辆滞留期等。使用的运价本的有关条款,可向承运人或其代理人索取。如本提单与所用运价本之间有不一致之处,应以本提单为准。3.
SUB-CONTRACTING,INDEMNITYANDCERTAINDEFENSES,EXEMPTIONSANDLIMITATIONS分立契约、赔偿以及抗辩、免除事项及责任限制
(1)
TheCarriershallhavetherightatanytimeandonanytermswhatsoeverto
sub-contractthewholeoranypartofthecarriagewithanySub-contractorand/ortosubstituteanyothervesselormeansoftransportfortheVessel.(1)承运人有权在任何时间以任何条件将运输的全部或其任何部分同任何分立契约人订立分立契约,并(或)有权以任何其他船舶或运输工具代替本船。4.
CARRIER\'SRESPONSIBILITY
承运人的责任
(1)
PorttoPortShipmentIfboxes6,7and8butnotboxes4,5and9arefilledinonthefrontofthisBillofLading,thisBillofLadingisaPort-to-Portcontract.TheCarriershallberesponsiblefortheGoodsasCarrierfromthetimewhentheGoodsarereceivedbytheCarrieratthePortofLoadinguntilthetimeofdeliverythereofattheportofdischargetotheMerchantortotheAuthorityasrequiredbylocallawsorregulations,whicheveroccursearlier.(1)港到港运输
如果填注本提单正面第6、7、8栏,而不填注第4、5、9栏,本提单便是港到港契约。承运人应自其在装货港收到货物之时起即作为承运人而对货物负责,直至在卸货港将货物交与货方或按当地法律或规章要求交与有关当局之时为止,二者之中以先发生者为准。(2)
CombinedTransportIfBox4,Box5and/orBox9arefilledinonthefrontofthisBillofLadingandtheplace(s)orport(s)indicatedthereinis/areplace(s)orport(s)otherthanthatindicatedinBox7andBox8andFreightispaidforcombinedtransport,thisBillofLadingisacombinedtransportcontract.TheCarrierundertakestoarrangeorprocurethepre-carriageand/oron-carriagesegmentsofthecombinedtransport.AllclaimsarisingfromthecombinedtransportcarriagemustbefiledwiththeCarrierwithin9monthsafterthedeliveryoftheGoodsorthedatewhentheGoodsshouldhavebeendelivered,failingwhichtheCarriershallbedischargedfromallliabilitieswhatsoeverinrespectoftheGoods.IfanypaymentismadebytheCarriertotheMerchantinrespectofanyclaimarisingfromthecombinedtransportcarriage,theCarriershallbeautomaticallysubrogatedtoorgivenallrightsoftheMerchantagainstallothersincludingpre-carrieroron-carrierorSub-contractoronaccountofsuchlossordamage.NothinghereincontainedshallbedeemedawaiverofanyrightsthattheCarriermayhaveagainstapre-carrieroron-carrierorSub-contractorforindemnityorotherwise.(2)联合运输
如果填注本提单正面的第4、第5及(或)第9栏,而且该栏中所述地点或港口乃是除第7栏及第8栏所列者以外的地点或港口,并已就联合运输支付运费,本提单便是联合运输提单。承运人负责安排或组织落实联合运输中的前一程运输以及(或)续程运输。所有由于联合运输而引起的索赔必须在交付货物之日或应当交付货物之日之后九个月内向承运人提出,否则承运人便应被解除其关于货物的任何责任。如果承运人已就因联合运输而引起的任何索赔向货方支付任何款项,承运人便应自然而然地以代位关系而取得或被赋予货方针对所有其他人包括前一程承运人或续程承运人或分立契约人就此项灭失或损害而享有的权利。5.
NOTICEOFCLAIMANDTIMEBAR
索赔通知及时效
(1)
UnlessnoticeoflossordamageisgiveninwritingtotheCarrier\'sagentatthePortofDischargeorPlaceofDeliverybeforeoronthedateofdeliveryoftheGoods,oriflossordamageisnotapparent,within15consecutivedaysthereafter,suchdeliveryshallbeprimafacieevidenceofthedeliveryoftheGoodsbytheCarrierand/oron-carrierintheorderandconditiondescribedinthisBillofLading.(1)除非已在卸货港或交货地点于交货之日以前或交货之日向承运人的代理人提出关于灭失或损害的书面通知,或在灭失或损害不明显时,在交货之日以后15个连续日之内提出上述书面通知,此项交付便应是承运人及(或)续程承运人按本提单所述状况及条件交付货物的初步证据。6.
LOSSORDAMAGE
灭失或损害(1)
ThetermsofthisBillofLadingshallatalltimesgovernallresponsibilitiesoftheCarrierinconnectionwithorarisingoutofthecarriageoftheGoodsnotonlyduringthecarriage,butalsoduringtheperiodpriortoand/orsubsequenttothecarriage.Theexemptionsfromliability,defensesandlimitationofliabilityprovidedforhereinorotherwiseshallapplyinanyactionagainsttheCarrierforlossordamageordelay,howsoeveroccurringandwhethertheactionbefoundedincontractorintortandeveniftheloss,damageordelayaroseasaresultofunseaworthiness,negligenceorfundamentalbreachofcontract.Saveasisotherwiseprovidedherein,theCarriershallinnocircumstanceswhatsoeverandhowsoeverarisingbeliablefordirectorindirectorconsequentiallossordamageorlossofprofits.(1)本提单的条款应在所有时间都对承运人就其因运输货物而产生的责任加以管辖,不仅在运输期间,而且在运输之前及运输之后,都是如此。本提单所载或其他关于免除责任、抗辩及责任限制等项,都应在就灭失、损害或延误事件而向承运人提起的任何诉讼中适用,而且不论该项诉讼是基于合同纠纷或侵权行为而提起,即使此项灭失、损害或延误乃是由于不适航、疏忽或根本违约而产生亦然。除本提单中另有规定外,承运人不论在任何情况下亦不论其产生原因为何,对因延误造成的直接、间接或随之发生的灭失或损害或利润损失,概不承担责任。Saveprep.除了=except。本句=savetheitem(clause)whichisotherwiseprovidedinthisB/L(2)TheCarrierdoesnotundertakethat
theGoodswillbetransportedfromorloadedattheplaceofreceiptorloadingorwillarriveattheplaceofdischarge,destinationortransshipmentaboardanyparticularvesselorotherconveyanceatanyparticulardateortime
ortomeetanyparticularmarketorintimeforanyparticularuse.ScheduledoradvertiseddepartureandarrivaltimesareonlyexpectedtimesandmaybeadvancedordelayediftheCarriershallfinditnecessary,prudentorconvenient.TheCarriershallinnocircumstanceswhatsoeverandhowsoeverarisingbeliablefordirect,indirectorconsequentiallossordamagecausedbydelay.(与海商法相悖)(2)承运人不保证,货物在某一特定日期或时间,也不保证为满足某一特定市场,或为某一特定用途而自接货或装运地点起运(或装货),(或)准时运抵卸货地点、目的地或转运到某一特定船舶或其他运输工具上。船期表上或广告上的离港及抵港时间只是预计时间,如果承运人认为必要,为慎重或便利起见,可将该时间提前或拖后。承运人在任何情况下,不论是如何发生,对因延误造成的直接、间接或随之发生的灭失或损害概不负责。(3)
Ifthestageofthecombinedtransportduringwhichlossordamageoccurredcanbedetermined,theliabilityoftheCarriershallbegovernedbythenationallaw(s)and/orinternationalconvention(s)applicablethereto.Ifthestageofthecombinedtransportduringwhichlossordamageoccurredcannotbedetermined,theMerchantandtheCarrieragreethatitshallbedeemedthatthelossordamageoccurredaboardtheCarrier\'sVessel.Ineithercase,clauses5(2)and7shallapply.(3)如果能对联合运输过程中发生灭失或损害所属阶段加以判明,承运人的责任便应适用该阶段的国内法或国际公约。如果在联合运输过程中发生灭失或损害的阶段无法判明,则货方与承运人商定,应将此项灭失或损害视为发生在承运人的船上。无论属于上述何种情况,均应适用第5条(2)款及第7条中的规定。(2)
WherecarriageincludescarriagetoorfromorthroughaportorplaceintheUnitedStatesofAmerica,thisBillofLadingshallbesubjecttotheprovisionsoftheUnitedStatesCarriageofGoodsbySeaAct,1936(USCOGSA)andanyamendmentsthereto,asprovidedforinClause26(2)hereof.Insuchevent,neithertheCarriersnoritsservants,agents,Sub-contractorsand/ortheVesselshallinanyeventbeliableforanylossofordamagetotheGoodsinanamountexceedingthelimitsperpackageorunitprescribedbyUSCOGSA,unlessthenatureandvalueoftheGoodshavebeendeclaredbytheMerchantbeforeshipmentandinsertedinthisBillofLading(Box10)andtheMerchanthaspaidadditionalFreightonsuchdeclaredvalue.(2)如有关运输包括驶往、来自或经过美利坚合众国某一港口或地点的运输,本提单便应受其第26(2)款中所述1936年美国海上货物运输法(USCOGSA)及其修订条款的约束。无论是承运人、其受雇人、代理人、分立契约人及(或)船舶,在任何情况下,对超出美国海上货物运输法中规定的每件或每单位赔偿限度的任何数额,都不负责,除非货方已在装运前将货物性质及价值加以申报并已载入本提单(第10栏),而且货方已就此项申报价值加付运费。(3)
IfalegalregimeotherthantheMaritimeCodeofthePeople\'sRepublicofChinaorUSCOGSAiscompulsorilyappliedtothisBillofLading,theliabilityoftheCarrier,ifany,shallnotexceedthelimitsperPackageorShippingUnitprescribedtherein,unlessthenatureandvalueoftheGoodshavebeendeclaredbytheMerchantandinsertedinthisBillofLading(Box10)andtheMerchanthaspaidadditionalFreightonsuchdeclaredvalue.(3)如已将除中华人民共和国海商法及美国海上货物运输法以外的法律强制适用于本提单,承运人的责任便不得超出该法规定的每件或每单位的赔偿限额,除非该货物的性质及价值已由货方加以申报并已载入提单(第10栏),而且货方已就此项申报价值加付运费。legalregime法律制度(4)ForthepurposeofthisClause7,thedeclaredvalueshallbethebasisforcalculatingtheCarrier\'sliability,ifany,providedthatsuchdeclaredvalueshallnotbeconclusiveontheCarrier,andfurtherprovidedthatsuchdeclaredvaluedoesnotexceedthetruevalueoftheGoodsatdestination.Anypartiallossordamageshallbeadjustedpro-rataonthebasisofsuchdeclaredvalue.(4)就本条款而言,申报价值应为计算承运人责任的基础,但此项申报价值就承运人而言并非终结性的,而且此项申报价值不得超过该货在目的地的实际价值。所有部分灭失或损害均应以此项申报价值为基础按比例进行调整。9.
CARRIER\'SCONTAINERS
承运人集装箱(1)
GoodsreceivedinbreakbulkwillbestuffedbytheCarrierinContainersandtheCarriershallhavetherighttocarryanyContainers,whetherornotstuffedbytheCarrier,ondeckorbelowdeck.AllsuchGoodsshallparticipateinGeneralAverage.(1)以件货形式所收到的货物应由承运人装入集装箱;承运人有权将不论是否为承运人装箱的任何集装箱装于舱面或舱内。所有这些货物均应分摊共同海损。breakbulk是物流之中的专有名词。是零担的一种;它是相对于FCL和LCL而言的,fcl是指整柜,lcl是比整柜少点,拼箱,那么breakbulk则是更少的货物。假如非要用一种量来形容的话,fcl就是火车中的软卧,lcl就是火车上的硬卧,那么breakbulk就是火车上的硬座。break-bulk有“杂货”的意思,也可作动词当“卸货”讲,在报关单的“标记唛码(MARKSANDNUMBERS)”栏会出现breakbulk的字样。(2)
IfCarrier\'sContainersandequipmentareusedbytheMerchantforpre-carriageoron-carriageorunpackedattheMerchant\'spremises,theMerchantisresponsibleforreturningtheemptyContainers,withinteriorsbrushed,cleanandfreeofsmelltothepointorplacedesignatedbytheCarrier,itsservantsoragents,withinthetimeprescribedintheTariffand/orrequiredbytheCarrier.ShouldaContainernotbereturnedwithintheaforesaidtime,theMerchantshallbeliableforanydetention,demurrage,lossorexpenseswhichmayarisefromsuchnon-return.(2)如果承运人的集装箱及设备被货方用于前程运输或续程运输,或在货方营业处所开箱,则货方应在运价本规定的时间内并/或按承运人要求,将空箱归还至承运人、其受雇人或代理人指定的地点,并应将空箱内部洗刷清洁、不留异味。如有集装箱未在上述时间内归还,货方应就未还空箱而引起的延误、滞期、损失或费用承担责任。Premises生产场所;经营地址(a)

theunsuitabilityordefectiveconditionoftheContainer,providedthat,iftheContainerhadbeensuppliedbyoronbehalfoftheCarrier,thisunsuitabilityordefectiveconditioncouldhavebeenapparentuponinspectionbytheMerchantatorpriortothetimewhentheContainerwasfilled,packed,loadedorstuffed.(a)集装箱的装载或填装的方式,或者(b)货物不适于以集装箱运输,或者(c)集装箱的不适当性或条件欠佳,而如集装箱系由承运人或承运人的代表提供,则此项不适当性及欠佳条件在装箱之时或之前经货方检验便应明显易见。(但书)(2)
IfaMerchant-stuffedContainerisdeliveredbytheCarrierwithitssealintact,suchdeliveryshallconstitutefullandcompleteperformanceoftheCarrier\'sobligationshereunderandtheCarriershallnotbeliableforanylossorshortageoftheGoodsascertainedatdelivery.(2)如果由货方提供的集装箱在承运人交付时铅封完好,此项交付便应构成承运人在本提单项下的责任已完全并充分履行,因而承运人对交付货物时查出的任何灭失或短少概不负责。Intactadj.完整的;原封不动的;未受损伤的(3)
TheMerchantshallinspectContainersbeforestuffingthemandtheuseofaContainershallbeprimafacieevidenceofitsbeingsuitableandwithoutdefect.(3)货方应在装箱之前对集装箱进行检验,而对集装箱的使用乃是对其适用性及无有瑕疵的初步证据。11.
MERCHANT\‘SDESCRIPTION
货方的描述(1)
TheMerchant\'sdescriptionoftheGoodsstuffedinasealedContainerbytheMerchant,oronhisbehalf,shallnotbebindingontheCarrier,andthedescriptiondeclaredbytheMerchantonthefrontofthisBillofLadingisinformationprovidedbytheMerchantsolelyforitsownuseincludingbutnotlimitedtotheuseofitsfreightforwarder.ItisunderstoodbytheMerchantthattheCarrierhasnotverifiedthecontents,weightormeasurementofasealedcontainer,andtheCarriermakesnorepresentationastothecontentsofasealedContainer,van,crateorboxhereunder,noritsweightormeasurement,northevalue,quantity,quality,description,condition,marksornumberofthecontentsthereof.TheCarriershallbeundernoresponsibilitywhatsoeverinrespectofsuchdescriptionorparticulars.(1)货方对其所装或货方代表所装的已铅封集装箱中的货物的描述,对承运人不具有约束力,而且货方在本提单正面所申报的情况,是由货方全然为其本身包括但不限于其货运代理使用的目的而提供的资料。货方认识到,承运人未对铅封集装箱的内装货物、重量或尺码进行核对,因而承运人不提供关于已铅封集装箱、货车、条板箱或货箱的情况,亦不提供其重量或尺码,且不提供其内装货物的价值、数量、品质、货名、条件、唛头或号码。承运人关于上述描述或具体资料概不承担任何责任。(2)Ifanyparticularsofanyletterofcreditand/orimportlicenseand/orsalescontractand/orinvoiceorordernumberand/ordetailsofanycontracttowhichtheCarrierisnotapartyareshownonthefrontofthisBillofLading,suchparticularsareincludedsolelyattherequestoftheMerchantforitsconvenience.TheMerchantagreesthattheinclusionofsuchparticularsshallnotberegardedasadeclarationofvalueandshallinnowayaffecttheCarrier\'sliabilityunderthisBillofLading.TheMerchantacknowledgesthat,exceptasprovidedforinClause7hereof,thevalueoftheGoodsisunknowntotheCarrier.(2)如有信用证及(或)进口许可证及(或)销售合同、发票及(或)订单号码以及承运人不是其当事一方的任何合同的详细资料在提单正面载明,这种资料的出现乃是全然应货方要求为货方的方便而列出。货方同意,上述资料不得视为对价值的申报,因而对承运人在本提单项下的责任绝不发生影响。货方承认,除根据本提单第7款外,货物的价值不为承运人所知。12.
MERCHANT\‘SRESPONSIBILITY
货方责任(1)
Thepartiesdefinedas"Merchant"inclause1hereofshall,whereapplicable,bejointlyandseverallyliabletotheCarrierfortheduefulfillmentofallobligationsundertakenbyanyofthemunderthisBillofLading.(1)本提单第1款定义中作为货方列举的各方,应就其根据本提单所应承担的全部责任之认真履行而对承运人负连带责任。(2)
TheMerchantwarrantstotheCarrierthattheparticularsrelatingtotheGoodsassetforthonthefrontofthisBillofLadinghavebeencheckedbytheMerchantonreceiptofthisBillofLadingandthatsuchparticulars,andanyparticularsfurnishedbyoronbehalfoftheMerchant,areadequateandcorrect.TheMerchantalsowarrantsthattheGoodsarelawfulGoodsandarenotcontraband.(2)货方向承运人保证,在本提单正面填列的关于货物的资料,在收到本提单时已经核对,而且此项资料以及由货方或货方代表提供的任何资料均属恰当并正确。货方还保证,货物乃是合法货物而非禁运品。(3)
TheMerchantshallindemnifytheCarrieragainstallliabilities,costs,losses,damages,fines,penalties,expensesorothersanctionsofamonetarynaturearisingorresultingfromanybreachofthewarrantiesinClause12(2)hereoforfromanyothercauseinconnectionwiththeGoodsforwhichtheCarrierisnotresponsible.(3)货方应就因违反本提单第12(2)款或承运人对之不负责任的与货物有关的任何原因而引起或造成的一切责任、费用、灭失、损害、罚款、处罚、开支或其他属于钱财性质的制裁,给予承运人以赔偿。(4)
TheMerchantshallcomplywithallregulationsorrequirementsofcustoms,portandotherAuthorities,andshallbearandpayallduties,taxes,fines,imposts,expensesorlosses(includingthefullreturnFreightfortheGoodsifreturned,orifon-carried,thefullFreightfromthePortofDischargeorthePlaceofDeliverynominatedhereintotheamendedPortofDischargeortheamendedPlaceofDelivery)incurredand/orsustainedbyreasonofanyfailuretosocomply,orbyreasonofanyillegal,incorrectorinsufficientmarking,numbering,oraddressingoftheGoods,andshallindemnifytheCarrierinrespectthereof.(4)货方应遵守所有海关、港口及其他当局的规章或要求,并应承担并支付由于未能遵守此项规定或要求或由于不合法、不正确或不适当的货物唛头、编号或地址而发生或遭受的所有捐、税、罚款、输入税、费用或损失(包括退运货物的全部退运运费,或续运货物之自提单所载卸货港或交货地点运往改正后的卸港或改正后的交货地点的全额运费),并应就此而给予承运人赔偿。13.
FREIGHTANDCHARGES
运费及费用(1)
AllFreightshallbedeemedfully,finallyandunconditionallyearnedonreceiptoftheGoodsbytheCarrierandshallbepaidandnon-returnableinanyeventwhatsoever.(1)所有运费都应在承运人收到货物时即视为已经全额、最终并已无条件地赚得,并应在任何情况下均须支付,且不予退还。(2)
AllFreightandchargesshallbepaidwithoutanyset-off,counter-claim,deduction,orstayofexecutionbeforedeliveryoftheGoods.(2)所有运费及费用均应在交付货物前支付,而不得作任何冲抵、反索赔、扣减或延缓执行。(3)
TheMerchant\'sattentionisdrawntothestipulationsconcerningcurrencyinwhichtheFreightistobepaid,rateofexchange,devaluationandothercontingenciesconcerningtheFreightintheapplicableTarifforasagreedotherwise.(3)货方须注意所用运价本中或另行议定的关于用以支付运费的货币、兑换率、贬值率以及关于运费的其他临时性的规定。(4)
IftheMerchant\'sdescriptionoftheGoodsinthisBillofLadingorinanydocumentorcertificatefurnishedtotheCarrierbyoronbehalfoftheMerchantshallprovetohavebeeninaccurate,incorrectormisleadinginanyrespect,theMerchantshallpayfortheactualdamagesufferedbytheCarrier.(4)如果由货方或货方代表向承运人提供的货方在提单或任何文件或证件中对货物的描述被证明在任何方面不准确、不正确或引起误解,货方应就承运人因此而遭受的实际损失予以赔偿。(5)
PaymentofFreightandchargestoanyfreightforwarderorbroker,oranyoneotherthantheCarrieroritsauthorizedagent,shallnotbeconsideredpaymenttotheCarrierand
shallbemadeattheMerchant\'ssolerisk.(5)向货运代理人或经纪人或任何除了承运人或其授权代理人以外的人支付的运费及费用,不得被认为系向承运人支付,而应是在货方独自承担风险之下支付。(6)
ThepartiesdefinedasMerchantsinclause1hereofshall,whereapplicable,bejointlyandseverallyliabletotheCarrierforpaymentofallFreight,demurrage,GeneralAverageandcharges,including,butnotlimitedto,courtcosts,expensesandreasonableattorney\'sfeesincurredincollectingsumsduetheCarrier,failingwhichshallbeconsideredadefaultbytheMerchantinthepaymentofFreightandcharges.(6)本提单第1条定义中作为货方列举的各方,应就向承运人支付全部运费、滞期费、共同海损摊款及费用、诉讼费包括但不限于在催收积欠承运人的费用中发生的合理的律师费,而连带负责,否则应被视为货方在支付运费及费用中违约。14.
INSPECTIONOFTHEGOODS
检验货物TheCarrierand/oranypersontowhomtheCarrierhassub-contractedthecarriageoranypersonauthorizedbytheCarriershallbeentitled,butundernoobligation,toopenanyContainerorPackageatanytimeandtoinspecttheGoods.IfbyorderoftheAuthoritiesatanyplace,acontainermustbeopenedforinspection,theCarriershallnotbeliableforanylossordamageincurredasaresultofanyopening,unpacking,inspectionorrepacking.TheCarriershallbeentitledtorecoverthecostofsuchopening,unpacking,inspection,andrepackingfromtheMerchant.承运人及(或)承运人已就运输一事与其订立分立契约的人或由承运人授权的人,有权但无义务在任何时间开启任何集装箱并检验货物。如果根据任一地点的当局命令,须对某一集装箱或包装进行开启,加以检验,承运人对因如此开箱、开包、检验及重新打包而引起的灭失或损害概不负责。承运人有权自货主处收回此项开箱、开包、检验及重新打包费用。15.CARRIAGEAFFECTEDBYCONDITIONOFTHEGOODS
运输因货物条件受到影响IfitappearsatanytimethattheGoodscannotsafelyorproperlybecarriedorcarriedfurther,eitheratallorwithoutincurringanyadditionalexpenseortakinganymeasure(s)inrelationtotheGoodsortheContainer,theCarriermaywithoutnoticetotheMerchant(butasitsagentonly)takeanymeasure(s)and/orincuranyadditionalexpensetocarryortocontinuethecarriagethereof,and/ordisposeoftheGoods,and/orabandonthecarriageand/orstorethemashoreorafloat,undercoverorintheopen,atanyplace,whichevertheCarrierinhisabsolutediscretionconsidersmostappropriate,whichabandonment,storageordisposalthereofshallbedeemedtoconstituteduedeliveryunderthisBillofLading.TheMerchantshallindemnifytheCarrieragainstanyadditionalexpensesoincurred.如果不论何时发现,货物不能被安全而妥善地进行运输或继续运输,或承运人若不就货物或集装箱支付额外费用或采取措施,便无法将货物安全而妥善地进行运输或继续运输,则承运人可在其完全自行决定而认为最为妥善的条件之下,不对货方进行通知(但仅系作为其代理人除外)而采取任何措施并(或)支付额外费用,将货物进行运输或继续其运输,并(或)将货物加以处置,以及(或)放弃该项运输并(或)将货物在任何地点存放岸上或船上,加以遮蔽或置于露天之下。此项放弃、存放或放置货物应视为根据本提单所进行的交付货物。货方应赔偿承运人就此发生的任何额外费用。16.LIENS
