4.4

买方支付卖方的所有款项均以银行汇票或电汇方式汇至卖方指定在

银行所开之帐号，号码086861-10224020560。所有付款日期均以卖方收款之银行收款凭证日期为准。如买方逾期五天付款，须从第六天起按日支付该笔逾期款项0.1%的滞纳金。若买方之逾期付款超过应付款日三十天后，卖方有权单方面取消整个合同，并没收买方已支付之定金、预付款和其他款项作为赔偿。若该笔款项不足弥补卖方之损失，则买方还需就不足部分支付赔偿金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedaccountat

第五条

设计、制造进度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1

卖方收到定金后四周内，应向买方提供设计所需的反力图及地脚螺栓布置图。买方应尽快将以上资料提交负责设计地基和基础的设计院。有关设计院的所有费用（包括图签费用）均由买方承担。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.

5.2

收到预付款后

周，卖方应完成钢结构制造并通知买方派员到卖方工厂进行交货发运前检验。Within

weeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.

5.3

买方验收后已付卖方第4.3条货款后一周内，卖方应将产品运至工地现场。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.

5.4

买方若要求变更钢结构规格或设计，应以书面方式通知卖方，卖方在可能的情况下尽量满足买方要求，但卖方可视增加之工时和材料调整本合同价格及期限，经买卖双方同意后才生效。所有钢结构规格或设计之变更，若因买方未能于两天内签署卖方所提供的有关确认文件，均视为买方取消变更要求，恢复原本规格或设计。如因此而造成钢结构设计或制造之延误，则买方须承担一切责任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.

5.5

除天灾人祸等不可抗力因素及因买方未尽本合同责任之情形以外，如卖方逾期完成以上任何一项义务，须从逾期第四天起按日支付该笔逾期款项0.1%的罚款，但该罚款不应超过本合同总价之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.

5.6

第5.2及5.3条所提到的交货时限是以买方在收到钢结构设计图后七天内把确认图还给卖方和买方在收到验收通知后七天内派员到卖方工厂进行货物检验为根据。买方每逾期一天确认设计图或到卖方工厂验货，无论什么原因，卖方的交货时限会延迟两天，如该逾期超过七天，卖方有权根据其当时的业务要求重新安排交货时间。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.

5.7

买方应赔偿或补偿卖方因买方造成的交货延误所受到的所有损失，包括（但不限于）货物贮存的费用，该费用以每天每吨人民币83元计算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.

第六条

装运和清点Article6.Packing,ShippingandInventory6.1

钢结构制造完毕、经买方验收后方能装运到工地现场。卖方应提前一周前通知买方其发运日期以便买方为卖方提供工作条件上的方便，例如提供现场物资存放的道路、场地及水电供应等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.

6.2

货物到达工地现场后，买方应即时清点及验查货物质量并签收。如有损坏，买方应即时通知卖方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.

6.3

工地现场的卸货由买方负责，如有延误，所有费用由买方负责。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.

第七条

产品检验Article7.InspectionofGoods7.1

如在验收过程中，买方发现货物的质量、规格、性能与合同不符合，卖方可按买方的要求退换或修复，达到合同要求。如有争议，买方可申请上海进出口商品检验局就产品质量、规格及性能进行检验，所有费用由买方承担。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.

第八条

卖方声明和保证Article8.Seller’sRepresentationsandWarranties8.1

卖方对产品质量作出下列声明及保证：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:

8.2

钢结构设计以美国MetalbuildingMembersAssociation(MBMA)

建筑规范

（1986年版）及相关技术文本为标准。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.

8.3

卖方对产品的质量保证期为一年，在产品送达工地现场一年内，如产品在正常操作情况下出现质量问题，卖方会免费提供维修服务。此产品质量保证不包括因买方不当处置产品引致之问题或原材料引致之间接损失或随之发生的损害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.

第九条

技术资料和单据Article9.TechnicalInformationandReceipts9.1

卖方应在产品送达工地现场一周前，把下列技术资料交给买方：9.1.1由制造厂发出产品说明书一份；和9.1.2施工图一式三份。WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2Threecopiesoftheconstructiondrawings.

9.2

卖方应于卖方在产品运出后，把下列单据交给买方：9.2.1税务发票，内容注明本合同编号、项目名称等；9.2.2交货清单一式四份；9.2.3制造厂签发的质量证明书；和Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.2.2Fourcopiesoftheinventorylistofthegoodsdelivered;9.2.3Thequalityandquantitycertificateissuedbythemanufacturer;and

不可抗力Article10.

ForceMajeure10.1

买卖双方中任何一方，由于人力不可抗力事故而影响合同执行时，则延迟履行合同的期限，延迟的时间相当于事故所影响的时间，受事故影响一方应于事故发生后三天内将所发生的不可抗力事故的情况用传真方式通知对方，并在十天内递交有关证明文件给另一方确认。当不可抗力事故终止后，受事故影响的一方应于事故终止后三天内用以传真方式通知对方，并以信件证实。任何不可抗力事故影响合同执行超过12周以上的，双方应应合同执行的有关问题进行协商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidenceofsucheventwithin10daysoftheoccurrenceofsuchevent.Aftertheforcemajeureeventhasterminated,theaffectedpartyshallnotifytheotherpartybyfaxwithin3dayaftertheterminationofsucheventfollowedbyalattertoevidencesuchtermination.ThepartiesshalldiscusstheproblemsofthisContractifanyforcemajeureeventshallaffectsuchperformanceformorethan12weeks.

10.2

不可抗力事故包括任何预料之外事件，如战争、叛乱、暴动、骚动、火灾、罢工、自然灾害、禁运及任何其他卖方控制范围以外之事件。Forpurposeshereof,forcemajeuremeansanyunforeseeableevent,suchaswar,insurrection,mobaction,civilcommotion,fire,strike,naturaldisaster,embargoandanyothereventoutsidethecontroloftheSeller.

第十一条

仲裁Article11.Arbitration11.1

凡因执行本合同所产生的或与本合同有关的一切争议，双方应通过友好协商解决，如协商不成，任何一方可提交上海市经济贸易仲裁委员会进行仲裁，仲裁裁决是最终的，对双方都有约束力。仲裁费用由败诉方承担。AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedbythepartiesthroughfriendlynegotiations.Ifthepartiesareunabletoresolvesuchdisputes,eitherpartymaysubmitsuchdisputestoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommission,whicharbitralawardshallbefinalandbindingonbothparties.Thecostsofarbitrationshallbebornebythelosingparty.

第十二条

其他条款Article12.OtherProvisions12.1

本合同经双方签字及盖章后生效。买卖双方之所有责任和义务完毕时，本合同自然终止。ThisContractshallbeeffectiveafterbothpartieshavesignedandsealedit.WhenthedutiesandobligationsoftheBuyerandSellerarecompleted,thiscontractshallautomaticallyterminate.

12.2

本合同的附件为本合同不可分割之组成部分，与本合同具有同等法律效力。TheappendicestothisContractconstituteaninseparablepartofthisContractandshallhavethesamelegaleffectofthisContract.

12.3

本合同包含双方所有谈判内容及协商的条款，并取代双方以往对合同项目的一切协议。ThisContractsetsforththeentireunderstandingandagreementofthepartiesandshallsupersedeallprioragreementsbetweenthepartieswithrespecttotheprojectsetforthinthisContract.

12.4

合同附件Appendix设计及材料说明Design&MaterialsSpecification

1.

主框架：MainFrame:所有钢性框架为焊接成型的变截面“I”形柱、梁；所有端墙屋面梁和端墙柱根据设计要求同样选择组合焊接“I”型变截面，设计时根据AISC1989年6月1日版的“钢结构建筑规范”中允许应力设计及塑性应力设计：Allrigidframeswillbewelded,built-up“I”sections.Thecolumnsandtherafterswillbothselectwelded,built-up“I”accordingtodesignrequirementsThedesignwillbeinaccordancewiththestressdesignandplasticstressdesignpermittedbyAISC’sJune1,1989editionof“SpecificationforStructuralSteelBuildings”.

所有底板，拼接板，盖板和加强板应在工厂焊接到结构构件上；螺栓孔以及所有底板，拼接板和翼缘板均在工厂预制，并打好螺栓连接孔；腹板的工厂预制包括对拉杆支撑及翼缘支撑的冲孔定位。Allbaseplates,spliceplates,capplates,andstiffenerswillbeweldedintoplaceonthestructuralpartsinthefactory.Anchorboltopeningsandallbaseplates,spliceplatesandflangeswillbepre-fabricatedatthefactoryandincludeboltconnectionholes.Webswillbeshopfabricatedtoincludecablebraceandrodbraceholesandflangebraceholes.

次结构：Substructure:檩条和围梁为冷弯“Z”型或

“C”

型薄壁型钢，并在翼缘设置加强件，工厂加工时预先冲孔，以便于在现场将其与主框架用螺栓连接起来，檐口支撑为翼缘宽度不等的冷弯C型材。Purlinsandgirtsshouldbecold-formed“Z”or“C”sectionswithstiffenedflanges.Theywillbepre-punchedatthefactorytoprovideforfieldboltingtotheprimaryframing.Eavestrutsshouldbeunequalflange,cold-formed“C”sections.
