rawmaterialsorparts,salariesorwages,thefluctuationofexchangeratesoranyotherfactors.1.18“Site”shallmeaneachphysicallocationwhereEquipmentandMaterialhasbeenorwillbeinstalled.1.19“SiteAcquisition ”shallmeanallactivitiesrelatedtotherental,purchaseorotherarrangementprovidinguseofaphysicallocationasaSiteasfurtherdefinedinAppendix3“ScopeofWorks”.1.20“SiteOwner”shallmeantheperson(s)actuallyorpotentiallyletting(orotherwisemakingavailable)thephysicalspaceforuseasaninstallationSiteforthesystem.1.21“SiteReady”shallmeanthecompletionofQqqqq'sresponsibilitieswithrespecttotheSiteasstatedinAppendix3 “ScopeofWorks”andverifiedpursuanttoAppendix5 “AcceptanceProcedure”.1.22“SubcontractedWorks”shallmeantheservicesandMaterialitemizedinAppendix3“ScopeofWorks”whichshallbeperformedanddeliveredbytheSubcontractorsubjecttoindividualPurchaseOrderssubmittedbyQqqqqandshallincludeinstallationmaterialandconsumablesthatarenecessaryforinstallation.1.23“System”shallmeantheCDMAsystemtobebuiltandoperatedbytheClientinSudan1.24“Timeforcompletion”shallmeanthedateordates(asthecasemaybe)specifiedinthePurchaseOrderand/orVariationOrderwhentheSubcontractorhastomeetspecifiedtargetdatesfortheissuanceoftheFinalAcceptanceCertificateoftheSubcontractedWorks.1.241.25“WorkingDay”shallmeanallDaysexceptanySaturdays,Sundays,bank-andpublicholidaysinthecountrywheretheSubcontractedWorksshallbeperformed.1.251.26“WorksReady”shallmeanthecompletionoftheSubcontractedWorksonanindividualSitebasisbytheSubcontractorasstatedinAppendix51.26“AcceptanceProcedure”,toenablethePartiestocommencetheacceptanceproceduredescribedinArticle12fortherespectiveSite.1.27“ConfidentialInformation”shallincludeQqqqqInformationandanyotherinformationormaterialmarked“Confidential”,“Restrictedwithsu”chorotherrestrictivelegend;oranyotherformofinformationdisclosedwhichmaybereasonablyconstruedtobeconfidentialwhicheitherPartymaydisclosetotheotherPartyunderthisSubcontract.1.27ARTICLE2-ARTICLE2-2.1GENERALSubjecttoindividualPurchaseOrderssubmittedbyQqqqq,theSubcontractorshall,totheextentordered,performanddeliver(asthecasemaybe)theSubcontractedWorksdescribedinAppendix3“ScopeofWorks”attachedhereto.AdetaileddescriptionofthedivisionoftheresponsibilitiesofthePartiesinrespectoftheSubcontracted Worksiscontained inAppendix3“ScopeofWorks”attachedhereto.AllMaterialstobeprovidedbytheSubcontractorshallmeetthespecificationssetoutinAppendix6ifnototherwiseagreedinwriting.Qqqqqmay,atitsdiscretion(andinaccordancewithArticle4(VariationOrders)),instructtheSubcontractortopurchasesuchMaterialsfromaparticularsupplier.TheSubcontractorshallrefrainfromsellingMaterialspurchasedfromsuchsuppliertothirdpartiesprovidedthatsuchMaterialsarepurchasedontermsavailabletoQqqqqandsubcontractorsonly.NotwithstandingtheaforementionedtheSubcontractor shallbesolelyresponsible forthesupplyofMaterials.ThisSubcontractcontainstheentireunderstandingbetweenthepartiesregardingtheSubcontractedWorks.AllpreviouscorrespondenceanddocumentsexchangedbetweenthePartiesinrespectoftheSubcontractedWorkspriortothesignatorydateofthisSubcontractaresupersededbythisSubcontract.BothPartiesacknowledgethattheSubcontractedWorksareanintegralpartoftheworksbeingprovidedbyQqqqqtotheClientundertheMainAgreement.Accordingly,theSubcontractorshalltakeintoaccountthepurposeforwhichSubcontractedWorksareintendedanddatesandotherrequirementsforperformanceagreedbetweenQqqqqandClient.2.2InadditiontothisSubcontractdocument,thefollowingdocumentsSubcontract:areherebymadepartofthisAPPENDIX1PRICINGBOQAPPENDIX2PAYMENTTERMSAPPENDIX3SCOPEOFWORKSAPPENDIX4PO&VOTEMPLATEAPPENDIX5.1COMPLETIONREPORTTEMPLATEAPPENDIX5.2KICKOFFREPORTTEMPLATEAPPENDIX6QUALITY

Incaseofanydiscrepancies,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:AppendicestotheSubcontract.EachAppendixshallprevailoverthedocumentsreferencedinthesaidappendix,thetextofthisSubcontract,anyotherdocumentsformingpartoftheSubcontract.LatermadeaddendaandamendmentsalterthecontentsofthisSubcontractonlytotheextentexpresslyagreeduponbetweentheParties;allotherconditionsshallalwaysremainunchanged.TheSubcontractorshallnotusesubcontractors(exceptSudansubsidiary)intheperformanceoftheSubcontractedWorkswithoutthepriorwrittenconsentofQqqqq.IntheeventthatQqqqqgivesconsent,theSubcontractorshall,nevertheless,remainfullyresponsiblefortheproperfulfillmentofalltheobligationsoftheSubcontractorsassetforthinthisSubcontract.WithoutprejudicetoArticle4(VariationOrders),additions,deletionsandotherchangestotheSubcontractedWorksandthisSubcontractrequireawrittenamendmentofthisSubcontract.Allsuch

Subcontractamendments,whichwillbenumberedconsecutively,shallbedulysignedbyauthorizedrepresentativesofbothPartiespriortoeffectinganyofthechangesthereincontained.2.62.7TheSubcontractorshall,atitscost,obtainallworkpermitsnecessaryfortheperformanceoftheSubcontractedWorksandinordertocomplywithlocallaws,regulationsandpractices.However,wheretheSubcontractor,inadditiontotheaforementioned,isrequiredtoexecutePermittingonbehalfofeitherQqqqqortheClient,thensuchPermittingshallbedefinedinAppendix3“ScopeofWorks”.2.62.7TheSubcontractorshallcarryouttheSubcontractedWorkswithstrictregardtosafetyandhealthandshallalwayscomplywiththefollowingrequirementsandregulationsinforcefromtimetotime.Healthandsafetyregulations;Regulationsregardinghazardoussubstances,radiotransmittingEquipmentandMaterial,AnyotherSitespecificsafetyregulations;Buildingregulations;Otherstatutoryregulations;andAnyClientand/orQqqqq requirementspertainingtoaparticularSite.

TheSubcontractorshallhaveallnecessaryhealthandsafetycertificatesasrequiredbylaworanyotherapplicableregulationsorasreasonablyrequiredbyQqqqq.Copiesofsaidcertificatesshall,promptlyuponrequest,beforwardedtoQqqqq.2.8TheSubcontractorshallatitscosttrainitsemployees2.8andsubcontractorswithregardtothematterssetforthinArticle2.6abovesoastoensurecompliancewiththesaidstipulations.2.9TheSubcontractorshall,whenperformingtheSubcontractedWorks,providethetoolsand2.9TheSubcontractorshall,whenperformingtheSubcontractedWorks,providethetoolsandSubcontractedequipmentsnecessarytoperformtheSubcontractedWorksatitsowncost.IntheeventthatthePartieshaveagreedthatQqqqqshallprovidetheSubcontractorwithanytoolsorotheritems(forexampleTowertemplate)onatemporarybasis,thensuchtoolsshallberecordedinAppendix3 “ScopeofWorks”orintheappropriatePurchaseOrder.Ifnonewsiteneededtobebuiltwithin5days,theSubcontractorshallreturnthetoolstoQqqqq'swarehouse.Otherwise,theSubcontractorshallbringthetoolstothesitewhichiswaitingforconstruction.TheSubcontractorshallbearallriskoflossordamagetothetoolsfromthedateofreceiptofthetoolsuntil

thesamehasbeenreturnedtoQqqqq.AnycostsarisingfromtheuseofsaidtoolsshallbepaidbytheSubcontractorunlessspecificallyagreedbybothPartiestobetheresponsibilityofQqqqq.2.10TheSubcontractorshallberesponsibleforanyandalllevies,duties,taxesandsocialsecurityandotherpaymentsandobligationsthatareimposedbyanygovernmentorotherauthorizedagencyonaccountoftheperformanceoftheSubcontractedWorksandwithrespecttoanytaxableincomeoftheSubcontractororitsemployees.2.11TheSubcontractorhasnoauthoritytobindQqqqqtoanyotheragreementorobligationnotbeenstatedinthiscontract.2.12TheSubcontractorandQqqqqareindependentcontractors.AllpersonnelfurnishedhereundertoprovideSubcontractedWorksareemployeesofSubcontractor,exceptasotherwiseagreedbytheParties,andarenotQqqqq'semployeesoragents.NotwithstandinganythingtothecontraryhereintheSubcontractorshallhaveexclusivecontroloveritspersonnel,itslaborandemployeerelationshipsanditspoliciesrelatedtowages,hours,workingconditionsandotheremploymentconditions.Subcontractorhastheexclusiverighttohire,transfer,suspend,layoff,recall,promoteanddisciplineitspersonnel.ARTICLE3-PURCHASEORDERS3.1Qqqqqwillfromtimetotime,inaccordancewithAppendix4“PurchaseOrdertemplate”submitPurchaseOrdersonSitebasisorasotherwiseagreedbybothPartiestotheSubcontractorforthesupplyoftheSubcontractedWorksinordertomeettheactualneedsofQqqqq.However,QqqqqshallbeundernoobligationtosubmitPurchaseOrderstotheSubcontractor.ItisrecognizedbytheSubcontractorthattheorderingoftheSubcontractedWorksfromtheSubcontractorisalwayssubjecttothesamebeingcompetitiveintermsofpricing,timing,qualityandotheraspectsofperformance.Otherwise,QqqqqwillcancelSubcontractor'sshareinthisprojectatQqqqq'sowndiscretionaccordingtoSubcontractor'spoorperformance.3.2TheSubcontractor shallonlyperform suchSubcontractedWorksthathavebeenspecifiedinaPurchaseOrder.NootherSubcontractedWorksshallbeperformedbytheSubcontractorwithoutawrittenrequirementofQqqqqandQqqqqwillnotcompensatetheSubcontractorfortheperformanceofanysuchSubcontractedWorksorbearanycostorexpense,whetherdirectorindirect,thatmayaccrueasaconsequencethereof.3.3TheSubcontractorshallnotmakeanychangesorotherwisevaryoralteranypartoftheSubcontractedWorksoranyoftheMaterialthatisdeliveredaspartthereoforwhichissubjectthereto.3.33.4TheSubcontractorhasnorighttorejectanyPurchaseOrderissuedbyQqqqqunderthisSubcontractatareasonablebasis.(Considerputtingitthisway:TheSubcontractorwillacceptanyandallPurchaseOrdersissuedbyQqqqqunderthisSubcontractwhichisreasonable.)ThisclauseshallnotlimittheabilityofthePartiestosuspendtheworksorotherwisedelayorcanceltheworksinthecaseofeventsunderArticle16”ForceMajeure.”3.43.5IfSubcontractorrefusestoacceptPOsissuedbyQqqqqatreasonablebasis,thenQqqqqmay,atitsoptionandinadditiontoitsotherrightsunderthisSubcontract,takeactiontohavethePOsperformedbyothersandthecostsoarisingshallbetotheaccountoftheSubcontractorwhorefusedtoacceptPOs,whichamountmaybedeductedfromanysumspayablebyQqqqqtotheSubcontractor.3.5ARTICLE4-ARTICLE4-4.1TheSubcontractoracknowledgesthatQqqqqand/ortheClientmaywishtoeffectchangestoQqqqq'sundertakingsundertheMainAgreementandthatchangestotheSubcontractedWorksmaybecalledforasaresultofsuchchange.ConsequentlyQqqqqmaybysubmittingaVariationOrdertotheSubcontractorinstructtheSubcontractortoalter,amend,omit,addortootherwisevaryanypartoftheSubcontractedWorksthathavebeenorderedbyQqqqq.4.2QqqqqshallpriortothesubmissionofaVariationOrderunderArticle4.1notifytheSubcontractorofthenatureandcontentofthechangesthatQqqqqplanstoimplement.TheSubcontractorshallassoonaspossibleafterhavingreceivedsuchanotice,andinanyeventwithinThree(3)WorkingDays,submittoQqqqq:4.2Adescriptionofthework,ifany,thatneedstobeperformedandMaterialsthatneedtobedeliveredinadditiontotheSubcontractedWorksthathavebeenorderedundertherelevantPurchaseOrderandaprogramforitsexecution;theSubcontractor'sproposalsforanynecessarymodificationstotheTimeforCompletionortoanyoftheSubcontractor'sobligationsundertheSubcontract;andTheSubcontractor'sproposalforanyadjustmenttotheagreedvalueoftherelevantPurchaseOrderand/ortheamountpayable(ifany)undertheVariationOrder.4.3 QqqqqshalluponthereceiptoftheSubcontractor 'ssubmissionunderArticle4.2decidewhetherornotthechangeshallbecarriedout.IfQqqqqdecidesthatthechangesshallbecarriedout,QqqqqshallsubmitaVariationOrdertotheSubcontractorinaccordancewiththesubmissionoftheSubcontractor,aspossiblymodifiedbyagreementbetweentheParties.TheSubcontractorshalluponthereceiptoftheVariationOrderforthwithproceedtocarryoutthechange.4.4IntheeventthatthetimeavailablepriortotheimplementationoftheSubcontractedWorksthataresubjecttoaVariationOrderdoesnotpermitthePartiestoagreeonthechangestothepricethatmaybecalledforasaconsequenceofthechanges,theSubcontractorshall,nevertheless,carryouttheSubcontractedWorksaschangedpursuanttoVariationOrderandthePartiesshallworkingoodfaithtoagreeuponthe pricesandtermsassoonaspossible.4.5NotwithstandinganythingcontainedinthisSubcontracttothecontrary,Qqqqqmay,atitssolediscretionbutsubjecttoawrittennoticegivennolaterthanthree(3)DayspriortotherelevantSiteARTICLE5-5.1ARTICLE5-Readydate,(i)postponetheperformanceoftherelevantSubcontractedWorkstotakeplacewithinthefollowingthree(3)monthsfromtheTimeforCompletion;and/or(ii)changethelocationoftheSite;and/or(iii)changetheinstallationconfigurationofaSite.TheVariationOrderproceduresetforthaboveshallnotbeappliedtothisArticle4.5,subject,however,ifQqqqqcompensatingtheSubcontractorforreasonableadditionaldirectcoststhatmayaccruetotheSubcontractorasaconsequenceofthepostponementand/orchange.TIMESCHEDULETheSubcontractorshouldstartmobilizationandsitepreparationimmediatelyuponreceivingtheformalconfirmationfromQqqqqthattheSubcontractorisawardedtheSubcontractedWorks.ThetimescheduleandtheTimeforCompletionoftheSubcontractedWorksinrespectofeachSiteshallbespecifiedinthePurchaseOrders.Asamplesiteshouldbefinishedfirst.AftertheClient/Qqqqqcheckedandacceptedthissamplesites,theSubcontractorcancontinuetheconstructionforothersites.ARTICLE6 -PROJECTMANAGEMENTANDSUBCONTRACTOR'SPERSONNEL6.1ThereshallatalltimesduringtheperformanceofthisSubcontractbearesponsibleProjectManagerorhisauthorizeddeputypresentatthedesignatedprojectofficeoftheSubcontractor,authorizedtoreceiveallnoticesthatmaybegivenunderthisSubcontractandtotakeallday-to-daydecisionsrequiredfortheimplementationoftheSubcontractedWorks.6.2TheSubcontractorshall,asagreedbetweenthePartiesfromtimetotime,provideinformationandprogressreportstoQqqqq.TheSubcontractorshallattendprogressmeetingswheneverrequestedbyQqqqq.6.3TheSubcontractorwarrantsthathehasathisdisposalallthepersonnelandotherresourcesnecessary,whichmustinclude,withoutlimitation,allnecessaryprofessionalqualificationsandshallatalltimesbehaveinaprofessionalmannerwhetheratSiteorwhenincontactwiththeClientorotherwise,forthefulfillmentoftheSubcontractedWorks.DuringprogressoftheSubcontractedWorks,theSubcontractorshalltakeintoaccountandshallinstructhisstaffaccordinglythatallworksshallbeexecutedefficientlyandinaquietandtidymanner.DisturbancetoSiteOwnersandotherinthevicinityoftheSitesshallbekepttoaminimum.TheSubcontractorshallatalltimeskeepanuptodatelistofpeopleinvolvedintheperformanceoftheSubcontractedWorks.SuchlistshallbeprovidedtoQqqqquponsigningoftheSubcontractandwheneveranychangesintheSubcontractor'sorganizationoccur.TheSubcontractorguaranteesthatsaidpersonsshallcontinuetheirinvolvementintheprovisionoftheSubcontractedWorksuntilallsuchworkshavebeencompleted,exceptinthecasewhensuchapersonisfoundtobeincompetentorotherwiseunsuitableforhisduties,theSubcontractorshallinformQqqqqimmediatelyandprovideremovalandreplacementsuggestionsforQqqqq 'sapproval.QqqqqmayrequirefromtheSubcontractortheimmediateremovalofanypersonemployedbytheSubcontractorwhofailstoconducthim/herselfinanappropriatemannerorisincompetentornegligentintheperformanceofhisduties,orwhosecontinuedpresenceontheprojectisjudgedbyQqqqqtobedetrimentaltofutureprogressoftheSubcontractedWorks.SuchpersonshallnotbeemployedagainintheexecutionofthisSubcontractexceptwiththepriorwrittenconsentofQqqqq.TheSubcontractorshallimmediatelyreplacesuchremovedpersonwithapersonwiththenecessaryqualifications.AllcostsandexpensesincurredtoQqqqqandtheSubcontractorinconnectionwithsaidremovalandreplacementshallbebornebytheSubcontractor.

ARTICLE7-QUALITYASSURANCE7.1TheSubcontractorisresponsibleforthequalityofworkwhichiscarriedoutunderthisSubcontract,irrespectiveofwhethersuchworkiscarriedoutbytheSubcontractoritselforbyanyofitssubcontractors.ForthispurposetheSubcontractorshallconstantlymonitorthequalityoftheSubcontractedWork.Furthermore,theSubcontractorisresponsibleforthequalityofallMaterialsortoolsprovidedorusedbytheSubcontractor.DocumentationofqualityrecordsisanexplicitpartofthisSubcontract,andmuststrictlycomplywiththerelevantlaws,regulation,standardsandrequirementsaswellasQqqqq'sinstructions.TheSubcontractor'sobligationswithregardtoqualityarefurther described inAppendix 7“Quality”.7.2TheSubcontractor shallmaintain aqualitymanagementsystem,whichcomplieswiththestandardISO9001/2,asapplicable.Registrationbyanindependentcertificationauthorityiscurrentlynotrequired;however,thismaybearequirementinthefuturebyQqqqq,inwhichcaseevidenceofsuchcertificationmustthenbeprovidewithinoneyearafterthewrittenrequestofQqqqq.7.3Qqqqqand/ortheClientortheirrepresentativesshallhavetherightatalltimestoinspecttheSubcontractedWorksatSitesandrejectanypartthereofthatdoesnotcomplywiththetermsofthisSubcontract.Incaseofrejection,theSubcontractorshallimmediatelyrectifysuchpartthereofthatisnon-compliant.QqqqqwillrecordtheresultsofsuchvisitstocontinuouslyimprovethequalityoftheSubcontractedWorks.OnrequesttheSubcontractorwillbeinformedabouttheresultsoftheseperformanceevaluations.Anyinspection,checking,approvaloracceptancegivenonbehalfofQqqqqand/ortheClientshallnotrelievetheSubcontractorfromanyobligationundertheSubcontract.7.4TheSubcontractorshalldisclosethenameandnecessaryinformationofhissuppliers,subcontractorsandpartnerstoQqqqqifthis,inQqqqq 'sviewhas7.4anyrelevanceonanypartofthisSubcontract.Agreementswithsuchsuppliers,subcontractorsorpartnersmustcontainarequirement,whichenablesthequalityassuranceofQqqqqtocarryoutqualityauditsonsuchsupplier,subcontractororpartnerpremises.7.5QualitychecksandtestsofinstalledfacilitiesshallbeperformedbytheSubcontractorinaccordancewiththerequirementsofQqqqq.7.57.6TheSubcontractormustnominateapersonandhis/herfunctioninhisorganizationwhoistoreceivecontrolledcopiesoftheQqqqqdocumentsrelevant

7.6forthisSubcontract.ThesecontrolledcopiesaresubjecttoQqqqq'sdocumentcontrolserviceandareconstantlyupdatedsothattheSubcontractoralwayshasinformation,whichisidenticaltothatwhichisavailablewithinQqqqq.Qqqqqistheownerofthisdocumentation;thedocumentationmustbehandledconfidentiallybythePartiesandnoinformationfromthedocumentationmaybemadeaccessibleinanyformtothirdpartieswithoutthewrittenpermissionofQqqqq.TheSubcontractormustintroduce andmaintain aneffective methodofmanagingthesedocumentsandthecontentsofthesedocumentssothattheapplicableversionsoftherelevantdocumentareavailablewherevertheyarerequired,andthatoutdateddocumentsareimmediatelyremovedfromwherevertheyareused.ARTICLE8-ARTICLE8-8.1TheSubcontractorwarrantsthat:TheSubcontractedWorksshallbeperformedwithduecareandskillandinaccordancewiththePurchaseOrder,thisSubcontractandQqqqq'sinstructions,procedures,processesanddocumentationlistedinAppendix6“TechnicalSpecifications”andwillbefreefromdefectsinengineering,workmanshipandinstallation.
