【A+版】英文版中外合资成立项目公司框架协议书Chinese-ForeignCooperativeJointVenturesGeneralProvisionsInaccordancewiththeLawofthePeople'sRepublicofChioaChinese-ForeignCooperativeJointVenturesandotherrelevantChineselawsandregulations,RRR__Companynd__RRR__Company,inaccordancewiththeprincipleofequalityandmutualbenefitandthroughfriendlyconsultations,agreetojointlysetupaCooperativeventurein__RRR__thePeople'sRepublicofChina.PartiesoftheCooperativeVentureArticle1Partiestothiscontractareasfollows:PartyA:RRRKCompany(hereinafterreferredtoasPartyA),registeredwithRRR__inChina,anditslegaladdressisatRRR__(street)__RRR(district)__RRR―(city)―RRR―China.Legalrepresentative:RRRName:RRRPosition:RRRNationality:RRRPartyB:KKCompa(tyereinafteireferredtoasPartyB),registeredwith__RRR__.ItslegaladdressatRRR.Legalrepresentative:KKName:KKPosition:KKNationality:KK(Note:Incasetherearemorethantwoinvestors,theywillbecalledPartyC,D...inproperorder).Chapter3EstablishmentoftheCooperativeVentureCompanyArticle2InaccordancewiththeCooperativeVentureLawandotherrelevantChineselawsandregulations,bothpartiesoftheCooperativeventureagreetosetup__KKCooperativeventurelimitedliabilitycompany(hereinafterreferredtoastheCooperativeventurecompany).Article3ThenameoftheCooperativeventurecompanyisKK__LimitedLiabilityCompany.Thenameinforeignlanguageis_KK_.Thelegaladdressofthejointventurecompanyisat__KK__street__KK__(city)__KKprovince.Article4AllactivitiesoftheCooperativeventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.Article5TheorganizationformoftheCooperativeventurecompanyirisitedliabilitycompany.Theprofits,risksandlossesoftheCooperativeventurecompanyshallbesharedbythepartiesaccordingtherelevantprovisionsthereafter.Chapter4ThePurpose,ScopeandScaleofProductionandBusinessThegoalsofthepartiestotheCooperativeventurearetoenhanceeconomiccooperationtechnicalexchanges,toimprovetheprodqicility,developnewproducts,andgainacompetitivepositionintheworidarketinqualityandpricebyadoptingadvancedandappropriatetechnologyandscientificmanagementmethods,soastoraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforeachCooperator.(Note:Thiisleshallbewrittenaccordingtothespecificsituationsinthecontract).TheproductiveandbusinessscopeoftheCooperaVeeturecompanyistoproduce__KK__productsprovidemaintenanceserviceafterthesaleoftheproducts;studyanddevelopnewproducts.(Note:Itshallbewritteninthecontractaccordingtothespecificconditions).TheproductionscaleoftheCooperativeventurecompanyisasfollows:TheproductioncapacityaftertheCooperativeventureisputintooperationis_KK_.Theproductionscalemaybeincreasedupto__KKwiththedevelopmentoftheproductionandoperation.Theproductvarietiesmaybedevelopedinto_KK.(Note:Itshallbewrittenaccordingtothespecificsituation).Chapter5TotalAmountofInvestmentandtheRegisteredCapitalThetotalamountofinvestmentoftheCooperativeventurecompanyisRMBRRR(oraforeigncurrencyagreeduponbybothparties).TheregisteredcapitalofthejointventurecompanyisRMB__RRR__(ExclusiveoftherighttotheuseofthesiteortherighttotheexploitationofthenaturalresourcesandpremisescontributedbyPartyA.)PartyAandPartyBwillcontributethefollowintjitocooperativeventure:PartyA:premises__RRR__m2;therighttotheuseofthesite__RRR__m2PartyB:cashRRRYuanmachinesandequipment__RRRYuan;industrialproperty__RRRYuanothers__RRRYuan,_RRRYuaninall.(Note:Whencontributingindustrialpropertyasinvestment,PartyAandPartyBshallconcludeaseparatecontracttobeapartohismaincontract).TherighttotheuseofsitecontributedbyPartyAshallbefortheuseofthecooperativeventurecompanwithin__RRR__daysaftertheapprovalofthecontract.ThecashcontributedbyPartyBshallbepaidin__RRR__installment.Eachinstallmentshallbeasfollows:(Note:itshallbewriltsnordingtotheconcreteconditions).ThemachinesandequipmentcontributedbyPartyBasinvestshenltmeettheneedsofthecooperativeventurecompany,andshallbecarriedtotheChineseport_RRR__daysbeforethecompletionofthepremisesconstruction.Chapter6ResponsibilitiesofEachPartytotheJointVentureArticle14PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:ResponsibilitiesofPartyA:Handlingofapplicationsforapproval,registration,businessseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;Processingtheapplicationfortherighttotheuseofatsitetheauthorityinchargeoftheland;Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany;AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;Assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;Assistingthecooperativeventurecompanyincontactandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;Assistingforeignworkersandstaffinapplyingforentryvwsarklicensesandhandlingtheirtravelprocedures;Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.ResponsibilitiesofPartyB:Providingcash,machineryanequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11andArticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;Providingnecessarytechnicalpersonnelforstalling,testingandtrialproductionoftheequipmentaswellasthetechnicpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;IncasePartyBisthelicensoRtshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;Responsibleorothermattersentrustedbythejointventurecompany(note:Itshallbewrittenaccordingtothespecificsituation).DistributionofProfitsandRepaymentforPartyB'sInvestmentArticle15Thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax_RRR_%asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany__RRR__%asrepaymentforPartyB'sinvestmentandRRRYearsscheduledtopaybackallPartyB'sInvestment;RRR%oftheleftdistributedtoPartyAand__RRR%toPartyB.SellingofProductsTheproductsofcooperativeventurecompanywillbesoldbonhtheChineseandtheoverseasmarket,theexportportionaccountsfor__RRR__%,__RRR__%forthedomesticmarket.(Note:Anannupiercentageandamountforoutsideanddomesticsellingwillbewrittenoutaccordingtopracticaloperati(ms,normalconditions,theamountforexportshallatleastmeettheneedsofforeignexchangeexpensesofthejointventurecompany).Productsmaybesoldonoverseasmarketsthroughthefollowing

channels:Thecooperativeventurecompanymaydirectlysellitsprodiibtsioternationalmarket,accountingfor__RRR__%.ThecooperativeventurecompanymaysignsalescontractsvChrineseforeigntradecompanies,entrustingthemtobethesalesagenciesorexclusivesalesagencies,accountingfor__RRR__%.ThecooperativeventurecompanymayentrustPartyBtosellitsproducts,accountingfor_RRR_%.Thecooperativeventure'sproductstobesoldinChinamayhandledbytheChinesematerialsandcommercialdepartmentGymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectly.inChinaorabroad,inChinaorabroad,InordertoprovidemaintenanceservicetotheproductssbddhthecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartment.Chapter9TheBoardofDirectorsThedateofregistrationofthecooperativeventurecompanlyallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.Theboardofdirectorsiscomposedof_RRR_directors,ofwhich_RRR_shallbeappointedbyPartyA,_RRR_byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmarbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmansouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.ThehighestauthorityofthecooperativeventurecompanyshatSbeoardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.UnanimousapprovalshallberequiredfanydecisionsconcerningmajorissueAusforothermatters,approvalbymajorityorasimplemajorityshallberequired.(Note:Itshallbeexplicitlysetoutinthecontract).Thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.Shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethece-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.Theboardofdirectorsshallconveneatleastonemeetingeveeyr.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.ThechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectorsMinutesofthemeetingsshallbeplacedonfile.Themeetingshallbevalidonlywhenmorethantwothirdsofthetotalnumberofdirectorsattend.Incaseofabsence,thedirectorshallentrustanotherpersontoattendandvoteforhimwithatrustdeed.Chapter10BusinessManagementOfficeThecooperative/enturecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagementThemanagementofficeshallhaveageneralmanager,appointedbyParty_X,Xdeputygeneralmanagers,X__byParty_X;X__byPartyX.ThegeneralmanageranddeputygeneralmanagerswhosetermsoOfficeis__RRRyearsshallbeappointedbytheboardofdirectors.Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthleiilymanagementofthecooperativeventurecompany.Thedeputygeneralmanagersslaasistthegeneralmanagerinhiswork.Thegeneralmanagershallreporttotheboardofdirectorstheoperationconditionsofthecooperativecompanyevethrreemonths,andmakeafinancialreporteverysixmonths.Incaseofgraftorseriousderelictionofdutyonhepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorallhavethepowertodismissthematanytime.Chapter11LaborManagementLaborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurancewelfare,rewards,penaltiesandothermattersconcernirtgestaffandworkersofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthePeople'sRepublicofChinaonChinese-ForeigCooperativeJointVentures.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbthemeetingoftheboardofdirectors.Chapter12Taxes,FinanceandAuditThecooperativeventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulations.StaffmembersandworkersofthecooperativeventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople'sRepublicofChina.Thefiscalyearofthejointventurecompanyshallbefrofcainuary1toDecember31.Allvouchersreceipts,statisticstatementsandreportsshallbewritteninChinese.(Note:Aforeignlanguagecanbeusedconcurrentlywithmutualconsent).FinancialcheckingandexaminationofthecooperativeventurecompanyshallbeconductedbyanauditorregisteredinChinaandreportsshaiilsubmittedtotheboardofdirectorsandthegeneralmanagerJncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinaniciakingandexamination,PartyAshallgiveitsconsent.AlltheexpensesthereofshallbebornebyPartyB.Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyear'sbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtbeboardofdirectorsforexaminationandapproval.Chapter13DurationoftheCooperativeVentureArticle37Thedurationofthecooperativeventurecompanyis_RRR_years.Theestablishmentdateofthejointventurecompanyshallbethedateonwhichthebusinesslicenseofthecooperative/enturecompanyisissued.Anapplicationfortheextensionoftheduration,proposedbyonepartyandunanimouslyapprovedbytheboardofdirectors,shallbesubmittedtotheMinistryofForeignTradeaiEtonomicCooperation(ortheexaminationandapprovalauthorityentrustedbyit)six)nthspriortotheexpirydateofthejointventure.TheDisposalofAssetsaftertheExpirationoftheDurationArticle38Upontheexpirationoftheduration,theassetsshallbelongtoPartyA.InsuranceArticle39InsurancepoliciesofthejointventurecompanyonvariouskindsofrisksshallbeunderwrittenwiththePeople'sRepublicChina.Types,valueanddurationofinsuranceshallbedecidedbytheboardofdirectorsinaccordancewiththeprovisionsoffebple'sInsuranceCompanyofChina.Chapter16TheAmendment,AlterationandTerminationoftheCon-tractArticle40TheamendmenbfthecontractorotherappendicesshallcomeintoforceonlyafterawrittenagreementnasbeensignedbyPartyAandPartyBandapprovedbytheoriginalexaminationandapprovalauthority.Article41Incaseofinabilitytofulfilthecontractortoontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeurehedurationofthecooperativeventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthority.Chapter17LiabilityforBreachofContractArticle42Shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatonthe)contractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.Theotherpartyshallthaveghttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamages.IncasePartyAandPartyBofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefheeconomiclossescausedtherebytothejointventurecompany.ShouldeitherPartyAorPartyfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedChapter5ofthiscontract,thepartyinbreachshallpaytotheotherparty_RRR__Yuan,or_RRR_%ofthecontributionstartingfromthefirstmonthafterexceedingthetimelimit.Shouldthepartyinbreachfailtoprovideafter_RRR__months,__RRR__Yuan,or_RRR__%ofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethecontractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofArticle42ofthecontract.Shouldallorpartofthecontractanditsappendicesbeunabbefulf川edowingtothefaultofoneparty,thepartyinbreachshddeartheliabilitytherefor.Shoulditbethefaultofbothparties,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituation.Inordertoguaranteetheperformanceofthecontractanditsappendices,bothPartyAandPartyBshallprovideeacherwithbankguaranteesforperformanceofthecontractwithindaysafterthecontractcomesintoforce.ForceMajeureArticle46Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequenceareunpreventableindunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutoonallorpartofthecontract.Bothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementation)fthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformathceofc
