专利技术转让合同(中英文)

PatentTechnologyAssignmentAgreement甲方：PartyA:乙方：PartyB:甲方自筹经费，经过努力研究，成功研制的“汽车保洁器”，已得到中国国家专利法保护（专利号：_）,乙方是一家外资企业，乙方负责人召开董事会决定，对该项目的投资生产表示决定：甲方已对乙方的投资环境已委托代理人进行考察，认为投资环境适合。经双方合同，甲方同意转让该项目的专利权给乙方，为了明确双方的权利和义务，协议遵行如下合同条款：WhereasPartyAhas,atitsowncostandthroughenergy-consumingresearch,successfullyinventedAutomobileCleanerwhichisnowundertheprotectionofthePatentLawofthePeople'sRepublicofChina（thepatentnumberis_）.WhereasPartyBisaforeign-ownedenterpriseanditsresponsiblepersonshaveconvenedaboardmeetingandmadearesolutionwithrespecttoinvestmentinandproductionofthepatent-relatedproductsthatPartyAhasentrustedanagenttohavesurveyedandbeensatisfiedwiththeinvestmentenvironmentofPartyB.WhereasPartyAagreestoassignthepatenttoPartyB.NOWTHEREFORE,bothpartiesheretoagreetoabidebythefollowingtermsandconditionssoastoclarifyrespectiverightsandobligations:第一条转让费及支付方式Article1AssignmentFeeandMeansofPayment甲方是自筹经费研究成功的技术，属于法定的无形资产，其专利权一次性转让给乙方使用，为了补偿甲方对该专利技术所付出的劳动，乙方召开董事会决定一次性付给甲方_美元，在本合同签订的当天，由双方在当地银行办理存单，以甲方的实名存入，甲方加密后，甲方出具甲方代理人签名、甲方按手印的收条。ThesaidAutomobileCleanerisinventedbyPartyAatitsowncostandthetechnologyoftheinventionistheintangibleassetofPartyAunderapplicablelaws.AsconsiderationforPartyA'slaborandeffortsininventionofsuchpatenttechnology,theBoardofDirectorsofPartyBdecidestopay_USDollarstoPartyAinalumpsum.Bothpartiesheretoshall,onthedaysigningthisAgreement,applyfordepositreceiptatthelocalbankanddepositthesaidamountinthenameofPartyA.PartyAshall,aftersettingacodefortheaccount,issueareceipttoPartyBwiththesignatureofPartyA'sagentandthefingerprintofPartyA.甲方收到乙方所付款美元后，甲方须向乙方交付该技术的全部资料。交付的资料包括:向中国知识产权局递交的全部专利申请文件，包括说明书、权利要求书、附图、摘要及摘要附图:中国知识产权局发给甲方的所有文件，包括受理通知书，授权决定，专利证书及复印件:中国知识产权局出具的专利权有效的证明文件:（指最近一次专利年费缴费凭证）。PartyAshall,afterreceivingthesaid_USDollarsfromPartyB,provideallthematerialsconcerningthesaidpatenttechnologytoPartyB.ThematerialstobeprovidedbyPartyAshallinclude:allthepatentapplicationdocumentssubmittedtotheStateIntellectualPropertyOfficeofthePeople'sRepublicofChina,includingspecification，patentrequest,drawings,abstractandabridgeddrawings;allthedocumentsissuedbytheStateIntellectualPropertyOfficetoPartyA,includingnoticeofacceptingthepatentapplication,patentgrantingdecision,patentcertificateanditscopies;andcertificatesissuedbytheStateIntellectualPropertyOfficetoprovethevalidityofthepatentright(whichshallmeantheevidenceofpaymentofthelatestannualpatentfee).第二条交付资料的时间、地点及方式Article2Time,PlaceandMeanstoProvideMaterials1、交付资料的时间TimetoProvideMaterials合同生效后，甲方收到乙方支付给甲方的全部转让费后立即交付全部资料。IncasethisAgreementbecomeseffective,PartyAshall,afterPartyBpaysalltheassignmentfeestoPartyA,immediatelyprovideallthematerialstoPartyB.2、交付资料的方式和地点MeansandPlacetoProvideMaterials甲方将上述全部资料以面交方式递交给乙方。全部资料的交付地点为：甲方居住地的县级以上的公证处。面交时，由乙方出具盖有印章的收条。PartyAshallprovidetheabovementionedmaterialstoPartyBbyperson.AllthematerialsshallbeprovidedtoPartyBatanotaryofficeabovecountylevelatPartyA'splace.Whenprovidingthematerials,PartyBshallissueareceiptwithitsofficialsealtoPartyA.第三条过渡期条款Article3TermsofTransitionalPeriod在本合同签字生效后，维持该专利有效的一切费用由乙方支付。AfterthisAgreemententersintoeffect,PartyBshallberesponsibleforanyandallfesstomaintainthevalidityofthesaidpatent.第四条税费及中介费Article4TaxesandCommission1、甲方应当缴纳个人所得税，由乙方负责缴纟纳，甲方不负责此项税款。PartyAshallpaytheindividualincometax,and_shallbepaidbyPartyB.2、如果乙方要求出具税务部门指定的发票，则开票所需的税款由乙方承担。IncasePartyBrequestsPartyAtoprovidetheinvoicedesignatedbythetaxauthority,PartyBshallbearanyandallcostsandexpendituresonsuchinvoice.3、与本转让合同有关的中介费用为—美元，由乙方负责支付，甲方不负责此项款。ThecommissionunderthisAssignmentAgreementshallbe_USDollarswhichshallbebornbyPartyB.第四条甲方提供的技术帮助Article5TechnicalAssistancebyPartyA1、本合同签订后，乙方可以派2名技术负责人到甲方接受培训，培训时间由双方协商决定。AfterthisAgreementbecomeseffective,PartyBmayassigntwotechnicalpersonstobetrainedbyPartyA.Thetrainingtimeshallbedeterminedbybothpartiesthroughconsultation.2、乙方在专利实施过程中，如因技术指导的需要，也可以聘请甲方为技术指导。PartyBmay,inthecourseofapplyingthepatenttechnology,employeePartyAtoprovidetechnicalinstructionsprovidesthatPartyBhassuchneed.3、甲方为乙方提供上述帮助，由乙方支付工资标准为每日90美元。IncasePartyBemployeesPartyAtoprovidetechnicalinstruction,PartyBshallremuneratePartyAat90USDollarsaday.第六条违约及索赔Article6BreachofAgreementandClaim1、一次性付清转让费后，如果甲方拒不交付合同规定的全部资料，乙方有权解除合同，要求甲方返还转让费，并支付违约金3万美元。Uponpaymentofthesaidassignmentfeeinalumpsum,incasePartyArefusestoprovideallthematerialsunderthisAgreement,PartyBshallbeentitledtoterminatethisAgreementandrequirePartyAtoreturnallthepaidassignmentfeealongwithaliquidateddamagesof30thousandUSDollars.2、乙方拒绝支付转让费，由甲方支付违约金3万美元。IncasePartyBrefusestopaythesaidassignmentfee,PartyAshallpayaliquidatedamagesof30thousandUSDollars.第七条争议的解决办法Article7SettlementofDisputes1、双方在履行合同中发生争议的，应按本合同条款，友好协商，自行解决。ShouldtherebeanydisputebetweenthetwopartiesintheexecutionofthisAgreement,thetwopartiesshallsettlethecasethroughfriendlyconsultationaspertermsandconditionsherein.2、双方不能协商解决争议的，向合同履行当地人民法院起诉。Incasethetwopartiesfailtosettlethedispute,thecaseindisputemaybesubmittedtoalocalpeople'scourtattheplacewherethisAgreementisperformed.第八条合同的文本Article8TextsofAgreement本合同一式三份，用瑞典语言
