强度差价StrengthVariance对于规定了断裂比强度最小值的合同,未达到此最小值的,差价如下:Intermsofacontractthatprovidestheminimumstrength,thepricedifferenceshallbesetforthbelowifitfailstoreachtheminimumstrength:仪器测试值低于最小值扣减幅度ValuetestedlessthantheminimumvalueDeduction(%)比6.还0低的,每低1克/特克斯,扣减幅度增加4。%Iflessthan6.0,foreachgram/texlowered,thedeductionis4%.9长绒棉质量降级差价(按合同单价的百分比％)9PriceDeductionforLong-stapleCottonInferiorQualityGrade(%ofthecontractunitprice)除非双方另有约定，否则适用以下规定：Unlessotherwiseagreedtobytheparties,theprovisionshereinaftershallapply:品级降级差价按通用棉花标准PriceDeductionduetoInferiorQualityGrade(inaccordancewiththelongstaplecottongradeprovidedinUSDAuniversalstandards):级级-级级级级2长2度降级差价InferiorStapleDeduction检验结果低于合同长度（英寸）扣减比例Deduction(%)Deduction(%)MicronaireVariance与细绒棉相同。AsperUplandcotton..强4度差价9.4StrengthVariance与细绒棉相同。AsperUplandcotton10违约索赔ContractSettlementDifferences10.延1迟装运DelayofShipment由于卖方原因造成不能按期装运的，则卖方应从合同规定的最晚装运日的第十一天起,按照实际延迟的天数，每月付给买方货值金额1.2的5迟%装费。IfthecottonfailstobeshippedasscheduledduetotheSeller’sreasons,theSellershallpaytheBuyeradelayeddeliveryfeeequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.由于买方原因造成不能按期装运的，则买方应从合同规定的最晚装运日的第十一天起,按照实际延迟的天数，每月付给卖方货值金额1.2的5迟%装费。IfthecottonfailstobeshippedasscheduledduetotheBuyer’sreasons,theBuyershallcompensatetheSellercarryingchargesequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.由于买卖双方中任何一方的原因造成超过合同规定的最晚装运日45天仍不能装运的，另一方有权解除合同，但违约方仍应承担违约责任。Ifthecottonfailstobeshippedwithin45daysafterthecontractedlatestshipmentdateasprovidedbytheContractduetothereasonsattributabletoeitherParty,theotherPartyisentitledtoterminatetheContractandthebreachingPartyshallbeliableforsuchterminationofContract.10.重2量差异10.2WeightDifferences到岸重量与合同重量的差异在合同允差范围内的，按合同价结算。超出合同允差的多装部分买方有权拒收；超出合同允差的少装部分按其货值金额（按合同价计算）的15赔%偿给买方。IfthedifferencebetweentheCIQlandedweightandthecontractweightiswithinthecontracttoleranceweight,paymentshallbesettledatthecontractprice.TheBuyerisentitlednottoacceptthepartexceedingthecontracttoleranceweightandtheBuyershallbecompensatedat15%ofthevalue(calculatedattheContractprice)oftheshortpart.10.3质量不符10.3QualityDifferences出现下列质量不符行为根据提供的有关证明，卖方应做如下赔偿：TheSellershallmakecompensationsprovidedasfollowsforanyqualitydifferencessetforthbelowwithrelevantcertificateprovidedbyCIQ:对1合同规定品级、长度与到岸检验品级、长度相差1个级的棉包,则按上述8.、18.条2款规定的差价率补偿。IntermsofthedeliveredbalesofwhichthegradeandstapleforinspectionareonegradeinferiorthanthegradeandstapleprovidedbytheContract,compensationsatthedeductionrateprovidedintheforegoingArticle8.1andArticle8.2shallbemade.10.3.如2果合同规定品级、长度与到岸检验品级、长度相差2个级的棉包数量占该批棉包总数量的比例超过5%的，除按上述8.、18.条2款规定的差价率补偿外，还应按全部降级棉包合同金额的20作%为违约金赔偿给买方。Ifmorethan5%ofthelandedshipmentarebalestwogradesinferiortothecontractgradeintermsofqualityandstaple,theninadditiontopricedeductioncompensationsasinArticles8.1and8.2,theBuyershallbegivenextraliquidateddamagesequivalentto20%ofthecontractvalueofthetotaldefectivebales.10.3.对3商检后棉花级别低于合同规定级别3个级及以上的棉包、欺诈棉包和混杂棉包买方可选择：退货，卖方除退还全额货款外还要按这些问题棉包合同金额的作为违约金赔偿给买方，并承担退货费用；按上述、条款规定的差价率补偿并按问题棉包合同金额的50作%为违约金赔偿给买方。10.3.3Intermsofabaleofcottonofwhichthequality,uponCIQinspection,is3ormorethan3gradesinferiortothegradeagreedintheContract,falsepackedbalesandmixedpackedbales,theBuyermaychooseto:A.returnthebales,inwhichcasetheSellershallpaytheBuyerliquidateddamagesequivalentto50%ofthecontractvalueoftheproblematicbalesinadditiontothefullrefundofpurchasepaymentaswellastheexpensesarisingfromreturnofbales;orB.havepricedeductioncompensationsasprovidedintheforegoingArticles8.1and8.2,inwhichcasetheSellershallpaytheBuyerextraliquidateddamagesequivalentto50%ofthecontractvalueoftheproblematicbales.11索赔期限TermofClaim除非双方另有约定，索赔期不能超过最后到港日或出保税库日后70天。有问题棉包的索赔期限按第12条款处理。Unlessotherwiseagreedtobytheparties,claimsfornoncompliancewiththeweightorqualityprovisionsshallbemadetotheotherpartywithin70calendardaysafterthelastdayoflandingoritsreleasefromabondedzone.ThetermofclaimofproblematicbalesshallbedealtwithArticle12below.12有问题棉包的处理DisposalofProblematicBales买方须在棉花到港后6个月之内对欺诈棉包、混杂棉包等问题棉包提出索赔。索赔提出后棉包须另外分开存放56天以供卖方核查，逾期视为卖方接受索赔。卖方同意支付买方处置棉包使之恢复使用价值所需的合理费用。TheBuyershallmakeclaimsintermsoffalsepackedbales,mixedpackedbalesorotherproblematicbaleswithin6monthsafterthecottonarrivesattheport.Thebalesagainstwhichtheclaimsaremadeshallbestoredseparatelyfor56daysforthepurposesoftheSellersinspection,andtheSellershallbedeemedtoaccepttheclaimsiftheSellerdelaysthesaidinspection.TheSelleragreestopaytheBuyerthereasonableexpensesforthedispositionofthebalessoastorestoretheusevalueofthesame.13费用标准13Rate13.检1验费用InspectionExpense13.1.重1量检验费由卖方负担，每包50美分。如果检测回潮率，卖方还应承担8美分的样品费和每个样品2美元的水分测试费。TheSellershallbeartheweightinspectionexpenseattherateofUSD50centsperbale.Intermsofmoistureregaininspection,theSellershallbearthesamplingexpensenotapprovedattherateofUSD80centspersampleandthemoisturetestingexpenseattherateofUSD$2persample,inaddition..质2量检验费由买方负担，每包1美元。如品级降级时，卖方应负担同样的费率。.2TheBuyershallbearthequalityinspectionexpenseattherateofUSD1perbale.Intheeventofinferiorgrade,thesamerateshallapplytotheSeller.2病虫害熏蒸费用2ExpenseforInsectsFumigation卖方所交之棉花，不得带有国家检疫对象的病虫害。如棉花来自中国政府规定必须做熏蒸的国家或地区，则货到港后根据国家检疫规定作熏蒸处理时，其因熏蒸而产生的各项费用，均由卖方负担。ThecottondeliveredbytheSellershallnotcontainanydamagebydiseaseorinsectsubjecttonationalquarantine.WhentheCIQconductsthefumigationinaccordancewiththenationalquarantineprovisionsafterthecottonisdeliveredtopier,thevariousexpensesarisingfromthefumigationshallbebornebytheSeller.合同的终止TerminationoftheContract除非另有规定,本合同在下述任一种情况下终止:Unlessotherwiseprovidedherein,theContractmaybeterminatedinanyofthefollowingevents:通过双方共同书面协议；或AThePartiesheretoreachanagreementinwriting;or如果另一方完全因其责任在合同规定的时间内未履行其义务，程度严重，并且在收到未违约方的书面通知后30天内未能消除违约影响或采取补救措施，在此种情况下，非违约方有权给另一方书面通知来终止合同。BIntheeventaPartyfailstoperformitsobligationstoamaterialorsubstantialextentwithinanyoftheshippingperiodsprovidedbytheContractduetothereasonsfullyattributabletosuchPartyandwheresuchPartyfailstoeliminatethebreachortakeanyremedialmeasureswithin30daysafterthereceiptofthewrittennoticefromthenon-breachingParty,thenon-breachingPartyshallbeentitledtocloseouttheContractandsubsequenttheretoprovideawrittennoticetotheotherParty.合同终止不影响终止合同方的任何权利，包括但不限于因合同终止而要求损害赔偿的权利。TheterminationoftheContractshallnotaffectanyrightofthePartytakingsuchaction,including,butnotlimitedto,therightofclaimingcompensationforlossesincurredintheterminationoftheContract.本合同对任何贸易术语(如、、)的援引都视为是对2000年国际商会贸易术语解释通则(INCOTERMS)的相关术语的援引。Anyquotationoftradeterms(suchasCIF,FOBandCFR)shallbedeemedasthequotationoftherelevanttermunderthe2000InternationalRulesfortheInterpretationofTradeTerms(INCOTERMS).本合同应适用《联合国国际货物销售合同公约》(CISG,即1980维也纳公约)。ThisContractissubjecttotheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(“CISG”,namely1980ViennaConvention-the1980ViennaConventiononContractsfortheInternationalSaleofGoods).17不可抗力ForceMajeure合同当事人因战争及严重的水灾、地震、禁运、罢工、兵变、暴乱或其他该方当事人无法控制，并在签订本合同时不能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分合同义务，则该合同一方当事人应免责。但是，因不可抗力而影响其履约的合同一方应尽快通知另一方事件的发生，并应在事件发生后不迟于14天内向另一方发送由事件发生地有关政府、行业协会或当地商会出具的关于发生不可抗力事件的证明或文件。在中国，出具证明的机构为中国国际贸易促进委员会。IfeitherPartytotheContractisunabletoperformordelaystheperformanceoftheobligationsoftheContract,partiallyorentirely,duetoreasonsofwar,seriousfire,earthquake,embargo,strike,mutiny,riotoranyothereventthatthepartiesareunabletocontrolandisreasonablyunforeseeable,unavoidableandunconqueredatthetimeofsigningtheContract,suchPartyheretoshallnotbeliable.However,thePartyofwhichtheperformanceisaffectedbytheforcemajeureeventshallnotifytheotherPartyatthetimeoftheoccurrenceofthesaideventandshallprovideevidenceofsucheventintheformofacertificateordocumentissuedbyrelevantlocalgovernmentalagencies,orlocaltradeunionwheretheforcemajeureeventoccursfortheotherPartynolaterthan14daysaftertheoccurrenceofthesaidevent.InChina,theinstitutethatissuessuchcertificateshallbetheChinaCo
