ContractAgreementorintheLetterofAcceptance.“ContractAgreement”meansthecontractagreementtoinSub-

Clause1.6[ContractAgreement].“LetterofAcceptance”meanstheletterofformalacceptance,signedby

theoftheLetterofincludinganyannexedmemoranda

comprisingagreementsbetweenandsignedbybothParties.Ifisno

suchletterofacceptance,theexpression“LetterofAcceptance”meansthe

ContractAgreementandthedateofissuingorreceivingtheLetterof

AcceptancemeansthedateofsigningtheContract“Letterof”meansthedocumententitledletteroftenderorletterof

bid,whichwascompletedbytheContractorandincludesthesignedtotheEmployerforthe“Specification”meansthedocumententitledspecification,asincludedin

theContract,andanyadditionsandmodificationstothespecificationin

accordancewiththeContract.Suchdocumentspecifiesthe“Drawings”meansthedrawingsoftheasincludedintheContract,

andanyadditionalandmodifieddrawingsissuedby(oronbehalfof)the

EmployerinaccordancewiththeContract.“Schedules”meansthedocument(s)entitledschedules,completedbythe

ContractorandsubmittedwiththeLetterofasincludedinthe

Contract.SuchdocumentmayincludetheBillofQuantities,data,lists,and

schedulesofratesand/orprices.“”meanstheLetterofandallotherdocumentswhichtheContractorsubmittedwiththeLetterofasincludedintheContract.“BillofQuantities”,“DayworkSchedule”and“ScheduleofPayment

Currencies”meanthedocumentssonamed(ifany)whichcomprised

any)madeavailablebytheEmployerfortheuseoftheContractorinthe

Sub-Clause4.2[PerformanceSecurity].“Site”meanstheplacesthePermanenttobeexecuted,

includingstorageandworkingandtowhichPlantandMaterialstobedelivered,andanyotherplacesasmaybespecifiedintheContract

asformingpartoftheSite..“Unforeseeable”meansnotreasonablyforeseeablebyanexperiencedcontractorbytheBaseDate.“”meansanychangetothewhichisinstructedor

asavariationunderClause13[andAdjustments].1.2InterpretationIntheContract,exceptthecontextotherwise:(a)indicatingonegenderincludeallgenders;(b)indicatingthesingularalsoincludethepluralandindicatingthe

pluralalsoincludethesingular;(c)provisionsincludingtheor“agreement”the

agreementtobeinwriting;(d)“written”or“inwriting”meanshand-written,type-written,printedor

electronicallymade,andresultinginapermanentand(e)the“tender”issynonymouswith“bid”,and“tenderer”with“bidder”and

the“tenderdocuments”with“biddingdocuments".Themarginalandotherheadingsshallnotbetakenintoconsiderationinthe

interpretationoftheseConditions.IntheseConditions,provisionsincludingtheexpression“Costplusthis

tobeone-twentieth(5%)ofthisCostunlessotherwiseindicatedintheContract

Data.1.3CommunicationstheseConditionsforthegivingorissuingofapprovals,certificates,consents,determinations,notices,anddischarges,thesecommunicationsshallbe:(a)inwritinganddeliveredbyhand(againstreceipt),sentbymailoror

transmittedusinganyofthesystemsofelectronictransmissionas

statedintheContractData;and(b)delivered,sentortransmittedtotheforthecommunications

asstatedintheContractData.However:(i)iftherecipientgivesnoticeofanotheraddress,communicationsshall

thereafterbedeliveredaccordingly;and(ii)iftherecipienthasnotstatedotherwisewhenrequestinganor

consent,itmaybesenttothewhichthewas

issued.Approvals,certificates,consentsanddeterminationsshallnotbewithheldordelayed.Whenacertificateisissuedtoathecertifiershallsendatiirsd.5copytotheotherWhenanoticeisissuedtoabytheotherPartyorthe

acopyshallbesenttotheEngineerortheotherasthecasemaybe.1.4LawandLanguageTheContractshallbegovernedbythelawofthecountryorotherjurisdictionstatedintheContractData.TherulinglanguageoftheContractshallbethatstatedintheContractData.ThelanguageforcommunicationsshallbethatstatedintheContractData.Ifno

languageisstatedthelanguageforcommunicationsshallbetheruling

languageoftheContract.1.5PriorityofDocumentsThedocumentsformingtheContracttobetakenasmutuallyexplanatoryofoneForthepurposesofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:(a)theContractAgreement(ifany),

(b)theLetterofAcceptance,(c)the(d)theParticularConditions-PartA,

(e)theParticularConditions-PartB,

(f)theseGeneralConditions,(g)theSpecification,(h)theDrawings,and(i)theSchedulesandanyotherdocumentsformingpartoftheContract.Ifanambiguityordiscrepancyisfoundinthedocuments,theEngineershallissueany

necessaryclarificationorinstruction.1.6ContractAgreementThePartiesshallenterintoaContractwithin28daysaftertheContractorreceivestheLetterofAcceptance,unlesstheParticularConditionsestablishotherwise.TheContractAgreementshallbebasedupontheformannexedtotheParticularConditions.Thecostsofstampdutiesandsimilarcharges(ifany)imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebythe1.7AssignmentNeitherPartyshallassignthewholeoranypartoftheContractoranybenefitorinorundertheContract.eitherParty:(a)mayassignthewholeoranypartwiththeprioragreementoftheotheratthesolediscretionofsuchotherand(b)assecurityinfavourofabankorfinancialinstitution,assignitsrighttoany

moneysdue,ortobecomedue,undertheContract.1.8andSupplyofDocumentsTheSpecificationandDrawingsshallbeinthecustodyandoftheUnlessotherwisestatedintheContract,twocopiesoftheContractandofeachsubsequentDrawingshallbesuppliedtothewhomaymakeorfurthercopiesatthecostoftheEachoftheDocumentsshallbeinthecustodyandofthe

unlessanduntiltakenoverbytheUnlessotherwisestatedin6©FIDIC2006.MDBHarmonisedConditionsofContractforConstruction2006-GeneralConditions.ForparticipatingdevelopmentbankfinancedcontractuseNoreproductionofthisdocumentispermitted.theContract,theContractorshallsupplytotheEngineersixcopiesofeachofthe

Documents.TheContractorshallkeep,ontheSite,acopyoftheContract,publicationsnamedin

theSpecification,theDocuments(ifany),theDrawingsandandothercommunicationsgivenundertheContract.ThePersonnelshall

havetherightofaccesstoallthesedocumentsatallreasonabletimes.IfaPartybecomesofanordefectinadocumentwhichwasfor

useinexecutingthethePartyshallpromptlygivenoticetotheotherPartyof

suchordefect.1.9DelayedDrawingsorInstructionsTheContractorshallgivenoticetotheEngineerwheneverthelikelytobedelayedordisruptedifanynecessarydrawingorinstructionisnotissuedtotheContractorwithinaparticulartime,whichshallbereasonable.Thenoticeshallincludedetailsofthenecessarydrawingorinstruction,detailsofwhyandbywhenitshouldbeissued,andtheandamountofthedelayordisruptionlikelytobeifitislate.aaainthenoticewithsupportingdetails,theContractorshallgiveafurthernoticetothe

EngineerandshallbeentitledsubjecttoSub-Clause20.1[Claims]to:(a)anextensionoftimeforanysuchifcompletionisorwillbedelayed,

underSub-Clause8.4[ExtensionofTimeforCompletion],and

(b)paymentofanysuchCostpluswhichshallbeincludedintheContract

Price.Afterreceivingthisfurthernotice,theEngineershallinaccordancewithSub-Clause3.5[Determinations]toordeterminethesematters.ifandtotheextentthatthewascausedbyanyor

delaybytheincludinganin,ordelayinthesubmissionof,anyofthe

Documents,theContractorshallnotbeentitledtosuchextensionof

time,Costor1.10UseofDocumentsAsbetweentheParties,theContractorshallthecopyrightandotherintellectualrightsintheDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theTheContractorshallbedeemed(bysigningtheContract)togivetotheEmployera

non-terminabletransferablenon-exclusivelicencetouseand

communicatetheDocuments,includingmakingandusingmodifications

ofthem.Thislicenceshall:(a)applythroughouttheactualorintendedworkinglife(whicheverislonger)ofthe

partsofthe(b)entitleanypersoninpossessionofthepartoftheto

useandcommunicatetheDocumentsforthepurposesof

completing,operating,maintaining,altering,adjusting,repairingand

demolishingtheand(c)inthecaseofDocumentswhichintheformofcomputer

andotherpermittheiruseonanycomputerontheSiteandtiirsd.7otherplacesasenvisagedbytheContract,includingreplacementsofany

computerssuppliedbytheTheDocumentsandotherdesigndocumentsmadeby(oronbehalfof)

theContractorshallnot,withouttheconsent,beused,copiedor

communicatedtoapartyby(oronbehalfof)theEmployerforpurposesother
