10、 If no price agreement can be reached within 5 working days upon the date of CIQ certificate is provided by Buyer to Seller, then Buyers right of rejection shall be exercised in such manner:在不影响买方拒收权利的前提下，各方可协商重新议价；若在CIQ报告提供给卖方5个工作日内，协商无果，则买方有权按以下方式拒收a) Within 10 working days upon the date of CIQ is

11、 provided by Buyer to Seller, the Seller should refund and/or repay to the Buyer all the incurred payments and costs to exchange the relevant shipping documents. Seller agrees that the Buyer is entitled to retain the Ore at Sellers risk until the Buyer has been fully reimbursed by the Seller of all

12、the payments and costs, including but not limited to the 95% of contract value paid under the contract, negotiation banking charges, insurance, port disbursement, storage charges, customs VAT, and pro-rated interest at 3.5 % per annum on the provisional payment and above mentioned costs and expenses

14、rking days, it is agreed by both parties that the Buyer has right to retain the cargo back, and in Buyers sole and absolute discretion re-sell the Ore by any appropriate means to a third party at a price, which Seller hereby unconditionally and irrevocably agree is the market price. Such resell pric

15、e shall also be considered as final settlement price for both parties to settle this off-spec cargo.若在10个工作日内买方未收到上述费用，则买方有权将此票货收回，并转卖给第三方；且此转卖价卖方必须承认为市场价。该转卖价格作为结算此货的最终结算价格。c) The Buyer are entitled to claim against Seller for the difference between the cargo value basis the final settlement price

16、and the provisional payment as stipulated in article 11(2). Such difference must reimbursed by Seller to Buyer wihin 7 working days upon Buyers notice of reselling the shipment of ore and issuance of debit note. In addition, the Buyer reserves the right to claim all other losses and damages arising

Other Chemical Composition其他化学成分If the shipment does not meet any of the chemical specifications provided above as finally determined in accordance with the provisions of Clause 8, the base price shall be

Provisional Payment首期付款The first payment of 50% (FIFTY percent) will be made through T/T within 3 working days after the signing of the contract.协议签订后3个工作日内，买方需支付50%协议金额的预付款给卖方。The second payment of 45% (fo

21、rty-five percent) CFR shipment value will be made within 3 working days when the buyer get the copies of all the documents as stipulated in clause 6.1.第二笔45%协议金额的货款，将在买方收到所有6.1条款中规定的资料文件扫描件后3个工作日内支付。5.2 Final Payment 尾款The final 5%(five percent) payment shall be paid against the final invoice in 3 w

The sellers final invoice must be confirmed by buyer and is to be based on CIQ certificates issued within 60 days after completion of discharge in China or loadings certificates of quality and weight. If CIQ certificates not provided by buyer within the time. The payment for this will b

34、ry and the buyer five working days upon issuance of the beneficiarys final debit statement.如结算后有货款溢付情形，在发出卖方的最终欠款报表后5天内，卖方必须以电汇或是各方认可方式将溢付的货款退还给买方。7 SHIPPING AND DELIVERY REQUIREMENT交货条件7.1 The Seller shall arrange the vessel and advise the Buyer by cable or fax the laycan date, type of vessel(age l

35、ess than 25 years old), dwt draft and other vessel details. The buyer will confirm the information sent by the seller.卖方须安排船运，并以电报或传真号码通知买方装载日期，船舶型号(船龄不到25岁)，干吨及其它船舶详细信息，买方将对卖方提供的相关信息进行确认。If any difficult discharging fee charged by port authority, it shall be on Sellers own account.若船舶在卸港造成或产生困难作业费，

36、则由卖方承担.7.2 Extension of the delivery period could be allowed only subject to the buyers written consent. In this event, the party who causes the delays shall have to bear the costs and expenses of such delay.在买方书面同意的前提下可以延期交货。在此情况下，造成延迟的一方须负责延迟之所有费用。7.3 Buyer has the option to depute their represent

37、atives at load port to inspect, supervise and/or witness the material, loading, sampling, draft survey etc. at the load port at their own cost. The Seller will provide all necessary help and will try their best that the buyers representatives are able to perform the above activities smoothly买方有权指派其代

Buyers shipping agent at discharging port. 卸港船舶代理由买方确定8 INSPECTION, SAMPLING AND ANALYSIS 检验，

39、取样和化验分析8.1 SAMPLING AND ANALYSISAt Loading Port, the Seller shall, at the Sellers expenses, determine the specification of Iron Ore contained in each shipment according to the latest International Standard Organization (ISO) procedures in respect of the chemical analysis, size structure and the perc

40、entage of free moisture loss at 105 degrees Centigrade. The Seller shall provide a Philippines CCIC certificate showing details of the determination to the Buyer. The Buyer may, at Buyers expenses, have their representatives present at the time of such determination.在装运港，卖方须付费以按最新国际认证(ISO) 方式进行对每次交货

41、的铁矿作化学成分分析鉴定品质，确定颗粒尺寸，及在摄氏105度下化验铁矿粉的含水量。卖方须提供由菲律宾CCIC所发出的质量商检结果予买方。买方有权自费委任代表到现场监督抽样检验过程。The Buyer may at buyers own expense appoint an protective independent surveyor to conduct sampling and analysis on the Buyers behalf (hereafter called the Buyers load port analysis). The Seller must furnish the

42、 buyer with all information reasonably required by the Buyers load port analysis and use its best endeavours to assist the buyer in ensuring that the Buyers load port analysis is carried out.买方可自费指派一家独立的检验机构代表买方进行取样做保护性检验（在此称装港买方检验）。卖方必须提供给卖方相关的信息以供买方保护性检验。At the port of discharge, Buyer shall at Bu

43、yers expense, appoint CIQ for sampling & analysis. The analysis determined by CIQ shall be final and shall be the basis for the final invoice.买家可自费安排CIQ对重量及相关化学成分、水分在卸货港进行检测。在卸货港出具的CIQ质量证明书为尾款发票依据。8.2 WEIGHING 称重At the loading port, Seller shall at Sellers expense, appoint CCIC to determine the weig

44、ht of shipment of Ore by draft survey.在装货港CCIC费用由卖方负责作测重量报告。The weight of shipment at the discharge port is to be ascertained by draft survey. Seller, would at their option, deputes their representative or nominate agency at their cost to witness operations. The weight thus determined by CIQ shall b

45、e final.货物在卸货港每船的重量需通过测量吃水深度来确定。卖方有权委托代表或代理机构进行监测，费用由卖方承担。最终数量以CIQ检验报告为准。9 INSURANCE 保险9.1 Insurance to be covered by Buyer。货物上船后的保险由买方承担。10 FORCE MAJEURE 不可抗力条款Either the Seller or the Buyer shall be relieved of and excused from its obligation to perform hereunder during any period that their or it

46、s performance is prevented of delayed by Act of God, War, blockade, revolution, riot, insurrection. Civil commotion, strike, lockout, fire, flood, storm, tempest or other inclement weather conditions, unforeseen blockade of the access channel at Loading Port, maintenance practice of the port facilit

47、ies by the duly constituted Port Authority, government restriction, regulation or order. In the event that such a Force Majeure condition occurs or is anticipated, the party directly affected shall advise the other party by facsimile, telex or email as soon as possible, and shall then submit a certi

48、ficate issued by Government Authority or Chamber of Commerce of Philippines or China governmental institution as evidence of the Force Majeure condition within 10 days, if possible, after such Force Majeure condition. If the Force Majeure lasts over three months, the Buyer/Seller shall have the righ

49、t to cancel the tonnage involved or discuss possible postponement. The Sellers inability to obtain license shall not be considered as Force Majeure.买卖各方将于以下情形豁免未能履行协议的责任由天意(大自然) 所造成的因素、战争、政治封锁、革命、暴动、起义、民变、罢工、火灾、水灾、风暴或其它恶劣气候所造成在装运不可预料的阻碍因素。若此等不可抗力的情形是可预料的，直接受影响的一方因尽早通过传真号码或邮件知会另一方，以及在10天前(在可能的状况下) 由菲

50、律宾官方或商会或中国相关政府机构发出证书佐证。若此等不可抗力的情形延续超过三个月，买方/卖方有权取消订单或商讨延期发货/装运。卖方未能取得相关批文将未能视为不可抗力因素。11 ALTERNATIVE SUPPLY CLAUSE 另外的供货条款In the event the Seller cannot supply any or all of the contracted quantity due to the reason other than force majeure (clause 10), the Buyer reserves the right whether accept Sel

51、lers alternative iron ore from other sources to fulfill the contracted quantity. 52、r in connection with this Contract including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the arbitration rules of the Singapore International Arbitration Center (“SIAC Rules”) for the time bei

53、ng in force, which rules are deemed to be incorporated by reference in this article. The Tribunal shall consist of a sole arbitrator. The seat or legal place of arbitration shall be in Singapore, and the language of arbitration shall be English. English law applies.The costs of arbitration shall be

The Parties are desiring or entering into or to the bes

56、t of their ability assure each other that the original transaction codes established will not be altered or changed.无论在任何情况下，任何一方皆不可欺诈或尝试欺诈对方, 以及在此交易下所有的参加者。各方均须尽最大的努力来保持原有的交易编号而避免有所更改。b) The parties recognize the contract to be an exclusive and valuable contract of the respective Party and they sha
